The "Assignor" is the FEDERAL DEPOSIT INSURANCE CORPORATION AS RECEIVER OF COMMUNITY BANKS OF COLORADO, GREENWOOD VILLAGE, CO. As of the date of this Assignment, the Assignor is the beneficiary and secured creditor under the Mortgage and the Related Security Instruments identified below and the owner and holder of the promissory note(s) and /or other evidence of debt and obligations secured thereby. The mailing address of the Assignor is 40 Pacifica, Irvine, CA 92618. 2. The "Assignee" is COMMUNITY BANKS OF COLORADO, A DIVISION OF NBH BANK, N.A. The mailing address of the Assignee is 1111 Main, Suite 2700, Kansas City, MO 64105. 3. The "Mortgage" refers to the following Mortgage: Date of Mortgage: September 11, 2007 Grantor(s) /Trustor(s): Double L Ranch #4 LLC, a Wyoming limited liability company Original Trustee: Lincoln County, Wyoming Original Lender /Beneficiary: Community Banks of Colorado Recording Information: Recorded at Receiving number 936075, Book 683, Page 200, on January 7, 2008 in the Office of the County Clerk and Recorder for Lincoln County, Wyoming. 4. The "Related Security Instruments" are all of those other instruments (if any) given to secure or guarantee repayment of the promissory note(s) and /or other obligations secured by the Mortgage, including, but not limited to, security agreements, pledges, assignments, guaranty agreements, negative pledge agreements, financing statements, control agreements, agreements relating to hazardous substances, and indemnity agreements. 5. As used herein, the terms "Mortgage" and "Related Security Instruments" include (i) all extensions, renewals, modifications, amendments, restatements, consolidations, and /or increases thereof, (ii) all changes in terms relating thereto, and (iii) all instruments and other documents given in replacement of, in substitution for, or to correct the Mortgage or any of the Related Security Instruments. 00534 RECEIVED 9/7/2012 at 12:16 PM RECEIVING 966691 BOOK: 793 PAGE: 534 JEANNE WAGNER LINCOLN COUNTY CLERK, KEMMERER, WY Background and Explanatory Note: [SIGNATURES ON FOLLOWING PAGE] !053 On October 21, 2011, Community Banks of Colorado was closed by the Board of Governors of the Federal Reserve System, which appointed the Federal Deposit Insurance Corporation as Receiver. Immediately thereafter, Bank Midwest, N.A., a national banking association, acquired most of the assets and assumed most of the liabilities of Community Banks of Colorado pursuant to a "Purchase and Assumption Agreement" between Bank Midwest, N.A., the Federal Deposit Insurance Corporation in its corporate capacity, and the Federal Deposit Insurance Corporation in its capacity as Receiver for Community Banks of Colorado, Greenwood Village, CO. Concurrently, Bank Midwest, N.A. received approval from the Office of the Comptroller of the Currency to operate the former Community Banks of Colorado, Greenwood Village, CO branches and to hold the assets of same in the name Bank Midwest, N.A. The assets purchased by Bank Midwest, N.A. and to be held in the name Community Banks of Colorado, a division of Bank Midwest, N.A., include the Mortgage, the Assignment of Rents, and the Related Security Instruments identified in this Assignment, together with the promissory note(s) and /or other obligations secured thereby. Effective May 21, 2012, Bank Midwest, N.A. changed its name to NBH Bank, N.A., so the Assignee is now Community Banks of Colorado, a division of NBH Bank, N.A. KNOW ALL BY THESE PRESENTS that the Grantor(s) referenced above did grant, bargain, sell and convey the property described in the Mortgage, herein referred to as Mortgage, to Mortgagee, to secure the payment of a Promissory Note for the original principal amount referenced above. For value received, Assignor hereby grants, sells, assigns, transfers, and conveys unto Assignee, its successors and assigns, all of Assignor's right, title and interest, both legal and equitable, in, to, and under (i) the Mortgage, together with the real property described therein and all rights accrued or to accrue thereunder; (ii) the Related Security Instruments; and (iii) all promissory notes and /or other obligations secured thereby, together with all amounts due and to become due thereon, including interest. This Assignment is made without recourse, representation or warranty, express or implied, by the Federal Deposit Insurance Corporation in its corporate capacity or as Receiver. Assignor further authorizes and empowers Assignee, its successors and assigns, to exercise all rights, powers and privileges conferred upon Assignor by the Mortgage and the Related Security Instruments, including, but not limited to, the rights and privileges of a secured party and the right of foreclosure and sale, in as full and ample a manner as Assignor is authorized and empowered to exercise the same. TO HAVE AND TO HOLD the same unto Assignee, its successor and assigns, forever, subject only to the terms and conditions of the Mortgage and the Related Security Instruments. IN WITNESS WHEREOF, the Federal Deposit Insurance Corporation as Receiver for Community Banks of Colorado, Greenwood Village, CO has caused this Assignment to be signed in its name by its duly authorized attorney -in -fact, all as of the date of this Assignment.
