Lincoln County, Wyoming, a political subdivision of the State of Wyoming (the "Grantor is the owner of a parcel of land which consists of an access route to and from the Lincoln County Justice Center (the "Justice Center in Kemmerer, Lincoln County, Wyoming, which parcel is particularly described on Exhibit A attached hereto and made a part hereof by this reference (the "Land Lincoln County Building Corporation, a Wyoming nonprofit corporation (the "Grantee is the owner of a leasehold interest in a parcel of land (the "Benefited Land where the Justice Center is located, which parcel is particularly described on Exhibit B attached hereto and made a part hereof by this reference. The Grantor hereby grants and conveys to the Grantee a perpetual, nonexclusive easement (the "Basement to use the Land for access to and from U.S. Highway 30 and the Benefited Land. The Easement is intended to and shall run with the Benefited Land as an appurtenance thereto, shall inure to the benefit of the Grantee, its successors and assigns, and its licensees, agents, employees, contractors, guests, tenants, and invitees, shall burden the Land, and shall bind the Grantor, and its successors and assigns. The parties agree to give such further assurances of the Easement as may be requisite. The Grantor and the Grantee intend that the legal doctrine of merger shall have no application to this Easement and that neither the execution and delivery of any lease of the Benefited Land from the Grantee to the Grantor nor the exercise of any remedies under such lease shall operate to terminate or extinguish this Easement.
