KNOW ALL MEN BY THESE PRESENTS:
THAT, for and in consideration of the sum of Ten Dollars ($10.00) and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
HUNTER ENERGY LLC, whose address is 8000 South Chester Street, Suite 375,
Centennial, Colorado 80112 (Assignor), does hereby ASSIGN, TRANSFER, SELL AND
CONVEY unto TRAIL ENERGY, LLC, whose address is 6029 W. Sage Fork Rd., West
Jordan, UT 84081 (Assignee), all of Assignor's right, title and interest in and to the oil and
gas leases described on Exhibit "A attached hereto and by this reference made a part
hereof (the Leases), together with the rights incident thereto and the personal property,
fixtures and equipment thereon, appurtenant thereto or used or obtained in connection
therewith.
ASSIGNOR MAKES NO WARRANTY OF TITLE OR OF ANY KIND, EXPRESS,
IMPLIED OR STATUTORY. THE LEASES ARE CONVEYED TO ASSIGNEE AS IS,
WHERE IS, WITH NO OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY.
Assignor will execute and deliver all such other and additional instruments, notices,
releases, acquittances and other documents, and will do all such other acts and things, as
may be necessary more fully to assure to Assignee or its successors or assigns all of the
respective rights and interests herein and hereby granted or intended to be granted.
The provisions hereof shall be covenants running with the lands and shall be binding
upon and inure to the benefit of the parties hereto, their respective successors and assigns.
