MINERAL DEED, made by Jil K. Feldhausen, as Successor Trustee of the VERNON
H. KNISELY TRUST, a /k /a The Knisely- Clough Trust, dated and established June 16, 1975, of
8360 East Brookwood Drive, Tucson, AZ 85715, herein referred to as "Grantor" to THE
KNISELY FAMILY COMPANY, LLC, a Wyoming Limited Liability Company, whose address is c/o
Converse County Bank, P. 0. Drawer 689, Douglas, WY 82633, herein referred to as "Grantee,"
whether one or more.
RECITALS
1. On June 16, 1975, Vernon H. Knisely (as Settlor) entered into and
executed the Knisely- Clough Trust, wherein Vernon H. Knisely and Albert A. Clough were
Trustees. Said Trust, as amended on November 27, 1985, and as amended and fully restated
on September 14,1988; next amended October 26, 1993; next amended October 25, 1994; next
amended October 25, 1995; next amended May 30, 1997; next amended June 4, 1998; next
amended June 8,1999; next amended October 22,1999; and,lastamended and restated March
21, 2000.
2. The Grantor, Vernon H. Knisely Trust has been previously and
occasionally referred to as "The Knisely- Clough Trust;" "The Trust Agreement of June 16,
1975;" "The Vernon H. Knisely Declaration of Trust" and "The Knisely- Clough TrustofJune 16,
1975."
3. On August 8, 1999, Vernon H. Knisely, as the sole remaining Trustee of
the Vernon H. Knisely Trust, resigned said position and Jil K. Feldhausen became its Successor
Trustee; and, in the March 21, 2000 Amendment to and Restatement of the Vernon H. Knisely
Trust, the Settlor appointed said Jil K. Feldhausen as its sole Trustee and said Jil K. Feldhausen
has served in that capacity ever since.
4. On April 14, 2000, Vernon H. Knisely passed away, at which time the
Vernon H. Knisely Trust became irrevocable. Said Trust continued thereafter, pursuant to its
terms, for the benefit of his wife, Edith C. Knisely, for and during her lifetime. Edith C. Knisely
passed away on March 15, 2010. Copies of their respective Death Certificates are attached
hereto.
5. Under the terms and provisions of the March 21, 2000 Amendment to and
Restatement of the Vernon H. Knisely Trust, upon the death of Edith C. Knisely, the Trustee
was directed that, after payment of any death taxes and expenses attributed to the qualified
terminable interest property, to make distribution of the remainder of the trust assets to its
beneficiaries pursuant to its distributive provisions and /or in accordance with their
instruction. Said taxes and expenses having been paid, distribution is appropriate and is made
herein as instructed by said beneficiaries.
NOW, THEREFORE, in consideration of distribution of the Vernon H. Knisely
Trust, and other good and valuable consideration, the receipt of which is hereby
acknowledged, Grantor, Vernon H. Knisely Trust, does hereby, GRANT, BARGAIN, SELL,
CONVEY, TRANSFER, ASSIGN and DELIVER to Grantee, all of Grantor's right, title and interest
in and to all oil, gas, coal, gold, silver and other precious metals, minerals and mineral
substances in and under, and that may be produced from the following described lands in
Lincoln County, State of Wyoming, to -wit:

Tract 1:
TOGETHER with the right of ingress and egress at all times for the purpose of
mining drilling and exploring said lands for any and all oil, gas, mineral and mineral
substances, and removing the same therefrom;
TOGETHER, with all the dips, spurs and angles, and also all the metals, ores, gold
and silver bearing quartz, rock and earth, mineral and mineral substances therein and all the
rights, privileges and advantages thereto incident, appendant and appurtenant, or therewith
usually had and enjoyed; and, also all and singular, the tenements, hereditaments and
appurtenances thereto belonging, or in any wise appertaining, and the rents, issues and profits
thereto;
TO HAVE AND TO HOLD, all and singular, the said premises, together with the
appurtenances and privileges thereto incident, unto the said Grantee, their heirs and assigns
forever.
