WHEREAS, the Indebtedness described and defined in the Mortgages (the
"Indebtedness has been paid and satisfied, and Mortgagee therefore desires to release the lien
of the Mortgages;
NOW, THEREFORE, in consideration of the full payment and satisfaction of the
Indebtedness, the receipt and sufficiency of which are hereby acknowledged by Mortgagee,
Mortgagee has released and discharged, and by these presents does hereby FULLY RELEASE
AND DISCHARGE, all liens, security interests, assignments and other rights, encumbrances and
charges of any kind or type granted or created pursuant to the Mortgages, including without
limitation all "Mortgaged Property" (as such term is defined in the Mortgages), and all rights and
interests incidental thereto, and including all liens, security interests and assignments created by
any other document, agreement or instrument securing the Indebtedness described in the
Mortgages.
Mortgagee represents and warrants to Mortgagor that Mortgagee has the power and
authority to execute, deliver and perform this Release.
This instrument may be executed in any number of counterparts, each of which shall for
all purposes be deemed to be an original and one instrument, and all of which are identical,
except that, to facilitate tract indexing where required, certain counterparts of this Release may
have attached hereto a portion of Exhibit A to the Mortgages, which such Exhibit A describes
the Mortgaged Property situated in a particular county where this Release is presented for
recording; otherwise such Mortgaged Property, including as described on the complete Exhibit A
to the Mortgages, is deemed incorporated by reference to the Mortgages, recorded as set forth
above.
