Adobe Acquisition, LLC, a Texas Limited Liability Company, whose address is 1000 Ballpark
Way, Suite 216, Arlington, Texas, 76011 (herein called Granto(), for ten dollars and other good and
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby
GRANT, BARGAIN, SELL, CONVEY, ASSIGN, TRANSFER, SET OVER, and DELIVER unto Rock Fund
I, Ltd a Texas Limited Partnership, whose address is 1000 Ballpark Way, Suite 216, Arlington, Texas
76011 (herein called "Grantee 17.61% AND unto The Yield Master Fund 11, L.P. a Texas Limited
Partnership, whose Management Investment address is 1000 Ballpark Way, Suite 216, Arlington, TX,
76011 (herein called "Grantee 79.51% of the following described properties, rights, and interests (the
"Subject Properties

(a) As set forth above, the Grantor's right, title, and interests in and to the mineral interests, oil,
gas, or other mineral royalty interests, in, under, and that may be produced from the lands
covered by the Deeds, BiII of Sales, or Conveyances described in Exhibit "A" hereto (the
"Lands including, royalties, lease bonuses, or overriding royalty interests covering the
Lands. However, Adobe Acquisition, LLC shall NOT grant, bargain, sell, convey, assign,
transfer, and NOT deliver or convey any Working Interests to the associated properties
described on Exhibit "A"
(b) It is the intent of Grantor to convey to Grantees its right, title, and interest in and to the
mineral, royalty, and overriding royalty interests and properties as set forth herein and
described on Exhibit "A attached hereto, whether properly described therein or not.
TO HAVE AND TO HOLD the Subject Properties unto Grantees, their successors and assigns,
The Subject Properties are being conveyed by Grantor "where is" and "as is and without any
warranty of title, express or implied. Grantor hereby expressly disclaims any and all representations or
warranties with respect to the Subject Properties. Specifically, as a part of (but not a limitation of) the
foregoing, Grantees acknowledge that Grantor has not made, and Grantor hereby expressly disclaims,
any representation or warranty (express, implied, under common law, by statute, or otherwise) relating to
titles of the properties, the condition of the properties (INCLUDING WITHOUT LIMITATION, GRANTOR
DISCLAIMS ANY IMPLIED OR EXPRESS WARRANTY OF MECHANICAL ABILITY, FITNESS FOR A
PARTICULAR PURPOSE, OR CONFORMITY TO MODELS OR SAMPLES OF MATERIALS), the extent
of oil, gas and /or other mineral reserves, the recoverability of or the cost of recovering any of such
reserves, the value of reserves, prices, (or anticipated prices) at which production has been or will be
sold, the ability to sell oil or gas production from the Subject Properties, and the condition (including,
without limitation, the environmental condition) of the Subject Properties.
Whereas the undersigned also desires to stipulate for the record and for the purpose of correctly
establishing and setting forth the ownership and the amount of interest in the minerals of the Subject
Lands, do hereby declare, stipulate, acknowledge, and establish of record the resulting ownership of the
mineral estate in the Lands as follows:

This Conveyance is being executed in several counterparts all of which are identical. All such
counterparts together shall constitute one and the same instrument. Complete copies of this Conveyance
containing the entire Exhibit "A" have been retained by Grantor and Grantees.
IN WITNESS WHEREOF this Conveyance has been executed and delivered on August 1, 2012.
The "Effective Date" of this Conveyance shall be August 1, 2012 at 12:01 A.M. local time in the
jurisdiction in which the Properties are located (the "Effective Time Regardless of the revenue or
production date, Grantor shall be entitled to all revenues from the Properties received from checks, wire
transfers, or other payments dated prior to September 1, 2012. Conversely, Grantees shall be entitled to
all revenues from the Properties received from checks, wire transfers, or other payments dated on or after
September 1, 2012.
