THIS SUPPLEMENT TO RESTATED MORTGAGE AND SECURITY AGREEMENT (this
"Supplemental Mortgage dated as of 2013 is made by and between
LOWER VALLEY ENERGY, INC. (hereinafter caed the "Mortgagor a corporation existing
under the laws of the State of Wyoming and NATIONAL RURAL UTILITIES COOPERATIVE
FINANCE CORPORATION (hereinafter called "CFC" or the "Mortgagee a cooperative
association existing under the laws of the District of Columbia.
WHEREAS, the Mortgagor, for value received, has heretofore duly authorized and
executed, and has delivered to CFC, or has assumed the payment of, a certain mortgage note, or
certain mortgage notes, all payable to the order of CFC, in installments, of which certain mortgage
note or notes (hereinafter collectively called the "Outstanding Notes identified in Appendix A
hereto are now outstanding and owned by CFC;
WHEREAS, the Outstanding Notes are secured by the security instrument(s)
(hereinafter collectively called the "Mortgage made by the Mortgagor to the Mortgagee and
identified in Appendix A hereto;
WHEREAS, the Mortgagor has decided to borrow additional funds from the
Mortgagee, pursuant to a Loan Agreement (hereinafter called the "Current Loan Agreement" and
identified in Appendix A hereto) and has accordingly duly authorized, executed and delivered to
CFC its mortgage note or notes (identified in Appendix A hereto and hereinafter collectively called
the "Current Notes to be secured by the Mortgage, as amended and supplemented hereby, of the
property hereinafter described;
WHEREAS, it was the intention of the Mortgagor at the time of the execution of the
Mortgage (or, if the Mortgage consists of more than one instrument, at the time of the execution of
the earliest instrument thereof) that the property of the Mortgagor of the classes described therein,
as being mortgaged or pledged thereby, or intended so to be, whether then owned or thereafter
acquired, would secure certain notes of the Mortgagor executed and delivered prior to the
execution and delivery of the Mortgage (or, if the Mortgage consists of more than one instrument,
prior to the execution and delivery of the earliest instrument thereof), and certain notes of the
Mortgagor when and as executed and delivered under and pursuant to the Mortgage, as from time
to time amended or supplemented, and it is intended by the Mortgagor to confirm hereby the
Mortgage and the property therein described as being mortgaged or pledged, or intended so to be,
as security for the Outstanding Notes, and other notes of the Mortgagor when and as executed and
delivered under and pursuant to the Mortgage, as amended and supplemented hereby;
WHEREAS, it is further intended by the Mortgagor, at the request and with the
consent of the Mortgagee, to amend the Mortgage in the respects hereinafter set forth;
WHEREAS, all acts, things, and conditions prescribed by law and by the articles of
incorporation and bylaws of the Mortgagor have been duly performed and complied with to
authorize the execution and delivery hereof and to make the Mortgage, as amended and
supplemented hereby, a valid and binding mortgage to secure the Outstanding Notes and other
notes of the Mortgagor when and as executed and delivered under and pursuant to the Mortgage,
as amended and supplemented hereby;

WHEREAS, the Mortgagor and the Mortgagee are authorized to enter into this
WHEREAS, to the extent that any of the property described or referred to in this
Mortgage is governed by the provisions of the Uniform Commercial Code of any state
(hereinafter called the "Uniform Commercial Code the parties hereto desire that this Mortgage
be regarded as a "security agreement," a "financing statement" and a "fixture filing" under the
Uniform Commercial Code.
NOW, THEREFORE, in consideration of the premises and the sum of $5 in hand
paid by the Mortgagee to the Mortgagor, the receipt whereof by the Mortgagor prior to the
execution and delivery of this Supplemental Mortgage is hereby acknowledged, this Supplemental
Mortgage witnesseth as follows:
1. The Mortgagor has executed and delivered this Supplemental Mortgage and has
granted, bargained, sold, conveyed, warranted, assigned, transferred, mortgaged, pledged and
set over, and by these presents does hereby grant, bargain, sell, convey, warrant, assign,
transfer, mortgage, pledge and set over unto the Mortgagee, and the Mortgagor does hereby
grant to the Mortgagee, and its assigns, all and singular the real and personal property described
in the Mortgage as being mortgaged thereby and all and singular the real and personal property of
the Mortgagor falling within the classes of property embraced in the description of the "Mortgaged
Property" set forth in the Mortgage, including, without limitation, all and singular the real and
personal property of said description heretofore or hereafter acquired by or constructed by or on
behalf of the Mortgagor, and wheresoever situate, including, without limitation, the existing electric
facilities identified and the real estate specifically described (by reference to deeds or otherwise) in
Appendix B hereto and mortgaged thereby (except such portions, if any, thereof as have been
released prior to the execution and delivery of this Supplemental Mortgage),
AND ALSO including, without limitation:
All right, title and interest, whether fee or leasehold, of the Mortgagor in real property set
forth in Appendix B hereto, subject in each case to those matters set forth therein;

The electric generating plants and facilities and electric transmission and
distribution lines and facilities now owned by the Mortgagor and located in the counties listed in
Appendix B hereto, or hereafter constructed or acquired by the Mortgagor, wherever located, and
in and to all extensions and improvements thereof and additions thereto, including any and all other
property of every kind, nature and description, used, useful or acquired for use by the Mortgagor in
connection therewith, and including, without limitation, the property described in the property
schedule listed on, or attached to Appendix B hereto;

All right, title and interest of the Mortgagor in, to and under any and all grants,
privileges, rights of way and easements now owned, held, leased, enjoyed or exercised, or which
may hereafter be owned, held, leased, acquired, enjoyed or exercised, by the Mortgagor for the
purposes of, or in connection with, the construction or operation by or on behalf of the Mortgagor of
electric transmission or distribution lines, or systems, whether underground or overhead or
otherwise, or of any electric generating plant, wherever located;

All right, title and interest of the Mortgagor in, to and under any and all licenses,
franchises, ordinances, privileges and permits heretofore granted, issued or executed, or which
may hereafter be granted, issued or executed, to it or to its assignors by the United States of
America, or by any state, or by any county, township, municipality, village or other political
subdivision thereof, or by any agency, board, commission or department of any of the foregoing,
authorizing the construction, acquisition, or operation of electric transmission or distribution lines, or
systems, or any electric generating plant or plants, insofar as the same may by law be assigned,
granted, bargained, sold, conveyed, transferred, mortgaged, or pledged;

All right, title and interest of the Mortgagor in, to and under all personal property and
fixtures of every kind and nature including without limitation all goods (including inventory,
equipment and any accessions thereto), instruments (including promissory notes), documents,
accounts, chattel paper, deposit accounts, letter -of- credit rights, investment property (including
certificated and uncertificated securities, security entitlements and securities accounts),
software, general intangibles, supporting obligations, any other contract rights or rights to the
payment of money, insurance claims and proceeds (as such terms are defined in the applicable
Uniform Commercial Code; provided, however, that the term "instrument" shall be such term as
defined in Article 9 of the applicable Uniform Commercial Code rather than Article 3);

All right, title and interest of the Mortgagor in, to and under any and all agreements
(including, without limitation, the BPA Prepay Agreement (as defined in the Current Loan
Agreement), but only to the extent any such right of Mortgagor thereunder can be granted,
assigned or pledged), leases or contracts heretofore or hereafter executed by and between the
Mortgagor and any person, firm or corporation relating to the Mortgaged Property (including
contracts for the lease, occupancy or sale of the Mortgaged Property, or any portion thereof);
All right, title and interest of the Mortgagor in, to and under any and all books, records
and correspondence relating to the Mortgaged Property, including, but not limited to: all records,
ledgers, leases and computer and automatic machinery software and programs, including
without limitation, programs, databases, disc or tape files and automatic machinery print outs,
runs and other computer prepared information indicating, summarizing evidencing or otherwise
necessary or helpful in the collection of or realization on the Mortgaged Property;
Also, all right, title and interest of the Mortgagor in and to all other property, real or
personal, tangible or intangible, of every kind, nature and description, including, without limitation,
accounts, chattel paper, documents and instruments, general intangibles, goods, equipment,
inventory, and proceeds wheresoever situated, now owned or hereafter acquired by the Mortgagor,
it being the intention hereof that all such property now owned but not specifically described herein
or acquired or held by the Mortgagor after the date hereof shall be as fully embraced within and
subjected to the lien hereof as if the same were now owned by the Mortgagor and were specifically

described herein to the extent only, however, that the subjection of such property to the lien hereof
shall not be contrary to law;
Together with all rents, income, revenues, profits and benefits at any time derived,
received or had from any and all of the above described property of the Mortgagor.
Provided, however, that no automobiles, trucks, trailers, tractors or other vehicles
(including without limitation aircraft or ships, if any) which are titled and /or registered in any state of
the United States and owned or used by the Mortgagor shall be included in the property mortgaged
by the Mortgage and this Supplemental Mortgage.
TO HAVE AND TO HOLD the same forever, for the uses and purposes and upon
the terms, conditions, provisos and agreements expressed and declared in the Mortgage, as
amended and supplemented hereby.
2. The Outstanding Notes are hereby confirmed as notes of the Mortgagor entitled
to the security of the Mortgage, as amended and supplemented by this Supplemental Mortgage,
and of the property by the Mortgage and this Supplemental Mortgage mortgaged and pledged, or
intended so to be, equally and ratably with one another and with other notes of the Mortgagor when
and as executed and delivered under and pursuant to the Mortgage, as amended and
supplemented hereby, without preference, priority or distinction as to interest or principal (except as
otherwise specifically provided in the Mortgage, as amended and supplemented hereby) or as to
lien or otherwise, of any one of the Outstanding Notes or such other notes over any other thereof
and irrespective of the date of the execution, delivery or maturity thereof, or of the assignment or
negotiation thereof or otherwise.
3. The Current Notes executed and delivered pursuant to said Section 3.01 of
Article III are hereby included within the term "Additional Notes" and "notes as defined in the
Mortgage, as amended hereby. There are hereby included within the term "CFC Loan
Agreement as defined in the Mortgage, as amended hereby, all agreements, together with any
amendments or supplements thereto, between the Mortgagor and CFC pursuant to which the
Mortgagor has executed and delivered or will execute and deliver to CFC "CFC Notes as defined
in the Mortgage, as amended hereby, including but not limited to, the Current Loan Agreement.
4. The Maximum Debt Limit under the Mortgage, as amended and supplemented
hereby, is $300,000,000.00.
5. Mortgagor's Legal Status. (a) The Mortgagor represents, warrants,
covenants and agrees that: (i) the Mortgagor's exact legal name is that indicated on the
signature page hereof, (ii) the Mortgagor is an organization of the type and organized in the
jurisdiction set forth on the first page hereof, (iii) the cover page hereof accurately sets forth the
Mortgagor's organizational identification number or accurately states that the Mortgagor has
none and (iv) Section 9 hereof accurately sets forth the Mortgagor's place of business or, if
more than one, its chief executive office as well as the Mortgagor's mailing address if different.
(b) (i) The Mortgagor will not change its name, its place of business or, if more than one,
chief executive office, or its mailing address or organizational identification number if it has one,
without providing prior written notice to the Mortgagee at least thirty (30) days prior to the
effective date of any change, (ii) if the Mortgagor does not have an organizational identification
number and later obtains one, the Mortgagor will promptly notify the Mortgagee of such
organizational identification number and (iii) the Mortgagor will not change its type of

organization, jurisdiction of organization or other legal structure without the prior written consent
of the Mortgagee.
6. Further Assurances to Confirm Security of Mortgage. Upon the written
request of the Mortgagee, the Mortgagor shall promptly make, execute, acknowledge and
deliver or cause to be made, executed, acknowledged and delivered all such further and
supplemental indentures of mortgage, deeds of trust, mortgages, financing statements and
amendments thereto (including continuation statements), security agreements, pledge
agreements, stock powers or other such instruments of transfer or assignment duly executed in
blank, stock certificates or other securities representing any of the Mortgaged Property,
instruments (including any promissory notes held or acquired by the Mortgagor, duly endorsed
and assigned to the Mortgagee) and conveyances as may reasonably be requested by the
Mortgagee, and take or cause to be taken all such further action as may reasonably be
requested by the Mortgagee to insure the attachment, perfection and first priority of, and the
ability of the Mortgagee to enforce, the Mortgagee's lien on and security interest in any or all of
the Mortgaged Property. The Mortgagor will cause this Mortgage and any and all supplemental
indentures of mortgage, mortgages and deeds of trust and every security agreement, financing
statement, amendment thereto (including continuation statements) and every additional
instrument which shall be executed pursuant to the foregoing provisions forthwith upon
execution to be recorded and filed and re- recorded and re -filed as conveyances and mortgages
and deeds of trust of and security interests in real and personal property in such manner and in
such places as may be required by law or reasonably requested by the Mortgagee in order to
insure the attachment, perfection and first priority of, and the ability of the Mortgagee to enforce,
the Mortgagee's lien on and security interest in any or all of the Mortgaged Property.
7. Authorization to File Financing Statements. The Mortgagor hereby
irrevocably authorizes the Mortgagee at any time and from time to time to file in any Uniform
Commercial Code jurisdiction any initial financing statements and amendments thereto that (a)
indicate the Mortgaged Property (i) as all assets of the Mortgagor or words of similar effect,
regardless of whether any particular asset comprised in the Mortgaged Property falls within the
scope of Article 9 of the applicable Uniform Commercial Code, or (ii) as being of an equal or
lesser scope or with greater detail, and (b) contain any other information required by part 5 of
Article 9 of the applicable Uniform Commercial Code for the sufficiency or filing office
acceptance of any financing statement or amendment, including (i) whether the Mortgagor is an
organization, the type of organization and any organizational identification number issued to the
Mortgagor and (ii) in the case of a financing statement filed as a fixture filing, a sufficient
description of real property to which the Mortgaged Property relates. The Mortgagor agrees to
furnish any such information to the Mortgagee promptly upon request. The. Mortgagor also
ratifies its authorization for the Mortgagee to have filed in any Uniform Commercial Code
jurisdiction any like initial financing statements or amendments thereto if filed prior to the date
hereof.
8. Other Actions Concerning Mortgaged Property. The Mortgagor will take
any other action reasonably requested by the Mortgagee to insure the attachment, perfection
and first priority of, and the ability of the Mortgagee to enforce, the Mortgagee's lien on and
security interest in any and all of the Mortgaged Property including, without limitation (a)
complying with any provision of any statute, regulation or treaty of the United States as to any
Mortgaged Property if compliance with such provision is a condition to attachment, perfection or
priority of, or ability of the Mortgagee to enforce, the Mortgagee's security interest in such
Mortgaged Property, (b) obtaining governmental and other third party consents and approvals,
including without limitation any consent of any licensor, lessor or other person obligated on

Mortgaged Property, (c) obtaining waivers from mortgagees and landlords in form and
substance satisfactory to the Mortgagee and (d) taking all actions required by any earlier
versions of the Uniform Commercial Code or by other law, as applicable in any relevant Uniform
Commercial Code jurisdiction, or by other law as applicable in any foreign jurisdiction.
9. All demands, notices, reports, approvals, designations, or directions required or
permitted to be given under the Mortgage, as amended hereby, shall be in writing and shall be
deemed to be properly given if mailed by registered mail addressed to the proper party or parties at

such person, firm, corporation, governmental body or agency to the Mortgagor and the Mortgagee.
The Mortgagor or the Mortgagee may from time to time designate to each other a new address to
which demands, notices, reports, approvals, designations or directions may be addressed and
from and after any such designation the address designated shall be deemed to be the address of
such party in lieu of the address hereinabove given.
10. Mortgage Deemed Security Agreement. To the extent that any of the
property described or referred to in this Mortgage is governed by the provisions of the Uniform
Commercial Code, this Mortgage is hereby deemed a "security agreement" a "financing
statement" and a "fixture filing" under the Uniform Commercial Code. The Mortgagor herein is
the "debtor" and the Mortgagee herein is the "secured party." The mailing addresses of the
Mortgagor as debtor and of the Mortgagee as secured party are as set forth in Section 9 hereof.
The Mortgagor is an organization of the type and organized in the jurisdiction set forth on the
first page hereof. The cover page hereof accurately sets forth the Mortgagor's organizational
identification number or accurately states that the Mortgagor has none.
11. All of the terms, provisions and covenants of the Mortgage, except as expressly
modified hereby, shall be and remain in full force and effect.
12. The invalidity of any one or more phrases, clauses, sentences, paragraphs or
provisions of this Supplemental Mortgage shall not affect the validity of the remaining portions
hereof.
13. This Supplemental Mortgage may be simultaneously executed in any number
of counterparts, and all of said counterparts executed and delivered, each as an original, shall
constitute but one and the same instrument.

14. This Supplemental Mortgage shall be governed by, and construed according
to, the laws of the State of Washington, except to the extent governed by federal law or the
Uniform Commercial Code of the state of the Mortgagor's location.
IN WITNESS WHEREOF, LOWER VALLEY ENERGY, INC., as Mortgagor, has
caused this Supplemental Mortgage to be signed in its name and its corporate seal to be hereunto
affixed and attested by its officers thereunto duly authorized, and NATIONAL RURAL UTILITIES
COOPERATIVE FINANCE CORPORATION, as Mortgagee, has caused this Supplemental
Mortgage to be signed in its name and its corporate seal to be hereunto affixed and attested by its

REAL ESTATE PURCHASE AGREEMENT
AN AGREEMENT dated this /5 day of June, 2012, between, LOWER
VALLEY ENERGY, INC., hereinaftef referred to as "Buyer" and, SHERRILL FRANK

SHORTER, MARLA MAY HUTCHINGS, LARENE S. MOSCHETTI (formerly Latene
Good) and RENAE ANAST (formerly Renea Stevens) (as joint tenants with rights of
survivorship), ,hereinafter referred to as "Sellers" or collectively as "Parties" to this
agreement. The effective date of the agreement is the date it is signed by the Buyer,
following signature by all Sellers. Subject to the provisions of this agreement, Buyer
agrees to buy and Seller agrees to sell the following described real estate situated in
Lincoln County, Wyoming, more particularly described as follows, to wit:
North Afton Property
Beginning at a point which is 21 rods North from the Southeast
Corner of the NE1 /4NE1 /4, of Section 25, T32N, R1 19W of the 6
P.M., Lincoln County, Wyoming, and running thence West 20 rods;
thence North 12 rods; thence East 20 rods; thence South 12 rods to
the place of the beginning containing 1 1/2 acres of land, together
with all water, water rights, rights of way, improvements and
appurtenances in any way appertaining thereunto.
1. PURCHASE PRICE; The sale price for the above- described property
shall be Ninety Thousand Dollars ($90,000.00).
2. PAYMENT/FINANCING TERMS. The Buyer shall deposit one
thousand dollars ($1,000.00) as refundable earnest money if all conditions are not
satisfied, with the Alliance Title Di21e Company in Afton, Wyoming in an escrow
account established by Seller upon terms and conditions acceptable to Buyer, within five
(5) days of acceptance of this agreement by all Parties. The remaining eighty nine
thousand dollars ($89,000.00) shall be delivered to the Sellers by a check from Buyer at
