CONVEYANCE AND ASSIGNMENT OF OIL AND GAS LEASES
This Assignment is expressly made subject to (i) all of the terms, covenants, conditions,
restrictions, limitations and provisions of the herein described Leases and any mesne assignments
thereof; (ii) all royalties, overriding royalties, net profits interest, payments out of production and other
lease burdens of record as of the effective date; (iii) all contracts and agreements affecting the Leases,
Improvements and Easements herein assigned and conveyed; and (iv) all terms and conditions of any

FOR VALUABLE CONSIDERATION, the receipt and sufficiency of which are hereby
acknowledged, MANON MARKHAM MCMULLEN, dealing in her sole and separate property (hereinafter
called "Assignor does hereby grant, bargain, sell, convey, transfer, assign and deliver unto HASSON
PROPERTIES, LLC, a Texas limited liability company (hereinafter called "Assignee whose address is
2200 Berkeley Drive, Wichita Falls, Texas, 76308, all of Assignor's right, title and interest in and to all of
the oil, gas and other minerals in and under and that may be produced from, the lands described in
Exhibit "A attached hereto, which is incorporated fully herein by this reference "Subject Properties
and situated in LINCOLN COUNTY, State of WYOMING, including, but not limited to, the following:
(1) The oil, gas and mineral leases and leasehold estates located on the lands described in
Exhibit "A" attached hereto, together with any and all overriding royalty interests, production
payments or other interests in oil, gas or other minerals in, under, or that may be produced
from the lands covered thereby "Leases
(2) Any presently existing and valid farmout agreements, pipeline agreements, gas contracts,
transportation agreements, oil and condensate purchase agreements, pooling and unitization
agreements, joint operating agreements and other contracts or agreements to the extent
same cover and affect the herein described Leases "Agreements
(3) All equipment, personal property, fixtures and improvements of any kind or character situated
upon, appurtenant to and /or used or held for use in connection with the production, treatment,
storage and /or transportation of oil, gas, casinghead gas or other liquid or vaporous
hydrocarbons from the herein described Leases "Improvements and
(4) To the extent assignable by Assignor, all easements, rights -of -way, surface leases, permits,
licenses, water rights or contracts and other interests or rights in land appurtenant to and /or
held for use in connection with the operation of the herein described Leases "Easements
IT IS ASSIGNOR'S INTENTION BY THIS CONVEYANCE AND ASSIGNMENT OF OIL AND
GAS LEASES TO GRANT, BARGAIN, SELL, CONVEY, TRANSFER, ASSIGN AND DELIVER UNTO
ASSIGNEE ALL OF ASSIGNOR'S RIGHT, TITLE AND INTEREST IN AND TO ALL OF ASSIGNOR'S
OIL, GAS AND OTHER MINERALS IN AND UNDER AND THAT MAY BE PRODUCED FROM THE
COUNTY NAMED ABOVE, WHETHER OR NOT SUCH INTEREST IS SPECIFICALLY INCLUDED OR
ACCURATELY DESCRIBED IN EXHIBIT "A" ATTACHED HERETO.
THIS CONVEYANCE AND ASSIGNMENT OF OIL AND GAS LEASES IS MADE WITHOUT
ANY WARRANTY OF TITLE, EXPRESS OR IMPLIED, AND WITHOUT ANY WARRANTIES OF
MERCHANTABILITY FOR FITNESS OF PURPOSE, EXPRESS OR IMPLIED. ALL PERSONAL
PROPERTY, FIXTURES AND IMPROVEMENTS REFERRED TO HEREIN ARE TRANSFERRED AND
ASSIGNED "AS IS, WHERE IS."
orders, rules, regulations and ordinances of any federal, state or other governmental entity having
jurisdiction.
The provisions of this Conveyance and Assignment of Oil and Gas Leases are severable. Should
the whole, or any portion of a section or paragraph be judicially held to be void or invalid such holding
shall not affect other portions which can be given effect without the invalid or void portion.
This Assignment shall be binding upon and inure to the benefit of Assignor, Assignee and their
respective heirs, legal representatives, successors and assigns.
Assignor agrees to execute such further assurances as may be requisite for the full and complete
enjoyment of the rights herein granted.
TO HAVE AND TO HOLD unto said Assignee, its successors and assigns, subject to the terms,
covenants, conditions, restrictions, reservations, limitations and provisions herein contained.
