WRIGHT, TRUSTEE of The Wright Family Trust dhted July 2, 1987, as amended, P.O. Box 215, Thayne, Wyoming 83127, hereafter "Wright Trust and the TOWN OF THAYNE, WYOMING, a political subdivision of the State of Wyoming, P.O. Box 298, Thayne, Wyoming 83127, hereafter "Thayne WHEREAS, the Wright Trust owns property in Lincoln County, Wyoming that is described in the Warranty Deed that was recorded in the land records of Lincoln County Wyoming on December 23, 1993 in Book 343 PR at Pages 17 through 19 as Instrument No. 776386, a copy of said deeds being attached hereto and incorporated herein by reference, hereafter the "Wright Trust Tract and WHEREAS, Thayne owns property in Lincoln County, Wyoming that is described in the Warranty Deed and Easement that was recorded in the land records of Lincoln County, Wyoming on August 16, 1983 in Book 204 PR at Pages 152 through 156 as Instrument No. 602155, hereafter the "Thayne Deed a copy of said deed being attached hereto and incorporated herein by reference, hereafter the "Thayne Tract and WHEREAS, pursuant to the Thayne Deed, Thayne has a twenty (20) foot wide pipeline easement across the Wright Trust Tract for a water pipeline running to its municipal water tank, hereafter the "Pipeline Easement and WHEREAS, Thayne desires to obtain from the Wright Trust a temporary construction easement across the Wright Trust Tract that is necessary in order to install a new pipe within the Pipeline Easement; and WHEREAS, Thayne and the Wright Trust have agree to the terms for the use by Thayne of a temporary construction easement across the Wright Trust Tract. NOW, THEREFORE, it is mutually understood and agreed by both the Wright Trust and Thayne that the Wright Trust grants permission to Thayne to enter upon the Wright Trust Tract for installation of a new pipe within the Pipeline Easement, subject to the terms and conditions hereinafter set forth: 1. PERMISSION TO ENTER AND CONSTRUCT. The grant of this permission to enter and construct is expressly and specifically limited to the purposes stated herein and to the area described as follows: the thirty (30) feet lying northerly and adjacent to the north line of the "20' Pipeline Easement Thru Lands of Lester Coy" as described in Exhibit B to the Thayne Deed. This permission does not constitute a grant of any permanent real property rights and shall TEMPORARY CONSTRUCTION EASEMENT AGREEMENT THE WRIGHT TRUST TOWN OF THAYNE PAGE 1 OF 5 automatically be terminated when Thayne issues and files a "Notice of Substantial Completion" for the construction of the new pipe with the Pipeline Easement. 2. CONSIDERATION. For and in consideration of Ten Dollars ($10.00), the mutual promises and agreements of the parties hereto, and other valuable consideration, in hand paid, the receipt of which is hereby acknowledged, the Wright Trust and Thayne state and declare that consideration has been provided to each of them for this Agreement. 3. EASEMENT COVENANTS. The parties agree: a. That the construction pursuant to this Agreement shall commence after this Agreement has been executed, and shall be completed by on or before August 1, 2013. This permission shall automatically be terminated on that date whether or not Thayne has issued and filed a "Notice of Substantial Completion" for the construction of the new pipe with the Pipeline Easement. b. That during the installation of the pipe being installed pursuant to this Agreement, the topsoil that is removed from the area will be stockpiled at a separate location within the area of use authorized by this Agreement. c. That after the installation of the pipe is completed, the topsoil will be returned to the area and will be graded smooth and scarified for seeding. All disturbed areas will then be re- seeded, through drilling, with a pasture mix consisting or orchard grass, brome grass, perennial ryegrass, annual ryegrass, and timothy grass, as recommended by the U.S. Department of Agriculture's National Resources Conservation Service. All re- seeding shall be completed by June 1, 2013, weather permitting, or as soon thereafter as is practicable. Restoration of the area will be completed to both parties' satisfaction. 4. INDEMNIFICATION. To the extent allowed by Wyoming law, Thayne shall indemnify, protect, defend and hold harmless the Wright Trust from and against any and all losses arising from, in connection with or caused by Thayne's performance of this Agreement, including, but not limited to, the following: (a) all losses arising from, in connection with or caused by a material breach of this Agreement by Thayne; (b) any personal injury or death caused, directly or indirectly, by any act or omission of Thayne or its employees or agents; (c) any loss of or damage to property caused; directly or indirectly, by any act or omission of Thayne or its employees or agents; (d) all losses arising from, in connection with or caused by the use, misuse or failure of any equipment or facility used by Thayne, or by any of its employees, or agents, regardless of whether such equipment or facility is furnished, rented or loaned to Thayne. 5. INSURANCE. Thayne, as a political subdivision of the State of Wyoming, is covered by the Wyoming Local Government Liability Pool, and to the extent that such coverage does not cover liability, is self insured for claims not barred by sovereign immunity. a. Thayne shall require any contractor working for Thayne pursuant to this TEMPORARY CONSTRUCTION EASEMENT AGREEMENT THE WRIGHT TRUST TOWN OF THAYNE PAGE 2 OF 5 Agreement to indemnify and hold harmless the Wright Trust from and against any and all losses arising from, in connection with or caused by the contractor's operations on the Wright Trust Tract, including, but not limited to, the following: (a) any personal injury or death caused, directly or indirectly, by any act or omission of the contractor or its employees or agents; (b) any loss of or damage to property caused; directly or indirectly, by any act or omission of the contractor or its employees or agents; (c) all losses arising from, in connection with or caused by the use, misuse or failure of any equipment or facility used by contractor, or by any of its employees, or agents, regardless of whether such equipment or facility is furnished, rented or loaned to the contractor. b. Thayne shall require any contractor performing work on the Wright Trust Tract to be fully covered by Wyoming Worker's Compensation insurance. Prior to commencement of construction, Thayne shall procure and provide the Wright Trust with written evidence of such coverage. c. Thayne shall require any contractor performing work on the Wright Trust Tract to have in place a Commercial General Liability Insurance Policy issued by an insurance company licensed to provide insurance within the State of Wyoming with a $2,000,000.00 per occurrence and $2,000,000.00 annual aggregate limit. Said policy shall name Thayne and the Wright Family Trust as additional insureds. Prior to commencement of construction, Thayne shall procure and provide the Wright Trust with written evidence of such coverage. 6. NOTICES. Any notice, request, demand, instruction or other communication to be given to any party hereunder shall be in writing and delivered as follows: a. To the Wright Trust: Clair L. Notice shall be delivered personally, including by messenger -or courier, or by certified mail, return receipt requested, postage prepaid. or electronically. The addresses and addressees may be changed by giving written notice of such change in the manner provided herein for giving notice. Unless and until such written notice is received, the last address and addressee as stated by written notice, or as provided herein if no written notice or change has been sent or received, shall be deemed to continue in effect for all purposes hereunder. 7. SUCCESSORS AND ASSIGNS. This Agreement shall be binding upon and inure to the benefit of each of the parties hereto and to their respective successors and assigns. Neither the Wright Trust nor Thayne shall assign this Agreement without the prior written consent of the other. Any assignment without such consent shall be null and void. 8. GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming 9. ENTIRE AGREEMENT, This Agreement constitutes the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding except to the extent incorporated in this Agreement. 10. MODIFICATION OF AGREEMENT. Any modification of this Agreement shall be binding only if evidenced by agreement in writing signed by the parties hereto or their successors or assigns. 11. WAIVERS. The failure of any party to this Agreement to enforce the performance of the terms and conditions set forth herein, or a waiver of a breach of any of the terms and conditions set forth herein, shall not be construed as a continuing waiver of such failure or breach, and the terms and conditions shall remain in full force and effect as if no such forbearance or waiver had occurred.
