This ASSIGNMENT, BILL OF SALE AND CONVEYANCE (this "Assignment
dated effective January 1, 2013 at 7:00 a.m. Mountain Time (the "Effective Time is from
MILLER OIL GAS ASSETS, LLC, a Colorado limited liability company, with an address
of 6040 Greenwood Plaza Boulevard, Englewood, Colorado 80111 "Assignor to
GRANDHAVEN ENERGY, LLC, a Wisconsin limited liability company, with an address of
730 17 Street, Suite 800, Denver, CO 80202 "Grandhaven GOLDLINE CREEK, LLC, a
Colorado limited liability company, with an address of 730 17 Street, Suite 800, Denver, CO
80202 "Goldline DAKOTA VENTURES I, LLC, a Colorado limited liability company,
with an address of 9716 Sunset Hill Circle, Lone Tree, CO 80124 "Dakota and GEO
RESOURCE MANAGEMENT, LLC, a Colorado limited liability company, with an address of
P. O. Box 3193, Englewood, Colorado 80155 -3193 "Geo Grandhaven, Goldline, Dakota and
Geo shall collectively be referred to as "Assignees."
For $100.00 and other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, Assignor hereby sells, assigns, transfers, grants, bargains and
conveys to Assignees all of Assignor's right, title and interest, in the following (collectively, the
"Property
A. All of the interests in the oil and gas leases, all working interests, overriding
royalties, net profits interests, production payments and other oil and gas interests, if any,
owned by Seller attributable or related to the leases described in Exhibit A attached
hereto (collectively, the "MOGA Leases whether or not correctly described on
Exhibit A, and in and to all lands covered by the MOGA Leases (the "MOGA Lands
including without limitation, the lands more specifically described on Exhibit A;
B. All of the interests attributable to the MOGA Leases in all of (i) the oil and /or gas
wells located on the MOGA Lands (the "MOGA Wells"), including without limitation
the MOGA Wells described on Exhibit B, and whether or not correctly described on
Exhibit B, and (ii) all production facilities, personal property, equipment, fixtures,
improvements, permits, rights -of -way and easements to the extent used in connection
with the production, gathering, treatment, processing, storing or sale of oil, gas and all
other hydrocarbons "Hydrocarbons produced from the MOGA Wells;

C. It is the intent of Seller to sell and for Buyer to buy, all of the oil and gas interests
owned by Seller in all leases and wells owned by Seller, whether or not correctly listed
on the Exhibits attached hereto, and all such interests shall be covered by this Agreement;
D. To the extent assignable, all existing and effective Hydrocarbon gathering,
transportation, processing and sales contracts, unitization agreements, operating
agreements, unit operating agreements, pooling agreements, farmout agreements, service
agreements and other contracts, agreements and instruments, insofar as they relate to the
properties and interests described in Sections A and B (collectively, the "MOGA
Contracts
E. All Hydrocarbons produced from the MOGA Wells after the Effective Time that
are attributable to the MOGA Leases; and
F. Copies of all title and other information relating to the Property in Seller's
possession, including (i) title opinions and title status reports pertaining to the Property,
(ii) copies of the leases, prior conveyances, unitization, pooling and operating
agreements, division and transfer orders, (iii) records relating to the payment of rentals,
royalties and other payments due under the Property, (iv);permits, easements, licenses
and orders relating to the Property, and (v)accounting records, well files, engineering
technical data, geological and geophysical data, relating to the Property (collectively, the
"Records
The Property to be conveyed to Assignees in the percentages set forth below:
GRANDHAVEN ENERGY, LLC 58%
GOLDLINE CREEK, LLC 12%
DAKOTA VENTURES I, LLC 10%
GEO RESOURCE MANAGEMENT, LLC 20%

TO HAVE AND TO HOLD the Property unto Assignees and their successors and assigns
forever.
This Assignment is made and accepted expressly subject to the following terns and
conditions:
1. This Assignment is executed and the Property is being conveyed by Assignor to
Assignees "where is" and "as is and without any warranty of title, express or implied except
Assignor warrants and agrees to defend Assignor's title to the Property against the lawful claims
and demands of all persons claiming or to claim the same or any part thereof by, through or
under Assignor, but not otherwise.
2. EXCEPT AS SET FORTH IN PARAGRAPH 1 ABOVE, AND EXCEPT AS
SET FORTH IN THE PSA (AS DEFINED BELOW), THIS ASSIGNMENT IS MADE
WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

ASSIGNOR EXPRESSLY DISCLAIMS AND NEGATES ANY WARRANTY AS TO THE
CONDITION OF ANY PERSONAL PROPERTY, EQUIPMENT, FIXTURES AND
ITEMS OF MOVEABLE PROPERTY COMPRISING ANY PART OF THE PROPERTY,
INCLUDING (i) ANY IMPLIED OR EXPRESS WARRANTY OF
MERCHANTABILITY, (ii) ANY IMPLIED OR EXPRESS WARRANTY OF FITNESS
FOR A PARTICULAR PURPOSE, (iii) ANY IMPLIED OR EXPRESS WARRANTY OF
CONFORMITY TO MODELS OR SAMPLES OF MATERIALS, (iv) ANY RIGHTS OF
ASSIGNEES UNDER APPLICABLE STATUTES TO CLAIM DIMINUTION OF
CONSIDERATION, AND (v) ANY CLAIM BY ASSIGNEES OR DAMAGES BECAUSE
OF DEFECTS, WHETHER KNOWN OR UNKNOWN, IT BEING EXPRESSLY
UNDERSTOOD BY ASSIGNEES THAT SAID PERSONAL PROPERTY, FIXTURES,
EQUIPMENT, AND ITEMS ARE BEING CONVEYED TO ASSIGNEES "AS IS
"WHERE IS WITH ALL FAULTS, AND IN THEIR PRESENT CONDITION AND
STATE OF REPAIR.
3. Assignees shall, to the extent permitted by law, be subrogated to Assignor's rights
in and to warranties given with respect to the Property. Assignor hereby grants and transfers to
Assignees, their successors and assigns, to the extent so transferable and permitted by law, the
benefit of and the right to enforce the covenants and warranties, if any, which Assignor is
entitled to enforce with respect to the Property, but only to the extent not enforced by Assignor.
4. This Assignment is expressly subject to the terms and conditions of that certain
Purchase and Sale Agreement, between Assignor and Assignees, dated as of May 8, 2013 (the
"PSA Capitalized terms used but not defined herein shall have the meanings given to such terms
in the PSA. If there is a conflict between the terms of this Assignment and the PSA, the terms of the
PSA shall control.
5. Separate assignments of the Property may be executed on officially approved
forms by Assignor to Assignees, in sufficient counterparts to satisfy the applicable statutory and
regulatory requirements. Those assignments shall be deemed to contain all of the exceptions,
reservations, warranties, rights, titles, power and privileges set forth herein as fully as though
they were set forth in each such assignment. The interests conveyed by such separate
assignments are the same, and not in addition to, the Property conveyed herein.
6. This Assignment binds and inures to the benefit of Assignor and Assignees and
their respective successors and assigns.
7. This Assignment may be executed in any number of counterparts, and by different
parties in separate counterparts, each of which shall be deemed to be an original instrument, but
all of which together shall constitute but one instrument. To facilitate recordation or filing of
this Assignment, each counterpart filed with a county or state agency or office may contain only
those portions of the Exhibits to this Assignment that describe property under the jurisdiction of
that agency or office. Complete copies of this Assignment containing the entire Exhibits have
been retained by Assignor and Assignees.
