HomeMy WebLinkAbout971534RECEIVJEDAmizui 3 at 11:zz AM REC 971534 BOOK: 813 PAGE: 826 JEANNE WAGNER LINCOLN COUNTY CLERK, KEMMERER, WY STATE OF WYOMING COUNTY OF LINCOLN ASSIGNMENT, CONVEYANCE AND BILL OF SALE IN RETURN for valuable consideration paid and received, Passport Energy Inc., a Colorado corporation, 210 East Marcy, #8, Santa Fe, NM 87501, (the "Assignor hereby TRANFERS, ASSIGNS and CONVEYS, without warranty of title of any kind or type, express or implied, to the parties and entities set forth below (collectively the "Assignees in the percentages specified opposite their names, all (100 of the Assignor's mineral interest, overriding royalty interest, working interest, net revenue interest, oil, gas and /or mineral leasehold interest and any and all oil and gas interests of whatsoever kind or type, whether divided or undivided, in and to the assignment(s), oil and gas lease(s), land(s) and depth(s) described in EXHIBIT "A" attached hereto and incorporated herein for all purposes by this specific reference; together with a like interest in: (1) all oil and /or gas production and proceeds or accounts related thereto; (2) all operating agreements, letter agreements, farmout and farmin agreements, pooling, unitization and communitization agreements, and any and all other oil and gas contracts of the kind and type described above that are or may be related thereto or associated therewith; and (3) all personal property, production facilities, well bores, sub surface equipment, well and surface equipment, tanks, lines, pumps, roads, rights -of -way, easements, fixtures and appurtenances located thereon, attached thereto or used or obtained in connection therewith. The Assignees, their addresses and their respective undivided percentage interests are as follows: Names and Addresses Undivided Percentage of Assignees Interests PASSPORT ENERGY LLC 210 East Marcy, #8 Santa Fe, New Mexico 87501 OSAGE LLC 105 Sol Y Lomas Santa Fe, NM 87505 TOTAL 50.00% 50.00% 100.00% (of Assignor's Interest) This ASSIGNMENT, CONVEYANCE AND BILL OF SALE (the "ASSIGNMENT shall and hereby does cover, include and convey any and all after- acquired title and after acquired property, both real and personal, of the kind and type described herein that is or may be necessary or required in order to ultimately vest in the Assignees all of the Assignor's right, title and ownership interests in the assignment(s), oil and gas lease(s), land(s) and depth(s) described in EXHIBIT "A" and conveyed hereby, on and as of the effective date hereof. This ASSIGNMENT shall and hereby does cover, include and convey, all of the Assignor's right, title and ownership interest in the assignment(s), oil and gas lease(s), land(s) and depth(s) described in EXHIBIT "A regardless of the adequacy, quantum, accuracy or correctness of the land, lease or legal descriptions or the decimal or fractional interests contained or set forth herein, if any. It is Assignor's intent hereby to convey all of its interest described in EXHIBIT "A as well as all of its interest under any Unit or Communitization Agreements associated with their interest described in EXHIBIT "A This ASSIGNMENT is and has been executed: (A) for purposes of complete division of their interests described in EXHIBIT "A" (B) as evidence that said assignment(s), oil and gas lease(s), land(s) and depth(s) are no longer subject to ownership by Assignor, and (C) as evidence that title in and to said assignment(s), oil and gas lease(s), land(s) and depth(s) be, and hereby is, vested in the Assignees. The Assignor and Assignees agree to and shall execute or cause to be executed any and all other instruments, documents, agreements and assignments that are or may be deemed necessary, required or advisable in order to fully effectuate the intent of and comply with the terms, conditions and provisions contained in this ASSIGNMENT. The terms, conditions and provisions of this ASSIGNMENT shall extend to and inure to the benefit of the Assignor and Assignees, as well as their respective successors, executors, assignees and legal representatives. By their receipt, acceptance and recordation hereof, the Assignees agree to and shall comply with any and all laws, ordinances, rules and regulations with respect to the assignment(s), oil and gas lease(s) and land(s) described in EXHIBIT "A" attached hereto, including the plugging and abandonment of wells and/or abandonment of the personal property conveyed hereby, including, where applicable, ordinances, laws, rules and regulations governing the plugging of wells, the compliance with laws or rules regarding inactive or unplugged wells, bonding requirements and surface restoration matters. The Assignees agree to and shall protect, defend, indemnify and hold the Assignor harmless from and against any and all costs, expenses, damages, claims, losses, liabilities, demands and causes of action, including attorney's fees, of every kind and character, including but not limited to pollution and environmental claims, arising out of, or in connection with the assignment(s), oil and gas lease(s) and land(s), plugging requirements or exceptions thereto, and bonding requirements from and after the effective date hereof. This ASSIGNMENT and the assignment(s), oil and gas lease(s), land(s) and depth(s) conveyed hereby are subject to: 1. The terms, conditions, provisions, limitations, restrictions and obligations of the assignment(s) and oil and gas lease(s) described in EXHIBIT "A" attached hereto; 2. Any and all roads, easements, rights -of -way and restrictions affecting, relating to or burdening the land(s) described in EXHIBIT "A" attached hereto and existing of record in the official records of the county in which said land(s) are located as of the date hereof; 3. Any and all oil, gas and mineral reservations, conveyances, assignments, transfers, contracts or agreements covering, affecting or relating to the assignment(s), oil and gas lease(s) and land(s) described in EXHIBIT "A" attached hereto and existing of record in the official or public records of the county in which said land(s) are located as of the date hereof; and 4. All royalty, overriding royalty and other obligations burdening the assignment(s), oil and gas lease(s) and land(s) described in EXHIBIT "A" attached hereto and existing of record in the official or public records of the county in which said land(s) are located as of the date hereof.
