the point of beginning, being a right of way 25 feet in width.
TOGETHER with all improvements and appurtenances thereon situate or in anywise
appertaining thereunto.
SUBJECT, HOWEVER, to all reservations, restrictions, exceptions, easements and
rights -of -way of record or in use.
TO HAVE AND TO HOLD the same together with the tenements, hereditaments, and
appurtenances thereto belonging, and the rents, issues, and profits thereof, unto the
MORTGAGEE in fee simple.
AND, the MORTGAGOR covenants with the MORTGAGEE that the MORTGAGOR is
indefeasibly seized of said land in fee simple; that the MORTGAGOR has good right and lawful
authority to convey said land as aforesaid; that the MORTGAGOR will make such further
assurances to perfect the fee simple title to said land and the MORTGAGEE as may reasonably be
required; that the MORTGAGOR hereby warrants the title to said land and will defend the same
against the lawful claims of all persons whosoever; and that the said land is free and clear of all
encumbrances.
PROVIDED, ALWAYS, that if the certain Promissory Note, of which MORTGAGOR is
guarantor, in the amount of Three Hundred Fifty Thousand Dollars ($350,000.00), a copy of
which is attached as Exhibit A, shall be paid in full according to its terms, and if MORTGAGOR
shall abide by the terms of the Promissory Note and this Mortgage Deed, then this Mortgage and
the estate hereby created shall cease and be null and void.
AND THE MORTGAGOR shall not destroy, damage or substantially change the property
or allow the property to deteriorate or commit waste.
AND THE MORTGAGOR shall protect the MORTGAGEE'S rights and security in the
property, and shall provide insurance to protect the MORTGAGEE. The MORTGAGEE shall be
named in said insurance, which shall be carried in an amount not less than the Promissory Note
attached as a part of this Mortgage. Said insurance coverage shall extend against loss by fire and
hazards, including extended coverage.
NON ASSUMABLE -NON TRANSFERABLE MORTGAGE. If all or any part of the
property or any interest in it is sold or transferred without the MORTGAGEE'S prior written
consent, the. MORTGAGEE may, at his option, require immediate payment in full of all sums

MORTGAGOR, their heirs or assigns, at public auction, for cash according to Title 34, Chapter
4, Wyoming Statutes as the same presently exists or my hereafter be amended.

MORTGAGEE, said demand may be exercised upon ten (10) days notice. It is the intent of this
Mortgage that the MORTGAGEE shall receive possession during any foreclosure action. Failure
by the MORTGAGEE to exercise any of the:rights or options herein provided shall not constitute
a waiver of any rights or options under the Promissary Note or this Mortgage accrued or
thereafter accruing.
