ASSIGNMENT, CONVEYANCE AND BILL OF SALE
Rex L. Randolph and Karen Randolph, individually and as trustees of the Rex L. Randolph
Revocable Living Trust dated September 29, 2000, (collectively, "Grantor for and in consideration
of One Hundred ($100) and more Dollars, hereby transfers, assigns and conveys unto OGI, Inc. 841
Hersch Avenue, Pagosa Springs, CO 81147 (505) and Wind River Resources, Inc., P.O. Box 2944,
Casper WY 82602 (50 "Grantees all of Grantor's right, title and interest in:
(a) The oil, gas, coal and other minerals, fissionable materials, royalties, leasehold
interests, overriding royalties, net profits and similar interests in lands in the lands "Lands together
with the leases covering those lands "Leases described on Exhibit A, attached hereto and
incorporated by reference;
(b) All personal property, fixtures, equipment and improvements located on or related to
the leases as of December 15, 2011;
(c) All operating, unitization and pooling agreements, declaration, designations and other
instruments, and the properties covered and the units created thereby, which relate to the Lands and
Leases, and all rights and benefits thereunder or derived therefrom;
(d) All other net profits interest, reversionary interest, property, leases, contracts,
agreements, licenses, permits, easements and rights of way, interest and rights, incident or appurtenant
to, or used in connection with, any of the Lands or Leases. (All of the property and rights described in
(a), (b), (c) and (d) are collectedly referred to as the "Interests
(e) All personal property, fixtures, equipment and improvements, located on or related to
the Interests used, useful or held for future use in connection with the exploration or development or
operation thereof or in connection with the production or handling or treating or storing or
transportation or petroleum or minerals produced therefrom or attributable thereto;
Grantor does hereby warrant title to the Interests against the claims of all persons claiming by,
through, or under Grantor, but not otherwise, and Grantees shall be fully subrogated to the rights or
Grantor under all warranties of title previously made by others.
All taxes levied against the Interests shall be prorated between Grantor and Grantee as of the
Effective Date. Production taxes measured, levied or assessed on oil and gas produced prior to the
Effective Date shall be paid by Grantor and taxes measured, levied or assessed on oil and gas
produced on and after the Effective Date shall be paid by Grantees.
Grantor agrees that it will, on and after the closing date, from time to time and upon reasonable
request from Grantees, execute, acknowledge and deliver, in proper form, any instrument of
conveyance, assignment, transfer or other instruments, including but not limited to, transfer orders,
federal and sate form assignments, necessary or desirable for perfecting in Grantees, its successors or
assigns, title to the Interests.

by the last settlement for payment on each Interest, respectively "Effective Date
