HomeMy WebLinkAbout868393OIL,GAS AND OTHER MINERAL AND ROYALTY AND OVERRIDING ROYALTY CONVEYANCE STATE OF WYOMING KNOW ALL MEN BY THESE PRESENTS: COUNTY OF LINCOLN That Rosemary Anselmi P.O. Box 1864 La der Wyoming, 82520, hereinafter called Grantor (whether one or more) for and in consideration of the sum of TWO T Opaq in hand paid and other good and valuable considerations, the receipt of which is hereby acknowledged, does hereby grant, bargain, sell, convey, assign, and deliver unto W2 Royalties, a Texas General Partnership, P. O. Box 3601, Midland, Texas 79702 hereinafter called "Grantee" all of Grantor's interest in and to all of the oil, gas and other mineral rights and royalty and overriding royalty interest in, on and under and that may be produced from any lands in LINCOLN COUNTY, WYOMING, including but not limited to the property described in the attached Exhibit "A" to wit: together with the rights of ingress and egress at all times for the purpose of mining, drilling, exploring, operating, and developing said lands for oil, gas and other minerals, and storing, handling, transporting and marketing the same therefrom with the right to remove from said land all of Grantee's property end improvements. This grant shall ran, and the rights, titles and privileges hereby granted Shull extend to Grantee herein, and to Grantee's heirs, administrators, executors and assigns, forever. THIS CONVEYANCE SELLS ALL OF GRANTORS INTEREST IN LINCOLN COUNTY WHETHER SPECIFICALLY DESCRIBED OR NOT. GRANTOR AGREES TO EXECUTE ANY ADDITIONAL DOCUMENTS NECESSARY TO MORE SPECIFICALLY CONVEY THE PROPERTY. This sale is made subject to any rights now existing to any lessee or assigns under any valid and subsisting oil and gas lease heretofore executed and now of legal record; it being understood and agreed that said Grantee shall have, receive and enjoy the herein granted undivided interest in and to all bonuses, rents, royalties, overriding royalty and other benefits which may accrue thereunder from and after the date hereof, precisely as if the Grantee herein had been at the date of making said lease and /or leases the owner of a similar undivided interest in and to the lands above described and none other and Grantee one of the lessors therein. Grantor does hereby irrevocably appoint and constitute grantee as his agent and attorney in fact for the limited purpose only of executing division orders, transfer orders and all other instruments as may be necessary to make fully effective this conveyance of interests, so that he may act in grantors place and stead for this limited purpose only. Grantor agrees to execute such further assurances as may be requisite for the full and complete enjoyment of the rights herein granted and likewise agrees that Grantee herein shall have the right at any time to redeem for said Grantor by payment any mortgage, taxes, or liens on the above described land upon default in payment by Grantor, and be subrogated to the rights of the holder thereof. In addition to the foregoing, Grantor does hereby Transfer, Assign, and Set Over unto Grantee all of Grantor's interest in and to all monies, proceeds, income, and other personal properties now on hand or in the possession of any third party, bank, trustee, or pipeline company, which have heretofore accrued to the mineral and /or royalty and /or overriding royalty interest of Grantor in said land that has been herein conveyed to Grantee. The royalty and overriding royalty interest, if any, so conveyed shall be free and clear of all costs of exploration, development, operation, marketing or other expenses. TO HAVE AND TO HOLD The above described property and easement with all and singular the rights, privileges and appurtenances thereunder or otherwise belonging to said Grantee herein their heirs, successors, and assigns forever, and Grantor does hereby bind himself, heirs, executors, administrators, successors and assigns to warrant and forever defend all and singular the sail property unto the said Grantee herein, heirs, successors and assigns against every person whomsoever claiming or to claim the same or any part thereof.
