This Quitclaim Assignment and Bill of Sale "Assignment dated as of July 12, 2000 (the "Closing
Date but effective as of 7:00 a.m., local time, where the Properties are located on July 1, 2000 (the
"Effective Date is from MARATHON OIL COMPANY, an Ohio corporation "Assignor whose

For One Dollar ($1.00) and other good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, Assignor does hereby assign, sell, transfer, and QUITCLAIM unto
Assignee, its heirs, successors and assigns forever, without warranty or covenant of title, express or
implied, but subject to the limitations, conditions, reservations, agreements and exceptions set forth in this
Assignment and in Exhibit A attached hereto, and subject to the terms of any applicable instruments of
record in the County or Counties where the Properties are located, all of Assignor's right, title and interest
in and to the following real and personal property (the "Properties
1. All oil and gas leases, mineral fee properties or other interests INSOFAR AND ONLY INSOFAR
as set out in Exhibit A (collectively, the "Leases The use of any well or unit name in the
heading of Exhibit A is for Assignor's identification purposes only, and shall not enlarge or
diminish the interests assigned.
2. All presently existing contracts to the extent they are assignable and to the extent they affect the
Leases, including agreements for the sale or purchase of oil, gas and associated hydrocarbons,
processing agreements, division orders, unit agreements, operating agreements, and all other
contracts and agreements arising out of, connected with, or attributable to production from the
Properties.
3. All personal property, wells, facilities, fixtures, and equipment situated upon and used solely in
connection with the Leases for any operations of any kind or character including, but not limited,

bond in the required amount, and within ten (10) days after the Closing Date supply it to the regulatory
body requiring such bond, to the end that Assignor's bond shall be promptly released and discharged. In
the event Assignee fails to do any of the foregoing, Assignee agrees to release, indemnify, defend and hold
harmless Assignor, its officers, directors, employees, and parent, subsidiary and affiliated corporations for
all liability for such failure.
Assignee hereby expressly assumes and agrees to be bound by and to perform all of the duties and
obligations (express or implied) relating to the Properties, which shall include but not be limited to, the
filing of all reports of operations and production, and the royalty payor responsibility on all Federal,
Indian, State and private leases, accruing after the Effective Date of this Assignment under any contract,
unit or operating agreement, or any other agreement affecting the Properties. Assignee shall file a Payor
Information Form and establish itself as payor on all Federal and Indian leases covering the Properties on
or before the Effective Date, or within fifteen (15) days of the Closing Date, whichever is later. Assignee
further expressly assumes and agrees to be bound by and to perform all of the royalty payor duties arising
and accruing prior to the Effective Date of this Assignment to the extent of the suspense funds identified
and credited to Assignee at post closing pursuant to Article VI.
Assignee agrees to release, protect, defend, indemnify, and hold forever Assignor its officers,
directors, employees, and parent, subsidiary and affiliated corporations harmless from all claims, suits,
causes of action, demands, liabilities, judgments, fines, penalties, expenses (including, but not limited to
court costs and attorneys' fees), damages and losses of any nature (collectively and individually the
"Claims whether existing on or after the Effective Date, relating to or arising from the ownership or
operation of the Properties from and after the Effective Date including (i) Claims arising from any duties
and obligations assumed under this Assignment, including the filing of all reports of operations and
production, and royalty payor responsibility on all Federal, Indian, State and private leases, (ii) Claims
arising under any contracts or agreements affecting the Properties, (iii) Claims arising from any accounting
errors, and (iv) Claims arising from or alleged to arise from Assignor's negligence.
As to any specific Property requiring concurrence or approval of assignment by a third party, such
concurrence or approval shall be obtained by Assignee at its sole cost.
Article III
To the extent that Assignor continues to own any interest to which Assignor requires access through
or over the Properties, Assignor and Assignee shall have concurrent and mutual easements to the Properties
for the purpose of exploring, drilling, producing, storing and marketing oil and gas from the parties'
respective zones, and the parties shall share in any and all rights granted by said contracts and incident to
such exploration and production, including, but not limited to, the right to lay pipelines, water lines, power
lines, dig pits, erect structures, and do and perform any and all things reasonably necessary to the interests
of the respective parties. If Assignee is assigned a Property which covers less than all of the depths in a
pooled area or unit, Assignee shall have no rights to share in any pooled /unit production from any depth
not assigned.

materials and equipment located on the Properties may contain NORM and that NORM containing
materials may be buried or have been otherwise disposed of on the Properties. Assignee expressly
acknowledges and understands that special procedures are required for the removal and disposal of
mercury, asbestos, PCBs and NORM from the equipment and properties where it may be found. Assignee
expressly acknowledges and understands that special procedures are required for the maintenance and
closure of landfills. Assignee assumes all liability for the performance of the removal and disposal
activities, for mercury, asbestos, NORM and all other wastes and other material present on or under the
Properties and Assignee hereby releases Assignor, its parent and subsidiary corporations, and their officers,
directors, employees and servants from any liability with respect thereto.
Assignee, its successors and assigns, hereby further agrees to indemnify, defend, release and hold
harmless Assignor, its officers, directors, employees, and parent, subsidiary and affiliated corporations
from and against all claims, suits, causes of action, demands, liabilities, judgments, fines, penalties,
expenses (including court costs and attorneys' fees), damages and losses of any nature including, but not
limited to any costs of clean -up or plugging liabilities, abandonment costs and environmental problems
(collectively and individually the "Claims whether existing on or after the Effective Date brought by any
and all persons on account of any personal injury or death or damage, destruction, or loss of property,
contamination of natural resource (including soil, surface water, or ground water) resulting from or arising
out of any condition of or condition on the Properties, whether or not the condition existed before the
Effective Date, including, but not limited to, the presence, disposal or release of any material of any kind
in, on or under the Properties, without regard to Assignor's (i) negligence, whether such negligence is
active or passive, joint, sole or concurrent, or (ii) strict liability. This indemnification shall be in addition
to any other indemnity provisions contained in this instrument, and it is expressly understood and agreed
that any terms of this Article V shall control over any conflicting or contradicting terms or provisions
contained elsewhere in this Assignment.
The preceding indemnification and agreement to hold harmless shall apply to liability for voluntary
environmental response actions undertaken pursuant to the federal Comprehensive Environmental
Response, Compensation and Liability Act "CERCLA or liability under any other federal, state or local
law including the Resource Conservation and Recovery Act "RCRA The parties agree that the
indemnity provisions of this Article V above shall apply regardless of whether Assignor, its officers,
directors, employees, parent, affiliates and subsidiary corporations, and its predecessors in title to the
Properties were wholly or partially, or actively or passively negligent, or contributed to negligence, or
otherwise at fault, and whether or not the claim, damage, loss or liability is based on a theory of
negligence, negligence per se, strict liability, willful misconduct, products liability, premises liability or
other theory of liability.
Article VI
Oil remaining in the tanks above the pipeline connection on the Effective Date shall be the property
of Assignor. All gas produced and saved up to the Effective Date shall belong to Assignor. All gas
produced and saved after the Effective Date shall belong to Assignee. Assignee agrees to indemnify,
defend and hold Assignor harmless from any and all claims relating to the Properties for cash or in -kind

the parties based upon the production owned by Assignor prior to the Effective Date and owned by
Assignee on and after the Effective Date. All such taxes which accrued prior to the Effective Date have
been or will be properly paid or withheld by Assignor and all statements, returns, and documents pertinent
thereto have been or will be properly filed on behalf of Assignor. Payment or withholding of all such taxes
which accrue on or after the Effective Date and the filing of all statements, returns, and documents incident
thereto shall be the responsibility of Assignee.
C. Assignee agrees that the consideration for this Assignment excludes any sales taxes or other taxes,
if any, required to be paid in connection with the sale of the Properties pursuant to this Assignment.
Assignee shall be liable for and bear all sales and use taxes, conveyance, transfer and recording fees and
real estate transfer stamps or taxes, if any, imposed on any transfer of the Properties pursuant to this
Assignment.
D. Assignee agrees to withhold from future income distributions to royalty owners, overriding royalty
interest owners and other production burden holders as to the Properties, amounts sufficient to reimburse
Assignor for various taxes (e.g., ad valorem, real property, severance, personal property, etc.) paid by
Assignor on behalf of such interest holders while Assignor owned the Properties. The above shall include
withholdings for co- working interest owners where Assignor has paid their taxes as well. Assignor shall
provide Assignee with sufficient documentation to allow Assignee to confirm amounts to be withheld and
shall indemnify and hold Assignee harmless from liability for deducting such sums as directed by Assignor.
Assignee agrees to promptly forward to Assignor such sums which are deducted pursuant to this provision.
E. Each party to this Assignment shall provide the other party with reasonable access to all relevant
documents, data and other information which may be required by the other party for the purpose of
preparing tax returns and responding to any audit by any taxing jurisdiction. Each party to this Assignment
shall cooperate with all reasonable requests of the other party made in connection with contesting the
imposition of taxes. Notwithstanding anything to the contrary in this Assignment, neither party to this
Assignment shall be required at any time to disclose to the other party any income tax returns or other
confidential tax information.
Article VIII
In the case of any Properties operated by the Assignor, Assignee shall remove Assignor's signs
from the Properties within ten (10) working days after the date of this Assignment. In the event Assignee
fails to do so, Assignor's representatives shall have full access to the Properties for such purpose.
Article IX
By executing this Assignment, Assignee acknowledges that Assignee is able to bear the economic
risk of any oil and gas investment Assignee is obligated to or might choose to make in the Properties and
that Assignee is capable of evaluating the merits and risks of investments in the Properties. Assignee also
represents that Assignee is making the investment in the Properties for Assignee's own account and not
with a view to the distribution or sale thereof, and that Assignee is acting solely for Assignee's own account
in evaluating the Properties.
