This agreement, made as of the 15th day of June, 2000, by and between John
Russell Thornock, Sr., aka Russell Thornock, and Emma Lucy Thornock, aka Emmalue
Thornock, husband and wife, of PO Box 369, Cokeville, WY 83114 "seller and Ernest
Aden Thornock and Karen Thornock, husband and wife, of PO Box 5, Cokeville, WY

WITNESSETH:
That the seller agrees to sell and convey to the buyer, and the buyer agrees to
purchase the following described real property, situate in the County of Lincoln, State of

EXCEPTING THEREFROM the 10 -acre parcel conveyed to John and Connie
Bird and more particularly described on the attached Exhibit A.
EXCEPTING and RESERVING unto sellers an undivided one -half (1/2)
interest in all oil, gas and other mineral rights owned by sellers associated
with the described real property as more fully set forth above.
The sale is made upon the following terms and conditions, to -wit:
1. A Real Estate Sales Agreement of even date containing the complete
conditions, covenants and terms governing this transaction is now in full force and effect;
and those conditions, covenants and terms not specifically recited in this agreement, but
recited in the Real Estate Sales Agreement referred to, are incorporated herein by
reference.
2. Any and all interest, right or title acquired in the above described real property
by virtue of subsequent transactions with the undersigned seller will be wholly subject to
the right, interest and equity of the undersigned buyer in such real property arising by virtue
of this contract and the aforementioned Real Estate Sales Agreement.
3. In the event of buyer's default under the Real Estate Sales Agreement
referred to and forfeiture of buyer's interest in the described premises pursuant to the
terms of the Real Estate Sales Agreement, an affidavit by seller, or their agent, showing
such default and forfeiture and recorded in the County Recorder's Office of Lincoln County,
Wyoming, shall be conclusive proof in favor of any subsequent bona fide purchaser or
encumbrancer for value of such default and forfeiture, and buyer hereby irrevocably
authorizes seller or their agent to declare and record such default and forfeiture and agrees
to be bound by such declaration as his act and deed.
4. If at any time buyer shall receive a bona fide offer from any person to
purchase a part or all of the property being purchased herein, buyer shall send seller
written notice of the offer, its terms and conditions, and of buyer's intention to accept the
same. Seller shall have the right within 60 days of the date of mailing of the notice by
buyer to purchase the entire property for the sum of $130,000.00 less the amount of the
balance of principal, accrued interest and unpaid late charges then remaining due under
this agreement and plus the value of any improvements made by buyer after the date
hereof, in cash or certified funds. Upon payment by seller, buyer shall convey the property

to seller. If seller does not purchase the property from buyer within the time limit, then
buyer may sell the property on the terms and conditions disclosed in the notice to seller.
IN WITNESS WHEREOF, the said parties to this agreement have hereunto signed
their names as of the day and year first above written.
