HomeMy WebLinkAbout973944CONVEYANCE OF NET PROFITS OVERRIDING ROYALTY INTEREST AND OVERRIDING ROYALTY INTEREST WHEREAS, Grantor desires to assign and convey to Grantee the NPI/ORRI Interests; NOW, THEREFORE, for and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Grantor does hereby GRANT, BARGAIN, SELL, TRANSFER, ASSIGN and CONVEY unto Grantee the NPI/ORRI Interests. 0176 This Conveyance of Net Profits Overriding Royalty Interest and Overriding Royalty Interest (this "Conveyance is made by NGP Income Co- Investment Opportunities Fund II, L.P., a Delaware limited partnership "Grantor with a mailing address of 5221 N. O'Connor Blvd., Suite 1100, Irving, Texas 75039, to and in favor of Crown Energy Partners, LLC, a Delaware limited liability company "Grantee with a mailing address of 304 Inverness Way South, Suite 125, Englewood, Colorado 80112, to be effective for all purposes as of 12:01 a.m. Houston, Texas time on July 1, 2013 (the "Effective Time WHEREAS, pursuant to that certain Conveyance of Net Profits Overriding Royalty Interest (the "NPI Conveyance executed on January 28, 2010, and effective as of October 1, 2009, Grantee sold and conveyed to Grantor a net profits overriding royalty interest from and affecting certain Subject Interests as defined and described therein, including Grantee's right, title and interest in and to the oil, gas and/or mineral properties described in Annex A hereto (the "NPI Subject Interests (such net profits overriding royalty interest and all other rights, titles and interests acquired by Grantor pursuant to the NPI Conveyance being hereinafter collectively referred to as the "Net Profits Overriding Royalty Interest with a counterpart of a memorandum of the NPI Conveyance filed of record at Book 741, Page 428, in the records of Lincoln County, Wyoming, Book 141, Page 644 in the records of Sublette County, Wyoming, Book 1159, Page 174 in the records of Sweetwater County, Wyoming, and Book 946, Page 897 in the records of Unita County, Wyoming; WHEREAS, pursuant to that certain Conveyance of Overriding Royalty Interest (the "ORRI Conveyance executed on January 28, 2010, and effective as of October 1, 2009, Grantee sold and conveyed to Grantor an overriding royalty interest from and affecting certain Subject Interests as defined and described therein, including Grantee's right, title and interest in and to the oil, gas and/or mineral properties described in Annex A hereto (the "ORRI Subject Interests" and, together with the NPI Subject Interests, the "Subject Interests (such overriding royalty interest and all other rights, titles and interests acquired by Grantor pursuant to the ORRI Conveyance being hereinafter collectively referred to as the "Overriding Royalty Interest the Net Profits Overriding Royalty Interest and the Overriding Royalty Interest being hereinafter collectively referred to as the "NPI /ORRI Interests with a counterpart of the ORRI Conveyance filed of record at Book 741, Page 363 in the records of Lincoln County, Wyoming, Book 141, Page 579 in the records of Sublette County, Wyoming, Book 1159, Page 109 in the records of Sweetwater County, Wyoming, and Book 946, Page 953 in the records of Unita County, Wyoming; RECEIVED 11/1/2013 at 10:36 AM RECEIVING 973944 BOOK: 823 PAGE: 176 JEANNE WAGNER LINCOLN COUNTY CLERK, KEMM' WY 0177 To have and to hold the NPI/ORRI Interests, together with all and singular, the rights and appurtenances thereto and anywise belonging, unto Grantee, and to its successors and assigns, forever, subject, however to the terms and conditions set forth herein. Grantor hereby binds itself to warrant and forever defend all and singular title to the NPUORRI Interests unto Grantee, its successors and assigns, against every person lawfully claiming or to claim the same or any part thereof by, through or under Grantor, but not otherwise. Grantee hereby accepts the assignment of the NPI /ORRI Interests pursuant to the terms hereof. It is the intention, understanding and agreement of Grantor and Grantee that pursuant to this Conveyance, title to the NPI/ORRI Interests and the NPI Subject Interests under the NPI Conveyance and the ORRI Subject Interests under the ORRI Conveyance shall merge such that the NPI/ORRI Interests no longer burden such Subject Interests from and after the Effective Time. Grantor agrees to execute and deliver to Grantee, from time to time, such other and additional instruments, notices, and other documents, and to do all such other and further acts and things as may be necessary to more fully and effectively grant, convey and assign to Grantee the NPI/ORRI Interests. This Conveyance may be executed in multiple counterparts, each of which is deemed to be an original for all purposes although all such executed copies shall evidence and constitute one and the same Conveyance. To facilitate recordation, certain counterparts may omit those property descriptions in Annex A hereto which contain descriptions of the NPI Subject Interests and the ORRI Subject Interests located in counties other than the county in which the particular counterpart is to be recorded.
