GRANT OF EASEMENT
STEVEN A. JOHNSON AND KAREN 0. JOHNSON, husband and wife, grantors of County of Lincoln, and
State of Wyoming, hereafter referred to as GRANTOR, for and in consideration of TEN DOLLARS ($10.00)
and other valuable consideration, in hand paid, receipt of which is hereby acknowledged, CONVEY AND
WARRANT to LTS LIMITED LIABILITY COMPANY a Wyoming Limited Liability Company, GRANTEE, an
easement for the benefit of the GRANTEE, for the following purpose and under the following conditions:
1. Purpose of Easement. The easement shall be an exclusive perpetual easement on the GRANTOR
Property for installation and construction, maintenance, sign face installation, repairs,
relocation, illumination, enlargement and all general procedures required for one off premise
advertising sign structure with necessary and appropriate supporting foundations, power poles,
lighting, utility lines, and all other appurtenances (collectively the "Sign along with other
easement rights as described hereinafter.
2. Location. The Sign is located on the GRANTOR'S property described in the attached EXHIBIT A.
The Sign is located near the GRANTOR's west property line which also abuts the roadway. In the
event that the GRANTEE shall wish to relocate the Sign, the new location shall be within the
southernmost 160 feet of highway frontage of GRANTOR'S property. The Sign if relocated shall
also be within 30 feet of highway right of way line.
3. Use of Sign Area. The GRANTEE shall have the unrestricted right of ingress and egress to the
area around the Sign to erect, maintain, improve, light, move, post advertising materials,
enlarge or reduce, repair or replace Sign. This right shall include the right to operate
construction and maintenance equipment on the GRANTOR Property as required for the
easement purposes.
4. View of Sign. The GRANTEE shall have a perpetual easement which provides an unobstructed
view of the Sign from US Highway 89 or any successor roadway. This perpetual easement of
unobstructed views shall allow the GRANTEE to trim or remove vegetation or any other
obstructions on the GRANTOR Property without notice to the GRANTOR. The GRANTOR shall
not plant or construct any object or vegetation which may obstruct the view of the Sign from
said Roadway.
5. Assignment by GRANTEE: The GRANTEE shall have an unrestricted right to transfer or sell,
assign, lease, or convey this easement.
6. Binding Effect. The terms and conditions of this easement shall run with the land and shall be
binding upon the inure to the benefit of the heirs, successors and assigns of the parties named
in this instrument.

Legal Description of GRANTOR Property

All of that portion of the following described parcel which lies East of the East right -of -way line of U.S.
Highway 89, said parcel being a part of the S1 /2S1 /2SW1 /4 of Section 6, Township 31 North, Range 118
West of the 6 P.M., Wyoming, to wit: Beginning at a point which is the Southwest corner of said Section
6 and running thence 660.00 feet North 0 °12'E; thence 722.91 feet North 89 °35'E; thence 293.89 feet
South 0 °25'E; thence 214.20 feet due West; thence 635.27 feet South 54°06'17" to the point of beginning.
The East right -of -way line of U.S. Highway 89 as referred to above is described as, to wit: A line located
parallel to and 75 feet East of, when measured radially the following described centerline of said highway
right -of -way beginning on the South boundary and ending on the North boundary of said S1/2S1/2SW1/4
of said Section 6; beginning at a point of the South boundary of said S1/2S1/2SW1/4 from which the
Southwest corner thereof bears South 89°10'W a distance of 468 feet, more or less, said point of
beginning also being located on the spiral arc of a 3 °00' spiral curve to the right, the spiral lengths of
which are 450.0 feet, the total length of which is 1,681.1 feet, the total central angle of which is 36 °56',
and at which point a line tangent to said curve bears North 37°08.8'W; thence along said spiral arc
through a central angle of 6 °40.8' a distance of 403.9 feet; thence along the circular arc of said curve
through a central angle of 10 °57' a distance of 365 feet more or less, to a point on the North boundary of
said S1 /2S1 /2SW1 /4.
7. Support of Easement. GRANTOR agrees not to petition, seek, support, or undertake any zone
change of the property described which would cause the Sign to become non conforming to the
city, county, state, or federal regulations, codes, ordinances, or laws concerning off premise sign
structures, nor to allow, permit, use or grant any lease easement license or any other right to
use all or any portion of the GRANTOR Property for off premise, outdoor advertising purposes
by anyone other than GRANTEE.
