and in consideration of Ten and NO /100 Dollars ($10.00) and other good and valuable
consideration, the receipt of which is hereby acknowledged and confessed, do hereby
convey and grant to Evan Pope and Dotty Jo Pope, husband and wife as tenants by the
entirety, Grantees, this RIGHT OF FIRST REFUSAL to purchase the following described
property:
see Exhibit "A attached hereto and incorporated herein;
Should Grantors ever receive an offer to purchase said property, they do hereby
grant to Grantees the first right to purchase said property upon the same terms and
conditions as are contained in said offer. Upon receipt of any acceptable offer to
purchase said property, Grantors shall provide Grantees a true and correct copy of any
said offer. Grantees shall have thirty (30) days from their receipt of said offer to notify
Grantors, in writing, of their desire to exercise said RIGHT FIRST OF REFUSAL. If Grantees
notify Grantors that they desire to purchase said property under the terms of said offer,
Grantors shall sell said property to Grantees under the same terms and conditions of
said offer received by them. If Grantees shall notify Grantors within said thirty days
from their receipt of said offer that they do not desire to purchase said property, or if
they fail to notify Grantors within said thirty days after their receipt of said offer, this
First Right Of Refusal shall automatically expire.

A strip o lan twenty five 25) f eet in width, be part of said Tract No. 89 with the
southwesterly line described as follows:
BEGINNING at a point on the northeasterly right -of -way line of said State Highway 30, N46
26'-45"W, 1682.50 feet, from Comer No. 2 of said Tract No. 89;
thence N24 4P-13"W, 394.48 feet, along said right -of -way line to a point on the southerly
boundary of the above described Excepted parcel 4, N42 29' -48 "W, 2055.54 feet, of said
Comer No. 2;
A strip of land twenty (20) feet in width, being part of said Tract 89, with the northeasterly line
described as follows:
BEGINNING at a point of the southwesterly right -of -way line of said Oregon Short Line
Railroad, N73 07' -36 "E, 2342.44 feet of Comer No. 3 of said Tract No. 89;
thence N41 08' -36 "w, 45.69 feet along said right -of -way line, to a point, N72 05' -59 "E,
