Isaacson, Rosenbaum, Woods 633 17th Street, Suite 2200 Denver, CO t300K, PR PAGE O 18 RECEIVED LINCOLN O C t' 9 9 93 KNOW ALL PERSONS BY THESE PRESENTS: GO MM 22 r 9: P JEANNE AG1yE MINERAL DEED AND KEMMERER, WYOMING ASSIGNMENT OF OVERRIDING ROYALTY STATE: WYOMING COUNTY: LINCOLN The undersigned, Elaine Wolf, "Grantor 707 17 Street, Suite 3150 Denver, Colorado 80202, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby grant, convey, transfer, deliver and assign to 53 Hyde Park LLC "Grantee 707 17` Street, Suite 3150, Denver, Colorado 80202, all of her right, title and interest in and to all oil, gas and other minerals which may be produced from the property described on Exhibit A attached hereto and incorporated by this reference. Together with the right of ingress and egress at all times for the purpose of mining, drilling, exploring, operating and developing the property for oil, gas and other mineral production, storing, handling, transporting, and marketing the same with the right to remove from the property all of Grantee's property and improvements. Grantor hereby assigns, conveys and transfers to Grantee all of her right, title and interest in and to any and all overriding royalty interests in the properties listed on Exhibit A. The overriding royalty interest hereby assigned shall be free and clear of all cost, except for Grantee's share of gross production taxes, severance taxes and taxes of a similar nature. This assignment shall apply to any and all extensions, renewals and substitute leases obtained by the leasehold interest owners and their successors and assigns. It is the intent of this instrument to convey all of Grantor's right, title and interest in and to the property listed on Exhibit A to Grantee. Grantee shall receive all bonuses, rents, royalties, production payments or funds of any nature accrued in the past or future pertaining to the property. This assignment is made subject to all valid and subsisting oil and gas leases of record, it being understood that Grantee shall be entitled to all payments related in any way to any such oil and gas leases, extensions, renewals or substitute leases. This assignment is binding on all assigns, heirs, successors, executors, and personal representatives of the parties hereto. This assignment is made without covenants or warranty of title, either express or implied. The effective date of this assignment is January 1, 1999. State of Colorado City and )ss.
