DEFINITIONS

All capitalized terms used herein without definition shall have the meanings specified in the
Non Recourse Promissory Note. In addition, the following terms shall have the following
respective meanings:
`Applicable Rate "means the rate of interest published in the Wall Street Journal from time
to time, as the prime rate of interest.
`Assignment with Reservation of Production Payment "means that certain Assignment with
Reservation of Production Payment and Notice of Options to Repurchase dated as of the date hereof
between Mortgagor and Mortgagee.
'Contingent Reversion Date "means the first day of the month immediately following the
date on which the total volume of Gas produced and sold from the Properties equals 63,500,251
MMBtus.
'Equipment" means all machinery, equipment, improvements and other personal property
and fixtures that are (a) either (1) owned by Mortgagor or (2) jointly owned by the Mortgagor and
another Person(s) under the applicable Operating Agreements and (b) are attached or connected to
the surface or the subsurface of the Wells.
`Event of Default "has the meaning assigned thereto in Section 5.1 hereof.
`Gas "means all natural gas and other gaseous hydrocarbons in, on, under, produced from
or attributable to the Properties:
teases means an oil and gas lease described, referred to or identified in Exhibit A, together
with any renewal or extension of such lease (as to all or_any part_or_portion, thereof),__ and any
replacement lease taken upon or in anticipation of expiration or termination of such lease (if
executed and delivered during the term of or within one year after expiration of the predecessor
lease), as to all lands described in the predecessor lease as described in Exhibit A, and all renewals
and extensions of such replacement leases.

(e) in the Leases INSOFAR AND ONLY INSOFAR as the Leases
(i) cover or are allocated production of oil, gas and other hydrocarbons in place, in,
under or that may be produced from the Lands and capable of being produced
through the wellbores of the Wells, or (ii) pursuant to the unit agreements described
in Exhibit A hereto, are allocated production of oil, gas and other hydrocarbons from
the Lands included within such units and capable of being produced through the
wellbores of the Wells, but including only such of Mortgagor's leasehold or operating
rights as may be required to own and operate the Wells and to produce and market
production of oil, gas and other hydrocarbons therefrom, including, rights to rework
or recomplete each of the Wells; and
(f)
a non exclusive, irrevocable license and right to use:
(i) all Mortgagor's interest in any rights of way,
easements, servitudes, surface leases, tenements, appurtenances,
licenses, and any other rights of ingress, egress, use or occupancy of
the surface, to the extent and only to the extent the same relate,
pertain or are incidental to the Wells or any of them, or the other
rights and interests described in this definition of Properties; and
(ii) all Mortgagor's interest in other personal property
(other than the equipment described in subsection (c) of this
definition of Properties) upstream of the point at which Mortgagor's
share of production from each of the Wells is delivered for sale or
exchange to a person who takes title to such production at such point,
which personal property is necessary or convenient for the
production, gathering, storage, transportation and/or disposal of oil,
gas and other hydrocarbons, produced water, and other substances
from each of the Wells, including but not limited to, common
facilities such as tanks, treaters, separators, compressors, gathering
systems and water disposal systems.
`Wells "means the wells described in Exhibit B hereto INSOFAR AND ONLY INSOFAR
as the formations in such wells described in Exhibit B, and which wells are located on the Lands,
and at a location on said Lands, as is more particularly described in the location plat, or similar
record, for each of such wells in the records maintained in the offices of the appropriate oil and gas
regulatory or conservation agency for the state in which each of such wells is situated and identified
by the API Number- shown on Exhibit B.

2.5 Mortgagee's Powers. Without affecting the liability of any other person liable for
the payment of any obligation herein mentioned, and without affecting the lien or charge of this
Mortgage upon any portion of the Mortgaged Property not then or theretofore released as security
for the full amount of all unpaid obligations, Mortgagee may, from time to time and without notice
(i) release any person so liable, (ii) extend the maturity or alter any of the terms of any such
obligations, (iii) grant other indulgences, (iv) release or reconvey, or cause to be released or
reconveyed at any time at Mortgagee's option any parcel, portion or all of the Mortgaged Property,
(v) take or release any other or additional security for any obligation herein mentioned, or (vi) make
compositions or other arrangements with debtors in relation thereto. By accepting payment or
performance of any obligation secured by this Mortgage after the payment or performance thereof
is due or after the filing of a notice of default and election to sell, Mortgagee shall not have thereby
waived its right to require prompt payment or performance, when due, of all other obligations
secured hereby, or to declare a default for failure so to pay or perform, or to proceed with the sale
under any notice of default and election to sell theretofore given by Mortgagee, or with respect to
any unpaid balance of the indebtedness secured hereby. The acceptance by Mortgagee of any sum
in an amount less than the sum then due shall not constitute a waiver of the obligation of Mortgagor
to pay the entire sum then due. Mortgagor's failure to pay the entire sum then due shall continue to
be a default, notwithstanding the acceptance of partial payment and, until the entire sum then due
shall have been paid, Mortgagee shall at all times be entitled to declare a default and elect to sell the
Mortgaged Property, which entitlement shall in no way be impaired, whether or not such amounts
are received prior or subsequent to any notice of default given hereunder. No delay or omission of
Mortgagee in the exercise of any right or power hereunder shall impair such right or power or any
other right or power nor shall the same be construed to be a waiver of any default or any
acquiescence thereto.
3.1 Assignment of Production For the purpose of additionally securing the payment
and performance of all Mortgagor's obligations under this Mortgage and to provide an additional
means of paying the Notes and as cumulative of any and all rights and remedies herein provided for,
Mortgagor hereby TRANSFERS, ASSIGNS, GRANTS, CONVEYS and SET OVER to Mortgagee,
and its successors in interest as holder of the Notes, and grants to Mortgagee as Secured Party a
security interest in, all of the following:

of oil, gas or mineral production, then the oil or gas purchasers of production from the Mortgaged
Property or other persons obligated to make such payment shall continue to make payment of such
proceeds or amounts to Mortgagor until such time as written demand has been made upon them by
Mortgagee that payment be made direct to Mortgagee. Such failure to notify shall not in any way
waive the right of Mortgagee to receive any payments not theretofore paid out to Mortgagor before
the giving of written notice. In this regard, in the event payments are made directly to Mortgagee,
and then, at the request of Mortgagee payments are, for a period or periods of time, paid to
Mortgagor, Mortgagee shall nevertheless have the right, effective upon written notice, to require that
future payments be again made to it.
3.4 Transfer Orders. Independent of and without limiting the foregoing provisions and
authorities herein granted, Mortgagor agrees to execute and deliver any and all transfer orders,
division orders and other instruments that be required by any purchaser of the production from or
of gas or oil or products delivered through, any of the Mortgaged Property to effect payment of the
proceeds thereof directly to Mortgagee. If under any existing gas sales agreements or products sales
contracts, other than division orders or transfer orders, or under any gas transportation contract, any
proceeds are required to be paid by the purchaser or transporter direct to Mortgagor so that under
such existing agreements payment cannot be made for such proceeds of runs to Mortgagee in the
absence of foreclosure, then Mortgagor's interest in all proceeds under such sales agreement and in
all other proceeds or payments which for any reason may be paid to Mortgagor shall, when received
by Mortgagor, constitute trust funds in his hands (and Mortgagor grants to Mortgagee, as Secured
Party, a security interest in Mortgagor's interest in such proceeds) and shall be immediately paid over
to Mortgagee, if Mortgagee has requested that such payments be delivered to it under this
assignment.
3.5 Indemnity. Mortgagee and its successors and assigns are hereby absolved from all
liability for failure to enforce collection of the proceeds and amounts assigned under Section 3.1
above and from all other responsibility in connection therewith, except the responsibility to account
(by application upon the Notes or otherwise) for funds actually received. Mortgagor agrees to
indemnify and hold harmless the Mortgagee against any and all liabilities, actions, claims,
judgments, costs, charges and attorney's fees by reason of the assertion that they or either of them
have received, either before or after payment in full of the Notes, funds from the production of oil,
gas, other hydrocarbons or other minerals claimed by third persons unless such claims arise as a
result of the willful misconduct or gross negligence of Mortgagee, and the Mortgagee shall have the
right to defend against any such claims or actions employing attorneys of their own selection, and
if not furnished with indemnity satisfactory to each of them, they shall each have the right to
compromise and adjust any such claims, actions and judgments, and in addition to the rights to be
indemnified as hereinprovided, all amounts paid by the Mortgagee in compromise, satisfaction or
discharge of any such claim, action or judgment, and all court costs, reasonable attorney's fees and
other expenses of every character incurred by Mortgagee pursuant to the provisions of this Section
shall be demand obligations owing by Mortgagor and shall bear interest at the Agreed Rate from date
of expenditure until paid and shall be secured by the liens evidenced by this Mortgage.

(b) The rights of Secured Party in the event of default shall include,
without limitation, the right, by any lawful means, to take possession of the
Collateral or any part thereof and to enter, in any lawful manner, upon any premises
where same may be situated for such purpose without being deemed guilty of
trespass and without liability for damages thereby occasioned, and to take any lawful
action deemed necessary or appropriate or desirable by Secured Party, at its option
and in its discretion, to repair, refurbish or otherwise prepare the Collateral for sale,
lease or other use or disposition as herein authorized;
(c) To the extent permitted by law, Debtor expressly waives any notice
of sale or other disposition of the Collateral and any other rights or remedies of
Debtor or formalities prescribed by law relative to sale or disposition of the
Collateral or exercise of any other right or remedy of Secured Party existing after
default hereunder; and to the extent any such notice is required and cannot be waived,
Debtor agrees that if such notice is mailed, postage prepaid, to Debtor at the address
first shown herein at least ten (10) days before the time of the sale or disposition,
such notice shall be deemed reasonable and shall fully satisfy any requirement for
giving of said notice;
(d) Secured Party is expressly granted the right, at its option, to transfer
at any time to itself or to its nominee the Collateral, or any part thereof, and to
receive the monies, income, proceeds or benefits attributable or accruing thereto and
to hold the same as security for the Debtor's obligations or to apply it on the principal
and interest or other amounts owing on any of the Debtor's obligations, whether or
not then due, in such order or manner as Secured Party may elect. All rights to
marshalling of assets of Debtor, including any such right with respect to the
Collateral, are hereby waived;
(e) All recitals in any instrument of assignment or any other instrument
executed by Secured Party incident to sale, transfer, assignment, lease or other
disposition or utilization of the Collateral or any part thereof hereunder shall be full
proof of the matters stated therein and no other proof shall be requisite to establish
full legal propriety of the sale or other action taken by Secured Party or of any fact,
condition or thing incident thereto and all prerequisites of such sale or other action
or of any fact, condition or thing incident thereto shall be presumed conclusively to
have been performed or to have occurred;
(f) Secured Party may. require Debtor to assemble the Collateral and
make it available to Secured Party at a place to be designated by Secured Party that
is reasonably convenient to both parties. All expenses of retaking, holding, preparing
for sale, lease or other use or disposition, selling, leasing or otherwise using or
disposing of the Collateral and the like which are incurred or paid by Secured Party

right provided for in this Mortgage, the Notes or by law upon occurrence of any Event of Default,
including the right to exercise the power of sale.
5.2.2 Commence an action to foreclose this Mortgage as a mortgage, appoint a
receiver, or specifically enforce any of the covenants hereof.
5.2.3 Exercise all other rights and remedies provided herein, in the Note or in any
other document or agreement now or hereafter securing all or any portion of the obligations secured
hereby, or provided by law.
5.3 Appointment of Receiver. If an Event of Default shall have occurred and be
continuing, Mortgagee, as a matter of right and without notice to Mortgagor or anyone claiming
under Mortgagor, and without regard to the then value of the Mortgaged Property or the interest of
Mortgagor therein, shall have the right to apply to any court having jurisdiction to appoint a receiver
or receivers of the Mortgaged Property, and Mortgagor hereby irrevocably consents to such
appointment and waives notice of any application therefor. Any such receiver or receivers shall have
all the usual powers and duties of receivers in like or similar cases and all the powers and duties of
Mortgagee in case of entry as provided herein and shall continue as Mortgagee, respectively, in case
of entry as provided herein and shall continue as such and exercise all such powers until the date of
confirmation of sale of the Mortgaged Property unless such receivership is sooner terminated.
5.4 Application of Funds After Default. Except as otherwise herein provided, upon the
occurrence and continuation of an Event of Default hereunder, Mortgagee may, at any time without
notice, apply any or all sums or amounts received and held by Mortgagee to pay insurance
premiums, impositions, or either of them, or as rents or income of the Mortgaged Property, or as
insurance or condemnation proceeds, and all other sums or amounts received by Mortgagee from or
on account of Mortgagor or the Mortgaged Property, or otherwise, upon any indebtedness or
obligation of the Mortgagor secured hereby, in such manner and order as Mortgagee may elect,
notwithstanding that said indebtedness or performance of said obligation may not yet be due. The
receipt, use or application of any such sum or amount shall not be construed to affect the maturity
of any indebtedness secured by this Mortgage, or any of the rights or powers of Mortgagee under
the terms of the Notes, or any of the obligations of Mortgagor under the Notes, or to cure or waive
any default or notice of default under the Notes, or to invalidate any act of Mortgagee.
5.5 Costs of Enforcement. If any Event of Default occurs, Mortgagee may employ an
attorney or attorneys to protect their rights hereunder. Mortgagor promises to pay to Mortgagee, on
demand, the fees and expenses of such attorneys and all other costs of enforcing the obligations
secured hereby, including recording fees, Mortgagee's fees and expenses, receivers' fees and
expenses, and all other expenses, of whatever kind or nature, incurred by Mortgagee, in connection
with the enforcement of the obligations secured hereby, whether or not such enforcement includes
the filing of a lawsuit. Until paid, such sums shall be secured hereby and shall bear interest, from
date of expenditure, at the Agreed Rate.

or to such other place within the United States of America as any party may designate as to itself by
written notice to the others. All notices given by personal delivery or mail shall be effective on the
date of actual receipt at the appropriate address. Notice given by telecopy shall be effective upon
actual receipt if received during recipient's normal business hours or at the beginning of the next
business day after receipt if received after the recipient's normal business hours.
6.6 Caption. The captions or headings at the beginning of Articles, Sections and
Subsections hereof are for the convenience of the parties, are not a part of this Mortgage, and shall
not be used in construing it.
6.7 Invalidity of Certain Provisions. Every provision of this Mortgage is intended to
be severable. In the event any term or provision hereof is declared to be illegal, invalid or
unenforceable for any reason whatsoever by a court of competent jurisdiction, such illegality,
invalidity or unenforceability shall not affect the balance of the terms and provisions hereof, which
terms and provisions shall remain binding and enforceable. If the lien of this Mortgage is invalid
or unenforceable as to any part of the indebtedness intended to be secured hereby, or if the lien is
invalid or unenforceable as to any part of the Mortgaged Property, then all payments made on such
indebtedness, whether voluntary or under foreclosure or other enforcement action or procedure, shall
