ASSIGNMENT OF MORTGAGE OR DEED OF TRUST OR DEED
TO SECURE DEBT AND OTHER LOAN DOCUMENTS
THAT FOR VALUE RECEIVED, CADLEROCK JOINT VENTURE, L.P., a
Connecticut corporation, with offices at 100 North Center Street, Newton Falls, Ohio 44444-
1321 "Assignor") does hereby grant, bargain, sell, convey, endorse, deliver, assign and transfer
to FIRSTAR BANK, N.A., a national banking association with offices at 1350 Euclid Avenue,
Cleveland, Ohio 44115 "Assignee its successors and assigns, with recourse, all of the right,
title and interest of Assignor in and to the Mortgage "Mortgage or Deed of Trust "Deed of
Trust") or Deed to Secure Debt "Deed to Secure Debt further described on Exhibit A attached
hereto and which encumbers the real property legally described in Exhibit B attached hereto and
the note "Note and a claim evidenced and/or secured thereby and all other documents,
instruments and agreements and collateral securing the indebtedness evidenced by said Note;
Together with all the rights, members, remedies, incidents and appurtenances thereunto
belonging, accrued or to accrue, or in anywise appertaining under said Mortgage or Deed of
Trust or Deed to Secure Debt, and all the right, title, interest, estate, property, claim and demand
whatsoever, of, in and to the same, and the premises therein described; together with the Note,
the bond or obligation described in the Mortgage or Deed of Trust or Deed to Secure Debt,
mentioned, and thereby intended to be secured, and the warranty of Attorney to confess judgment
thereto annexed, and all moneys due and to grow due therefrom, with interest;
TO HAVE AND TO HOLD the same unto the Assignee and to the successors, legal
representatives and assigns of the Assignee, forever.
The Assignor thereby represents and warrants to the Assignee that (i) the Assignor is the
legal and equitable owner of said Note, Mortgage or Deed of Trust, or Deed to Secure Debt, and
other said loan documents, with full power to sell and assign the same; (ii) it has not encumbered
said Mortgage or Deed of Trust or Deed to Secure Debt, in any manner by assignment or
otherwise; (iii) it has executed no release, discharge, satisfaction or cancellation of said Mortgage
or Deed of Trust or Deed to Secure Debt; (iv) it has executed no release of any portion of the
security described in said Mortgage or Deed of Trust or Deed to Secure Debt; and (v) it has not
extended the time for the provisions and terms contained in said Mortgage or Deed of Trust, or
Deed to Secure Debt, or the Note secured thereby;

jurisdiction, personally came and appeared DANIEL C. CADLE and RUTH A. CADLE who,
being by me duly sworn, and did depose and say that they reside at 4363 LaFrance Street,
Newton Falls, Ohio 44444. DANIEL C. CADLE and RUTH A. CADLE are to me personally
known to be the President and Secretary of CADLEROCK, INC., an Ohio corporation and
general partner of CadleRock Joint Venture, L.P., an Ohio limited partnership, to be the persons
whose genuine signatures are affixed to the foregoing document, who signed said document
before me in my said jurisdiction and in the presence of the two witnesses whose names are
thereto subscribed as such, being competent witnesses, and who acknowledged, in my presence
and in the presence of said witnesses, that being informed of the contents of the conveyance, they
signed the above and foregoing document as their own free act and deed and the free act and
deed of said corporation and partnership and for the uses and purposes therein set forth and
apparent; that the signatures of the President and Secretary are in their own proper handwriting;
and that they know the seal of said corporation and the partners of said partnership; that the seal
affixed to said instrument is such corporate seal; that it was so affixed by order of the board of
directors of said corporation and the partners of said partnership; and that they signed their name
thereto, executed, acknowledged and delivered said instrument by the same resolution of the
board of directors of said corporation and partners of said partnership.

affixed my hand and seal, together with the said witnesses on the day and date first above
