THIS ASSIGNM NT OF OWNERSHIP INTEREST (the "Assignment is made and
entered into as of the I�' day of IVl6t -ok 2013 by and between the Estate of Emil Hecht
"Assignor and Judy Hecht Dumontet and Jeffrey Hecht "Assignees

RECITALS
This Assignment is made with reference to the following facts:
1. Emil Hecht died on December 12, 2010.

2. Pursuant to the Will of Emil Hecht "Will dated November 20, 2010, the assets
of his estate are to be distributed one -half to Judy Hecht Dumontet, and one -half to Jeffrey
Hecht.
WHEREAS, the interest in the property described above is hereby assigned one -half to
Judy Hecht Dumontet, and one -half to Jeffrey Hecht.
WHEREAS, in accordance with the terms and provisions of the Lease Agreement,
Assignor and Assignee intend to serve notice to Third Party to the Lease Agreement of the
transfer and conveyance as described in the Transfer Agreement.
NOW, THEREFORE, THIS NOTICE OF ASSIGNMENT WITNESSES THAT in
consideration of the mutual advantages to the parties hereto, notice is hereby given, as follows:

Transfer Agreement covers 100% of Assignor's entire undivided right, title and
interest in the Lease Agreement but shall not include rights of the Assignor as
operator "Assigned Interest
5. Subject to Clause 7 of this Notice of Assignment, Assignor and Assignees, in
accordance with the terms of the Transfer Agreement, acknowledge that:
(i) Assignor has transferred and conveyed the Assigned Interest to the Assignees
as of the date of this agreement; and
(ii) Assignees agree to replace Assignor, on and after the date of this agreement,
as a party to the Lease Agreement with respect to the Assigned Interest; and
(iii) Assignees agree to be bound by and observe all terms, obligations and
provisions in the Lease Agreement with respect to the Assigned Interest on and
after the date of this agreement.
6. Subject to the terms and provisions of the Transfer Agreement, Assignees:
(i) discharge and release the Assignor from the observance and performance of all
terms and covenants in the Lease Agreement and any obligations and liabilities
which arise or occur under the Lease Agreement with respect to the Assigned
Interest, on and after the date of this agreement; and

7. Assignees and Assignor agree that in all matters relating to the Lease Agreement with
respect to the Assigned Interest, subsequent to the date of this agreement, Assignor
acts as trustee for and duly authorized agent of the Assignees; and Assignees, for the
benefit of the Third Party Operator, ratify, adopt and confirm all acts or omissions of
the Assignor in such capacity as trustee and agent.

8. This notice of Assignment shall become binding on all parties to the Lease
Agreement on the date signed. In addition, Assignor and Assignees agree that they
shall be solely responsible for any adjustment between themselves with respect to the
Assigned Interest as to revenues, benefits, costs, obligations or indemnities.

Assignor and Assignee on the date indicated for each below:

which had arisen or accrued prior to the date of this agreement or which does not
