CONVEYANCE AND BILL OF SALE
For a valuable consideration paid to it, the receipt and sufficiency of which are
hereby acknowledged, Robert Nardone and Beatrice C. Treat, in their capacities as Executors
and Personal Representatives of the ESTATE OF JOHN P. STRANG (also known as Jack
Strang), the address of which is "GRANTOR
has TRANSFERRED, ASSIGNED, CONVEYED and QUITCLAIMED, and by these presents
do TRANSFER, ASSIGN, CONVEY and QUITCLAIM unto:

all of the rights, titles and interests of GRANTOR in and to:
the oil and gas leases and leasehold estates (including any contractual
operating rights) in and to the lands described in the schedule attached as
Exhibit "A" hereto, less and except overriding royalty interests;
(ii) all wells, casing, pipe, tubing, separators, wellhead and in -hole equipment,
tanks, motors, pipelines, gathering lines, meters, regulators, fixtures,
facilities and other personal property and equipment in, on or used solely
in connection with the oil and gas leases and leasehold estates described in
(i) above; and
(iii) all permits, licenses, servitudes, easements, rights -of -way, orders, surface
leases, operating agreements, pooling agreements, unitization agreements,
communitization agreements, processing agreements, transportation
agreements, disposal agreements, water rights, equipment leases,
hydrocarbon sales agreements, exploration agreements, and all other
agreements which cover, relate to, or are appurtenant to or are used in
connection with such properties and interests.

GRANTOR MAKES NO WARRANTY OR REPRESENTATION, EXPRESS
OR IMPLIED, WITH RESPECT TO THE OPERABILITY OR PRODUCTIVITY OF ANY
WELL OR THE MERCHANTABILITY, QUALITY, CONDITION, OR FITNESS FOR ANY
PARTICULAR PURPOSE, OR OPERABILITY OF ANY PERSONAL PROPERTY OR
EQUIPMENT IN, ON OR USED OR OBTAINED IN CONNECTION WITH ANY
PROPERTY, INTEREST OR ASSET HEREIN SOLD, TRANSFERRED OR ASSIGNED,
AND ALL OF SUCH PERSONAL PROPERTY AND EQUIPMENT IS ACCEPTED BY
GRANTEES "AS IS, WHERE IS IN THE CONDITION IN WHICH THE SAME EXISTS
AND WITH ALL FAULTS AND DEFECTS, WHETHER APPARENT OR HIDDEN.
The Assignment, Conveyance and Bill of Sale EXCLUDES all of the interests of
Grantor (if any) in and to oil, gas and other minerals, royalty in oil, gas and other minerals, and
overriding royalty interests in oil, gas and other minerals in and under the lands described on
Exhibit "A" hereto.
This Assignment, Conveyance and Bill of Sale is made without warranty to title,
express or implied and is made by Robert Nardone and Beatrice C. Treat solely in their fiduciary
capacities and Executors and Personal Representatives of the Estate of John P. Strang, and not in
their individual capacities.
This instrument shall be effective for all purposes, including the production of oil
and gas, as of February 1, 2014, at 7:00 o'clock A.M., at the location of the property.
