MetLife Bank, N.A., (hereinafter called, "MetLife hereby appoints, S'e eJ C lio Servicing,
Inc. (hereinafter "SPS as its true and lawful attorney -in -fact to act in the name, place and stead
of MetLife for the limited purposes set forth below and only for such purposes. This Limited
Power of Attorney "LPOA is made with respect to the transfer of certain mortgage loans
acquired by JPMorgan Chase Bank, N.A., which were at one time owned by MetLife and which
are currently serviced by SPS (such mortgage loans are referred to as the "Mortgage Loans
Now therefore, MetLife does hereby constitute and appoint SPS the true and lawful attorney
in -fact of MetLife and in MetLife's name, place and stead with respect to each Mortgage Loan
under the Agreement for the following, and only the following, purposes:
1. To execute, acknowledge, seal and deliver deeds, deed of trust/mortgage note
o z endorsements, assignments of deed of trust/mortgage and other recorded documents, tax
z o o N authority notifications and other instruments of sale, conveyance and transfer, full or
M partial releases, subordinations, appropriately completed, with all ordinary or necessary
endorsements, acknowledgments, affidavits, and supporting documents as may be
m D z necessary and proper to effect the execution, delivery, conveyance or recordation of filing

n o N 2. To execute and deliver any and all documents in connection with foreclosure,

Z o N o repossession, the taking of a deed in lieu of foreclosure, the completion of judicial or
n*. non judicial foreclosure or termination, cancellation or rescission of termination,
c 73 ,oms cancellation or rescission of any such foreclosure', substitutions of trustee(s) serving
o N under a mortgage or deed of trust in accordance with state law and the mortgage or deed
n> 3 of trust ,release of liens, substitutions of counsel, notices of rescission, transfer tax
70 o n affidavits, and other documents or notice filings on behalf of the Owner in connection
z m with foreclosure, bankruptcy and eviction actions necessary for SPS to properly service

the Mortgage Loans prior to other appropriate persons under the applicable servicing
agreement becoming mortgagee of record, and to correct or otherwise remedy any errors
or deficiencies contained in any transfer or reconveyance documents provided or
prepared by MetLife.
3. To endorse and/or assign any borrower or Mortgagor's check or negotiable instrument
received by SPS as a payment under a Mortgage Loan.
SPS shall indemnify, defend and hold harmless MetLife and its successors and assigns from
and against any and all actual losses, costs, expenses (including, without limitation,
reasonable attorneys' fees), damages, liabilities, demands or claims of any kind whatsoever,
"Claims arising out of, related to, or in connection with (i) any act taken by SPS pursuant
to this Limited Power of Attorney, which act results in a claim solely by virtue of the
unlawful, improper, or unauthorized use of this Limited Power of Attorney (and not as a
result of a claim related to the underlying instrument with respect to which this Limited
hereof.
Power of Attorney has been used), or (ii) any use or misuse of this Limited Power of
Attorney in any manner or by any person not expressly authorized hereby.
