DEED OF DISTRIBUTION AND ASSIGNMENT
(Oil, gas, and mineral interests located in Texas, Oklahoma, and Wyoming)
ALAN A. CHAMBERLAIN and DENISE O. CHAMBERLAIN (hereafter "Grantors
Individually and in their capacity as Trustees of the CONOR NAE CHAMBERLAIN TRUST
and the BRYN ERIN CHAMBERLAIN TRUST (hereafter "the Trusts do GRANT, ASSIGN
and CONVEY to BRYN ERIN CHAMBERLAIN and CONOR NAE CHAMBERLAIN
(hereafter "Grantees in equal shares, all right, title and interest owned by the aforementioned
Trusts, to and under, or derived from or attributable to the following:
(a) all oil and gas leases or oil, gas and mineral leases, and interests therein or
thereunder, including record title, operating rights, working interests, leasehold interests,
overriding royalty interests, production payments, net profits interests, other payments out of
production, and all interests in oil, gas and other minerals, and all other mineral interests, vested
or contingent, and wherever situated, specifically including, but not limited to, such rights, titles
and interests held by the ALAN and DENISE CHAMBERLAIN, individually, and the CONOR
NAE CHAMBERLAIN TRUST and the BRYN ERIN CHAMBERLAIN TRUST, which
Grantors originally set up to hold assets including oil, gas, and mineral interests for the benefit of
Grantees, but the Trusts have run their purpose and an outright distribution is necessary. Such
mineral interests are reflected in the real property records of Texas, Oklahoma, and Wyoming, or
in the record of Bureau of Land Management the above mentioned states, or any other applicable
office of the Bureau of Land Management, or in the records in the State Land Offices of the
aforementioned states
(b) without in any way limiting any of the foregoing, the property and interests being
assigned have previously been described as those properties and mineral interests conveyed by
Grantors to the Trusts and recorded. These properties include but are not limited to:

(c) all of the presently existing and valid unit or unitization agreements,
communitization or pooling agreements, and the units and communitized or pooled areas or units
created thereby (including, but not limited to, all units and communitized or pooled areas or units
formed under orders, regulations, rules or other official acts of any federal or state governmental

agency having jurisdiction) which affect or relate to any of the rights, titles and interests
conveyed hereby, or the production therefrom or allocable or attributable thereto;
(d) all of the presently existing and validly operating agreements, farmout
agreements, assignments, agreements for the sale or purchase of oil, gas, casinghead gas, or other
hydrocarbon substances, processing agreements, and all other contracts, agreements,
assignments, conveyances and instruments which affect or relate to any of the rights, titles and
interests conveyed hereby, or to the production therefrom or allocable or attributable thereto;
(e) all other property, fixtures, equipment, appurtenances and other property which is
appurtenant to, belongs to, is affixed or incidental to, or is used in connection with the rights,
titles and interests conveyed hereby, together with any and all property, real or personal, now or
hereafter acquired and situated upon, or used, held for use, or useful in connection with the
exploration, development or operation of the rights, titles and interests conveyed hereby or in
connection with the production, treating, storing, transporting or marketing of oil, gas and other
hydrocarbon substances produced therefrom or allocable or attributable thereto, including, but
not limited to, all wells, buildings, structures, separators, pumps, gathering systems, tanks, tank
batteries, fixtures, valves, fittings, machinery and parts, engines, boilers, meters, apparatus,
appliances, tools, implements, cables, wires, towers, casings, tubing, rods, pipes, pipelines,
power lines, water lines, flow lines, machinery, surface leases, rights of way, easements, permits,
licenses, servitudes and all additions, substitutions, replacements, accessions and attachments to
or for any and all of the foregoing.
With respect to oil and gas leases or oil, gas and mineral leases from the United States of
America, or from any other governmental entity or authority, Assignor shall execute a sufficient
number of separate assignments on official forms as will fulfill applicable statutory and
regulatory requirements. Although such assignments may be unqualified in form and may not
specifically contain all of the provisions hereof, said assignments shall be deemed to contain all
of the provisions hereof as though the same were set forth at length in each of such separate
assignments. All such assignments executed on official forms are executed for the purposes of
satisfying applicable statutory and regulatory requirements, and none of such assignments shall
be construed as assigning interests in addition to, or different from, those conveyed hereby.
This Deed of Distribution and Assignment is executed and delivered without warranties
of any kind, either express or implied. However, this Deed of Distribution and Assignment is
made with full substitution and subrogation of Grantors in and to all warranties, representations
and covenants previously given or made by others with respect to the rights, titles and interests
conveyed hereby.
