THAT THE UNDERSIGNED, HOOVER STACY, INC., whose address is P.O. Box 2328, Cheyenne,
Wyoming 82003 -2328, hereinafter called "Assignor for and in consideration of One Dollar ($1.00), the receipt
whereof is hereby acknowledged, does hereby sell, assign, transfer and set over to BreitBurn Management
Company LLC, whose address is 600 Travis Street, Suite 4800, Houston, TX 77002, hereinafter called
"Assignee all of Assignor's right, title and interest in and to that certain oil and gas lease dated July 1, 2013, from
Janice Marie Simmons, formerly known as Janice Marie Hand, formerly known as Janice Marie Marland, a widow,
lessor, to Hoover Stacy, Inc., lessee, recorded in Book 822, at Page 108, insofar as said lease covers the
following described land in Lincoln County, State of Wyoming:
