HomeMy WebLinkAbout977752FIRST AMENDED AND RESTATED BILL OF SALE, TRANSFER, ASSIGNMENT AND ASSUMPTION AGREEMENT Lincoln County, Wyoming This first amended and restated bill of sale, transfer, assignment and assumption agreement (the "Transfer Agreement is dated August 14, 2014 (the "Effective Date and is between QEP FIELD SERVICES COMPANY, a Delaware corporation, as seller "Seller and QEPM GATHERING I, LLC, a Delaware limited liability company, as buyer "Buyer Recitals A. The parties are parties to the Bill of Sale, Transfer and Assignment and Assumption Agreement dated effective August 14, 2013, recorded in Entry No. 974387, Book 824, Page 806, "County Conveyance which is in furtherance of the Bill of Sale, Transfer and Assignment and Assumption Agreement dated August 14, 2013 "Original Master Agreement between the parties. B. The parties entered into an Amended and Restated Bill of Sale, Transfer and Assignment and Assumption Agreement dated March 17, 2014, (the "Master Agreement in order to correct the errors in the Assigned Assets description effective as of the Effective Date. C. The parties wish to correct these same errors in the County Conveyance by amending, restating, and replacing the County Conveyance with this Transfer Agreement effective as of the Effective Date. D. According to the Master Agreement, Seller is selling and Buyer is buying assets described therein in various locations, including oil, water and gas pipelines associated with the system described on Exhibit A hereto (the "System E. Seller (i) owns certain buildings, fixtures, and other improvements (the "Improvements set forth on Exhibit B, and is a party to (ii) certain grants, easements, rights of way, real property rights and agreements described on Exhibit C (as amended from time to time, the "Property Agreements all of which are related to the System. Together, the Improvements and the Property Agreements are referred to herein as the "Assigned Assets F. For purposes of recording the transfer of the Assigned Assets in the real property records of the county, the parties have executed and submitted for recording this reduced version of the Master Agreement with respect to only those Assigned Assets located in the county. The recording of this reduced version of the Master Agreement in multiple counties shall not limit the parties' rights or obligations under the Master Agreement, but rather is intended to further the intent thereof. Agreement The parties therefore agree as follows: 1. Transfer of Improvements. Seller hereby sells, conveys, grants, assigns, transfers, and delivers to Buyer all of Seller's rights, title, and interests in and to the Improvements. 2. Transfer of Property Agreements. Seller hereby transfers, assigns, and delivers to Buyer all of Seller's rights, title, and interests in, under, and to the Property Agreements. Conveyance. This Transfer Agreement shall not convey any of Seller's rights, title or interests in any property or assets of Seller other than the Assigned Assets. 4. Condition. Except for (a) the representations and warranties expressly set forth herein, and (b) third party warranties and guaranties transferred to Buyer herewith, Buyer accepts the Improvements "AS IS," "WHERE IS," "WITH ALL FAULTS," and without any warranties, representations or guarantees, either express or implied, of any kind, nature, or type whatsoever, including, but not limited to, any warranty as to the fitness for a particular purpose or merchantability. 5. Representations and Warranties. As of the Effective Date, Seller represents and warrants to Buyer as follows: (a) Seller is the owner or lessee of the Improvements, free and clear of all liens and encumbrances, other than: (1) liens for taxes not yet due or for taxes being contested in good faith by appropriate proceedings so long as the proceedings do not involve a material risk of the sale, forfeiture, Toss or restriction on the use of the Improvements or any part thereof; (2) suppliers', vendors', mechanics', workman's, repairman's, employees' or other like liens arising in the ordinary course of business for work or service performed or materials furnished in connection with the Improvements for amounts the payment of which is either not yet delinquent or is being contested in good faith by appropriate proceedings so long as the proceedings do not involve a material risk of the sale, forfeiture, Toss or restriction on use of the Improvements or any part thereof, and (3) rights of owners (and any encumbrances granted by the owners) of properties constituting servient estates to rights granted under Property Agreements, as well as the benefits or burdens of easements, rights of way, use rights, exceptions, encroachments, reservations, restrictions, conditions or limitations, provided that in each case the same do not interfere with or impair in any material respect with the operation or use of the Improvements or any right or interest therein; (b) Seller has the full right, power and authority to transfer and deliver to Buyer its right, title, and interest in the Assigned Assets; (c) With the exception of consents or approvals required in connection with the transfer of right of ways granted by private land owners, which will be delivered at closing, no consent, approval or action of, filing with, or notice to, any governmental authority or other third party on the part of Seller is required in connection with the execution, delivery and performance of this Transfer Agreement, except for any consent, approval, action, filing, or notice that is required to be obtained or made after completion of the transfer of the Assigned Assets (the "Post- Closing Approvals Seller shall use all reasonable efforts to make application for the Post Closing Approvals at the time of Closing or as soon thereafter as is reasonably practicable, and Seller's obligations to take these actions and to obtain the Post Closing Approvals shall survive closing of the transfer contemplated hereunder and shall be a continuing obligation until all requisite Post Closing Approvals are obtained. Buyer shall reasonably cooperate with Seller in fulfilling Seller's obligations to effect the Post Closing Approvals; (d) Each of the Property Agreements is in full force and effect, and Seller has performed all of the obligations required to be performed by it, is entitled to all of the benefits under, and is not in material default in respect of, any of the Property Agreements; and (e) There exists no material default or event of default or event, occurrence, condition or act with respect to Seller or, to the knowledge of Seller, with respect to any counterparty to any Property Agreement, that, with the giving of notice, the lapse of time or the happening of any other 2 event or condition, would reasonably be expected to become a material default or event of default under any Property Agreement. 6. Successors and Assigns. This Transfer Agreement shall inure to the benefit of and be binding upon the respective successors and permitted assigns of the parties. 7. General Provisions. [SIGNATURES ON NEXT PAGE] (a) Each party shall, whenever and as often as requested by the other party, execute, acknowledge, and deliver, or cause to be executed, acknowledged, and delivered, further instruments and documents as may be necessary in order to complete and evidence the assignment, conveyance, transfer, and assumption herein provided and to do all things as may be reasonably requested by the other party in order to carry out the intent and purpose of this Transfer Agreement. (b) If any provision herein shall be held invalid or unenforceable by any court of competent jurisdiction or as a result of future legislative action, and if the rights or obligations of any party under this Transfer Agreement will not be materially and adversely affected thereby, (i) the holding or action shall be strictly construed; (ii) the provision shall be fully severable; (iii) this Transfer Agreement shall be construed and enforced as if the provision had never comprised a part hereof; (iv) the remaining provisions of this Transfer Agreement shall remain in full force and effect and shall not be affected by the invalid or unenforceable provision or by its severance from this Transfer Agreement; and (v) in lieu of such illegal, invalid or unenforceable provision, there shall be added automatically as a part of this Transfer Agreement a legal, valid and enforceable provision as similar in terms to the illegal, invalid and unenforceable provision as may be possible. (c) Nothing contained in this Transfer Agreement shall be construed to create a partnership or joint venture between the parties or their successors in interest. (d) This Transfer Agreement, together with the Master Agreement and all agreements contemplated therein, contains the entire agreement between the parties and supersedes any prior or contemporaneous oral or written agreements or communications between the parties related to the subject matter hereof. The rights and obligations of this Transfer Agreement may be amended only in a writing signed by both parties. (e) The headings of the Sections contained herein are for convenience only and do not constitute a party of this Transfer Agreement. (f) This Transfer Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which, taken together, shall constitute one agreement. An electronic signature or a signature page delivered in "PDF" format or by facsimile shall be deemed an original and binding upon the party against which enforcement is sought. 3 The parties have executed this Transfer Agreement as of the Effective Date. NOTARY PUBLIC Residing at: 4aioruJ44 6.40 a OA 4 My Commission Expires: ®S .20/7 4 EXHIBIT A To Bill of Sale, Transfer, and Assignment and Assumption Agreement SYSTEMS Green River System: The Green River System, located in western Wyoming, consists of (a) the Green River Gathering Assets, which are comprised of 376 miles of natural gas gathering pipelines, 56 miles of crude oil gathering pipelines, 84 miles of water gathering pipelines, and a 61 -mile, FERC regulated crude oil pipeline located in the Green River Basin, (b) the Rendezvous Gas assets, which are comprised of three parallel, 103 -mile high pressure natural gas pipelines and 7,800 bhp of gas compression, and (c) the Rendezvous Pipeline asset, which is a 21 -mile, FERC regulated natural gas transmission pipeline. Vermillion Gathering System: The Vermillion Gathering System consists of gas gathering and compression assets located in southern Wyoming, northwest Colorado, and northeast Utah, which include 518 miles of low- pressure, gas gathering pipelines and 23,197 bhp of gas compression. Williston Gathering System: The Williston Gathering System, located in the Williston Basin in McLean County, North Dakota, consists of 15 miles of gas gathering pipelines, 15 miles of oil gathering pipelines, 239 bhp of gas compression, and a crude oil and natural gas handling facility.
