Home My WebLink About978030 Assignment and Transfer of Assets held by Masters Energy Corporation KNOWN ALL MEN BY THESE PRESENTS: Effective as of December 31, 2013, Masters Energy Corporation (the "Assignor") liquidated all of its assets, known and unknown, to its sole shareholder at the time, the Estate of John A. Masters. Pursuant to the Will of John A. Masters, the assets held in John A. Masters' residuary estate were to be transferred to the John A. Masters Family Trust (the `Transferee At the time of the liquidation of Masters Energy Corporation, those land and leases located in the state of Wyoming as described in the attached Exhibits "A" and "B" were held by Masters Energy Corporation. It is the intent of all parties executing below that all rights, title and interest in these leases be transferred to the John A. Masters Family Trust. Assignor will execute and deliver all such other and additional instruments, notices, releases, acquittances and other documents, and will do all such other acts and things, as may be necessary more fully to assure to Assignee or its successors or assigns all of the respective rights and interests herein and hereby granted or intended to be granted. The provisions hereof shall be covenants running with the lands and shall be binding upon and inure to the benefit of the parties hereto, their respective successors and assigns.
