Attached to said Petition was an Agreement Regarding Oil Gas Interests, which document was dated September 25, 2013. 3. That Affiant prepared the said Agreement Regarding Oil Gas Interests and Ratification of Quitclaim Deed. 4. That on January 30, 2014, this Court entered its Order Approving Agreement Regarding Oil Gas Interests and Ratification of Quitclaim Deed. 5. That attached to this Affidavit is a duplicate original of said Agreement Regarding Oil Gas Interests and Ratification of Quitclaim Deed which was approved by this Court in its Order entered on January 30, 2014. RIGGS, Deceased; LEANN FOUTZ, as Trustee of the RIGGS TRUST, dated December 28, 2007; LEANN FOUTZ, as Trustee of the MARITAL TRUST established under the RIGGS TRUST, dated December 28, 2007; LEANN FOUTZ, as Trustee of the FAMILY TRUST established under the RIGGS TRUST, dated December 28, 2007; LEANN FOUTZ, as Trustee of the SURVIVING SPOUSE'S TRUST established under the RIGGS "1'RUST, dated December 28, 2007; LEANN FOUTZ, as PERSONAL REPRESENTATIVE of the Estate of ELLIOTT A. Riggs Trust dated August 4, 2010 "Elliott's Trust RIGGS OIL AND GAS CORPORATION, a New Mexico corporation and the WESTMEATH FOUNDATION, a Delaware nonprofit corporation (collectively referred to as the "Parties NOW THEREFORE, IT IS HEREBY AGREED AS FOLLOWS: 1. Recitals. A. Elliott A. Riggs "Elliott"), and Ramona M. Riggs "Ramona executed the Riggs Trust on December 28, 2007 "Riggs Trust"). Ramona died on January 2, 2010. Under the terms and provisions of the Riggs Trust, upon Ramona's death, the Riggs Trust was to be divided into three subtrusts, namely: the "Surviving Spouse's Trust," the "Marital Trust" and the "Family Trust." B. Upon the death of Ramona, the Trustee of the Riggs Trust is to allocate the assets of the Riggs Trust among the Surviving Spouse's Trust, Marital Trust and Family Trust as set forth in Article IV, Section 11 and Article VI of the Riggs Trust. Certain oil and gas interests "Oil and Gas Interests as more fully described on Schedule A, which is attached hereto and incorporated by reference herein were titled in the name of Elliott on the date of Ramona's death. C. Although titled in the name of Elliott at the time of Ramona's death, the Oil and Gas Interests were community property and therefore Elliott owned an undivided one -half (1/2) interest in the Oil and Gas Interests and Ramona owned an undivided one -half (1/2) interest in the Oil and Gas Interests at the time of Ramona's death. As a result, Ramona's undivided one -half (1/2) community property interest in the Oil. and Gas Interests passed under Ramona's will to the Riggs Trust. Because the title to the Oil and Gas Interests remained in Elliott's name, the Parties desire to confirm that Ramona's undivided one -half (1/2) community property interest in the Oil and Gas Interests was allocated to the Marital Trust established under the Riggs Trust and was deemed withdrawn by Elliott per his right to withdraw assets from the Marital Trust under Article VII, Section 2 of the Riggs Trust. D. Subsequent to Ramona's death; but prior to August 11, 2012, Elliott conveyed a portion of the Oil. and Gas Interests to Elliott's Trust so that as of August 11, 2012, title to the Oil and Gas Interests was held solely by Elliott, individually and in his capacity as Trustee of the Elliott A. Riggs Trust. E. LeAnn Foutz as agent for Elliott, individually, under his power of attorney and as Trustee of Elliott's Trust, quitclaimed the Oil and Gas Interests owned by Elliott and Elliott's Trust to the Riggs Oil and Gas Corporation "Corporation by Quitclaim. Deed (the "Quitclaim Deed"), dated August 11, 2012. The Quitclaim Deed 2 3 was delivered to the Corporation on August 1 l., 2012 with intent to transfer title to the Oil and Gas Interests to the Corporation. A copy of the Quitclaim Deed is attached hereto and incorporated herein as Schedule B to this Agreement. On August 12, 2012, Elliott died. F. The Parties are entering into this Agreement to confirm that the Quitclaim Deed conveyed title to the Oil and Gas Interests to the Corporation on August 11, 2012 and that none of the other Parties to this Agreement have any right, title, interest or claim to the Oil and Gas Interests. 2. Transfer of All Oiil and Gas Interests. As a result of the transactions set forth in paragraph 1 of this Agreement, Ramona's conununity one -half (1/2) interest in the Oil and Gas Interests was allocated to the Marital Trust and was subsequently withdrawn from the Marital Trust by Elliott prior to August 11, 2012 when Elliott, individually and as Trustee of the Elliott Riggs Trust conveyed, assigned and granted all of the right, title and interest of Elliott individually and Elliott's Trust in and to the Oil and Gas Interests to the Corporation pursuant to the Quitclaim Deed. The Parties hereby ratify and confirm the Quitclaim Deed and agree that as a result of. the Quitclaim Deed, the Corporation is the vested owner of the Oil and Gas Interests as of August 11, 2012; and in furtherance of the foregoing, each of the Parties, except the Corporation, hereby grants, conveys, and assigns, without warranty of title express or implied unto the Corporation whose address is 1690 Butler Ave., Farmington, New Mexico 87401, all of its right, title and interest in and to each of the Oil and Gas Interests. For purposes of this Agreement, the Oil. and Gas Interests hereby granted, conveyed and assigned to the Corporation by each of the Parties, except the Corporation, includes all of the right, title and interest of each of the Parties, except the Corporation, in and to all oil, gas and other minerals in and under and that may be produced, saved, sold and/or marketed from any and all lands more particularly described on Schedule A, whether correctly or incorrectly described on Schedule A, and from any and all lands omitted from Schedule A; but located within the county and state described on Schedule A, including, but not limited to, all mineral interests, royalty interests, overriding royalty interests, working interests, production payment interests, oil, gas and mineral leasehold interests and all other interests of any and every kind, nature and/or character. It is the intention of this Agreement to grant, transfer, convey and assign to the Corporation any and all right, title or interest the Parties, except the Corporation, may have in and to the Oil and Gas Interests. 3. Documentation and Other Actions. The Parties agree to execute any and all documents, including without limitation, any deeds or other conveyances necessary to ratify or confirm title of the Oil and. Gas Interests in the Corporation as of August 11, 2012, and to take any such other actions, as may be deemed necessary or appropriate by the Corporation to confirai title of the Oil and Gas Interests in the name of the Corporation and to otherwise effectuate and carry out the intent of this Agreement. 4. Severability. If a court of competent jurisdiction holds any provision herein invalid, void, or unenforceable, the remaining provisions nevertheless shall continue in full force and effect without being impaired or invalidated in any way. 5. Applicable Law. This Agreement shall be construed and interpreted in accordance with the laws of the State of New Mexico and jurisdiction and venue for the 4 enforcement of this Agreement or any controversy arising hereunder, shall be exclusively in the courts of the State of New Mexico. 6. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which taken together shall constitute one instrument. 7. Entire Agreement. This Agreement constitutes the entire agreement between the parties hereto is binding on and inures to the Parties, their personal representatives, heirs, successors and assigns and is specifically enforceable in accordance with its terms.
