HomeMy WebLinkAbout978256STATE OF WYOMING COUNTIES OF CAMPBELL, CONVERSE, FREMONT, JOHNSON, LINCOLN, SUBLETTE, SWEETWATER, UINTA AND WASHAKIE THIS RELEASE OF LIEN is made effective as of August V, 2014 (this "Release of Lien by GREEN BANK, N.A., a national banking association having a place of business at 5950 Sherry Lane, Suite 400, Dallas, TX 75225 "Lender in favor of LAWRENCE H. WOLF, an individual "LHW ESTELLE WOLF OIL PROPERTIES LLC, a Colorado limited liability company "EWOP and SUMMIT GROUP ADVISORS LLC, a Colorado limited liability company "SGA together with LHW and EWOP, collectively, "Borrowers each having a mailing address of P.O. Box 14290, Jackson, WY 83002. A. Borrowers executed and delivered to Lender those certain mortgages, deeds of trust and other instruments and Lender filed those certain financing statements more particularly described on Schedule 1 attached hereto and made a part hereof (collectively, the "Security Instruments granting a lien on and a security interest in the properties described therein. B. Lender is the legal and equitable owner and holder of the Security Instruments and the indebtedness secured thereby. The indebtedness secured by the Security Instruments has been paid in full, and Lender has agreed to release the liens and security interests created by the Security Instruments. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Lender has RELEASED and DISCHARGED, and by these presents does hereby RELEASE and DISCHARGE all of the liens and security interests created by the Security Instruments. Lender hereby terminates the assignment of production and proceeds of production made in favor of Lender in Article 4 of each applicable Security Instrument. Any Borrower or its designee is hereby authorized to file termination statements with respect to the financing statements described on Schedule 1. It is expressly understood that certain indemnification obligations and other obligations of Borrowers are, as provided in the Security Instruments, to survive any release of the Security Instruments, and that such obligations are not released or otherwise affected hereby. Lender agrees to do such further acts and things, and to execute and deliver such additional instruments as may be reasonably necessary or desirable, from time to time, to effectuate the release of the liens and security interests held by Lender under the Security Instruments; provided, however, that Lender's expenses, including the fees and expenses of its legal counsel, for any action taken pursuant to this provision shall be paid by Borrowers.
