HomeMy WebLinkAbout978381 ASSIGNMENT, CONVEYANCE AND QUITCLAIM THIS ASSIGNMENT, CONVEYANCE AND QUITCLAIM, dated this December 19, 2013 is between Raymond N. Joeckel hereinafter referred to as "Assignor" and Raymond N. Joeckel and/or Evelyn R. Joeckel Trustees of the Joeckel Family Trust Dated February 9, 2004, whose address is 1672 La Loma Drive, Santa Ana, CA 92705 hereinafter referred to as "Assignee RECITALS: 1) Assignor owns an overriding royalty interest in, to and under the oil and gas leases (the "Leases covering the following described property lying, being and situated in Lincoln County, Wyoming, to wit: Township 22 North Range 113 West, 6 P. M. Section 11: NW /4NE /4, S /2NE /4, W /2, SE /4 WYW- 120158 2) Assignor's interest in the Leases and the Lands are benefited and burdened by rights and obligations existing under certain contracts and agreements (the "Contracts including, but not limited to, unitization agreements, pooling agreements, declarations of pooling or unitization, permits to drill wells, gas sale contracts, gas processing contracts and other instruments and agreements. 3) Assignor agrees to assign all right, title and interest of Assignor to Assignee, in and to the Leases. CONVEYANCE For One Hundred Dollars ($100.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby sells, transfers, conveys and assigns to Assignee, all of Assignor's right, title and interest in and to the Leases, to have and to hold unto Assignee, its successors and assigns, forever. This Assignment, Conveyance and Bill of Sale is made without warranty of title, either express or implied, except that Assignor shall warrant and defend title to the Properties against persons claiming by, through or under Assignor. To the extent assignable, Assignee shall have full subrogation to the rights of Assignor under all warranties of title theretofore made by others. This Assignment, Conveyance and Bill of Sale is subject to, and Assignee shall assume the benefits and obligations of all burdens, encumbrances, contracts, and agreements.
