Home My WebLink About978425FULL RELEASE OF LIENS RECITALS: Reference is made to that certain Mortgage, Assignment, Security Agreement, Fixture Filing and Financing Statement, dated February 26, 2009, from Double Eagle Petroleum Co. now known as Escalera Resources Co. "Mortgagor to BOKF, NA dba Bank of Oklahoma, successor by merger with Bank of Oklahoma, N.A.), as Administrative Agent for the lenders party thereto "Lenders as amended by (i) that certain First Amendment to Mortgage, Assignment, Security Agreement, Fixture Filing and Financing Statement, dated February 5, 2010, (ii) that certain Second Supplement and Amendment to Mortgage, Assignment, Security Agreement, Fixture Filing and Financing Statement dated November 3, 2011, and (iii) that certain Third Amendment to Mortgage, Assignment, Security Agreement, Fixture Filing and Financing Statement dated April 24, 2014 (collectively, the "Mortgage each recorded as shown on Annex 1 attached hereto. RELEASE: NOW, THEREFORE, for and in consideration of the premises and other good and valuable consideration, the undersigned has RELEASED and DISCHARGED, and by these presents does hereby RELEASE and DISCHARGE the "Mortgaged Properties the "Collateral" and proceeds of the Collateral and the Mortgaged Properties (as such terms are defined in the Mortgage) from the liens and security interests created by the Mortgage. The undersigned hereby terminates the assignment of "Production" and "Production Proceeds" made in favor of the undersigned under Article III of the Mortgage. It is expressly understood that certain indemnification obligations and other obligations of Mortgagor are, as provided in the Mortgage, to survive any release of the Mortgage, and that such obligations are not released or otherwise affected hereby. The undersigned will, from time to time at the request of Mortgagor execute and deliver to Mortgagor any instruments reasonably necessary to carry out more effectively the purposes of this Release, including without limitation any UCC -3's or comparable financing statement terminations. This Release is executed in counterparts, all of which are identical except that to facilitate recording in the state of Wyoming, there may be attached to counterparts of this Release which are being recorded in such state copies of Exhibit A to the Mortgage. All such counterparts constitute one and the same instrument.
