KEMMERER APARTMENTS, A LIMITED PARTNERSHIP, a Wyoming limited
partnership, has made, constituted and appointed, and by these
presents does make, constitute and appoint John Bosley of Sheridan,
Wyoming, its true and lawful attorney, for it and in its name, place
and stead, to do and perform all and every act and thing whatsoever,
and to execute every instrument and document whatsoever, which in his
sole discretion is necessary or convenient to handle and carry on the
affairs of KEMMERER APARTMENTS, A LIMITED PARTNERSHIP, insofar as said
affairs relate to the following:
The execution of all documents, including but not limited to
any note, mortgage, assignment of rents and leases,
affidavits, closing forms, and other documents relative to
an MPR loan from USDA Rural Development to Kemmerer
Apartments, A Limited Partnership, upon such terms as are
acceptable in the sole discretion of John Bosley.
The undersigned gives and grants unto its said attorney full
power and authority to do and perform such acts and things as are
required and necessary to be done as fully to all intents and purposes
as KEMMERER APARTMENTS, A LIMITED PARTNERSHIP, might do or could 'do on
its own behalf, with full power of substitution and revocation, hereby
ratifying and confirming all that its said attorney shall do or cause
to be done by virtue hereof.

A portion of Block 11 of Lincoln Heights 4th Subdivision of the City of Kemmerer, Wyoming,
more particularly described as follows:
Beginning at the North radius point of the Northwest corner of said Block 11 thence North
90 °00'00" East, a distance of 146.42 feet to the point of curvature of a curve to the right; thence
along said curve to the right, the radius of which is 329.66 feet through a central angle of
24 °00'00" a distance of 138.09 feet; to the point of tangency; thence South 66 °00'00" East, a
distance of 9.40 feet to the point of curvature of a curve to the right, thence along said curve to
the right, the radius of which is 20.00 feet, through a central angle of 83 °23'04" a distance of
29.11 feet to the point of reverse curve of a curve to the left; thence along said curve to the left,
