(hereinafter "Assignor"), of 10200 Bellaire Blvd., Houston, Texas 77052-5299, does by these presents bargain, sell, transfer, and assign to Ch~evmn_ U.S.A. Inc. (hereinafter "Assignee"), of 11111 South Wilcrest, Houston, TX 77099, for valuable -wd'n'~d~ration received, Assignor's oil and gas operating rights in that certain Oil and Gas Lease between the United States of America, as Lessor, and Melvin Wolf, as Lessee, recorded at Book 136PR, Page 647 of the Records of Lincoln County, Wyoming, insofar and only insofar as such Oil and Gas Lease covers the well bore of the Chevron Federal #2-32M well located 2,398 feet from the North line and 281 feet from the West line of Section 32, T19N-Rll9W, Lincoln County, Wyoming (hereinafter "the Well"), as to depths from the surface to the stratigraphic equivalent of 15,541 feet. This Assignment is made in accordance with and subject to the terms, conditions and provisions of that certain Joint Development Agreement bet~veen Assignor and Assignee d'ated December 1, 1998, as amended by that certain First Amendment of Joint Development Agreement dated July 1, 1999, which is incorporated herein by reference.
