HomeMy WebLinkAbout888001K 5'1 3 PR PAGE 3 3 3 CONVEYANCE, ASSIGNMENT AND BILL OF SALE THIS CONVEYANCE, ASSIGNMENT AND BILL OF SALE (this "Assignment") dated as of January 9, 2003, but effective as of the Effective Time (12:01 a.m., Central Standard time, January 1, 2003), is from Tight Sands 1999, L.P., a Delaware limited partnership, whose address for notices is c/o FC Energy Finance I, Inc., One First National Plaza, 17th Floor, Mail Code IL1-0502, Chicago, Illinois 60670 ("Assignor") to EOG Resources, Inc., a Delaware corporation, whose address for notices is 333 Clay Street, Suite 4200, Houston, Texas 77002 ("Assignee"). Recitals A. Assignor owns record and/or beneficial title to certain natural gas producing properties located in the States of Mississippi, New Mexico, Texas and Wyoming. Assignee., Assignor has agreed to sell and convey such title in such properties to Article 1 Definitions 1.1 Certain Definitions. Capitalized terms used herein, but not otherwise defined herein, shall have the meanings assigned in the Purchase and Sale Agreement (as may be amended, modified or supplemented from time to time, the "Purchase Agreement"), dated as of the date hereof, but effective as of the Effective Time, between Assignor and Tight Sands 2000, L.P. and Assignee. As used herein, the following terms shall have the meanings set forth below, except as otherwise expressly provided herein: "Equipment" means all machinery, equipment, improvements, and other personal property and fixtures that are (a) either (1) owned by Assignor or (2) jointly owned under the applicable Operating Agreements and (b) attached or connected to the surface or subsurface of the Wells. "Gas" means natural gas and other hydrocarbons in or produced from or attributable to the Properties. "Income Tax" means any federal, state, local, or foreign tax which is based on net income or net profits, including any interest, penalty, or addition thereto, whether disputed or not. "Lands" means the lands encumbered by the Leases described in Exhibit A to the extent such Leases are included in the Properties. "Lease" means an oil and gas lease or other instrument described, referred to, or identified on Exhibit A, together with any renewal or extension of such lease (as to all or any part or portion thereof), and any replacement lease taken upon or in anticipation of expiration or termination of such lease (if executed and delivered during the term of or within one year after expiration of the predecessor lease), as to all land described in the predecessor lease, and all renewals and extension of such replacement leases. "Legal Requirement" means any local, state, Native American or federal requirement imposed pursuant to any law, statute, rule, regulation, order, permit or license of any governmental authority or by any applicable court order, decree or judgment. "Operating Agreements" means operating agreements, unit agreements, unit operating agreements, unit accounting agreements, gas balancing agreements, unitization, pooling and communitization agreements, declarations, regulatory, judicial and administrative orders and other agreements relating to, or governing the drilling and operation of and accounting for, oil and gas properties (including any form of accounting procedure and gas balancing agreements which are part of, or attached to, any such agreement). "Permitted Encumbrances "means, with respect to any Property: (a) all of the following to the extent the net effect thereof does not reduce the net revenue interest or increase the working interest as set forth in Exhibit B: ('i) the terms, conditions, restrictions, exceptions, reservations, limitations, and other matters contained in the agreements, instruments, and documents which create or reserve to Assignor (or any predecessor in interest) its interests in any of the Properties, including the Leases and the Operating Agreements included in the Subject Interests; (ii) all lessors' royalties, overriding royalties, net profits interests, including carried interests, production payments, reversionary interests, and other burdens on or deductions from the proceeds of production from the Properties; (iii) production sales contracts; division orders; contracts for sale, purchase, exchange, refining, or processing of hydrocarbons;' unitization and pooling designations, declarations, orders and agreements; processing agreements; plant agreements; pipeline, gathering, and transportation agreements; injection, repressuring, and recycling agreements; salt water or other disposal agreements; seismic or geophysical permits or agreements; and any and all other agreements which are ordinary and customary in the oil and gas exploration, development, or extraction business, or in the business of processing of gas and gas condensate production for the extraction of products therefrom; and (b) Assignor: all of the following to the extent such do not arise by, through or under (i) any undetermined or inchoate liens or charges constituting or securing the payment of expenses which were incurred incidental to maintenance, development, production, or operation of the Properties or for the purpose of developing, producing, or processing oil, gas, or other hydrocarbons therefrom; Execution Copy - 2 - (ii) materialmen's, mechanics', repairmen's, employees', contractors', operators', or other similar liens or charges for liquidated amounts arising in the ordinary course of business; and (c) any liens for taxes (other than Income Taxes) and assessments not yet delinquent or, if delinquent, that are being contested in good faith in the ordinary course of business; (d) any liens or security interests created by law or reserved in oil and gas leases for royalty, bonus, or rental, or to secure compliance with the terms of the Leases; (e) easements, rights-of-way, servitudes, permits, surface or use leases, and other rights in respect of surface operations, pipelines, water disposal facilities, canals, ditches, reservoirs, telephone lines, power lines, railways, and other similar rights-of-way, on, over, or in respect of the Lands; (f) preferential purchase rights or consents to assignment as to which (x) valid waivers have been obtained, or (y) the time periods for the exercise thereof have lapsed (without exercise) after proper notice has been delivered to the holders thereof; (g) the Operating Agreements included in the Subject Interests; (h) all rights to consent by, required notices to, filings with, or other actions by governmental authorities in connection with the sale or conveyance of the Properties if the same are customarily obtained subsequent to such sale or conveyance and Assignor knows of no reason why they will not be granted; (i) all Legal Requirements and any regulatory rights and powers reserved to or vested in any governmental authority; (j) that certain Deed of Trust, Security Agreement and Financing Statement dated effective December 1, 1999 from Assignor to EOG Resources Acquisitions L.P.; and (k) the Production Payments. ?roduct~on Payments" means the production payments reserved in that certain Assignment with Reservation of Production Payment and I',btice of Options to Repurchase dated effective December 1, 1999 from EOG Resources Acquisitions L.P. to Assignor. "Subject Interests" means all Assignor's right, title and interest: (a) in the wellbore of each of the Wells; (b) in rights to production ti:om each of the Wells, subject to any existing royalties, overriding royalties, and other burdens of record attributable thereto, including the Production Payments, and also including the obligation to pay Assignor's proportionate share of drilling, completion and operating expenses attributable to the applicable Well; (c) in all Equipment and fixtures that are used in drilling, deepening, completing, operating and/or producing each of such Wells, including, but not limited to, flowlines, casing, Execution Copy - 3 - tubing, wellheads, pumping units, tanks, treaters, separators, compressors, valves, meters, dehydrators and other similar property comprising the Wells; (d) in and under any farmout agreements, Operating Agreements, processing agreements, transportation agreements, as well as well pooling, spacing or proration orders of appropriate regulatory agencies, and other contractual, statutory, or regulatory rights affecting or governing the operation of or Assignor's right to receive production of Gas from each of the Wells; (e) in the Leases; (f) (i) in any rights of way, easements, servitudes, surface leases, tenements, appurtenances, licenses, and any other rights of ingress, egress, use or occupancy of the surface; and (ii) in other personal property (other than the equipment, described in subsection (c) of this definition of Subject Interests) upstream of the point at which Assignor's share of production from each of the Wells is delivered for sale or exchange to a person wh6 takes, title to such production at such point; (g) and all fights, duties and obligations arising out of that certain Assignment with Reservation of Production Payment and Notice of Options to Repurchase dated effective December 1, 1999 from EOG Resources Acquisitions L.P. to Assignor being called "Prior Assignment"; and (h) all other right, title, interest and estate obtained by Assignor by the Prior Assignment, whether completely or correctly described in this Assignment or not, it being Assignor's intention to convey all of its fight, title, interest and estate obtained and owned by Assignor pursuant to the Prior Assignment. "Wells" means the wells described in Exhibit B and which wells are located on the Lands, and at a location on said Lands, as is more particularly described in the location plat, or similar record, for each of such wells in the records maintained in the offices of the appropriate oil and gas regulatory or conservation agency for the state in which each of such wells is situated and identified by the API Number shown on Exhibit B. 1.2 Other Definitions. Other terms defined elsewhere in this Assignment shall have the meanings so given them herein. Article 2 Assignment 2.1 Properties. Assignor, for and in consideration of Ten Dollars ($10.00), and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, hereby grants, sells, transfers, conveys, and assigns unto Assignee, its Execution Copy - 4 - 3 3 '? 0888001. successors and assigns, (a) the Subject Interests and (b) all rights and obligations of Assignor existing at the Effective Time to take or give disproportionate shares of make-up gas from or to third parties to correct production imbalances under gas balancing agreements, or other statutory, contractual or common-law rights and obligations, or under the non-consent provisions of the Operating Agreements included in the Subject Interests (collectively, the "Properties"). TO HAVE AND TO HOLD the Properties unto Assignee, its successors and assigns, forever, subject, however, to the matters in (i) this Assignment and (ii) the Purchase Agreement. 2.2 Permitted Encumbrances. THIS ASSIGNMENT IS MADE AND ACCEPTED SUBJECT TO THE PERMITTED ENCUMBRANCES AND THE TERMS AND CONDITIONS OF THE PURCHASE AGREEMENT. 2.3 Limitation of Warranties. Except for any limited warranties, representations, and covenants made in the Purchase Agreement, including but not limited to the title representation and warranty made by Assignor in Section 4.6, this Assignment is made without warranty of any kind, expressed, implied, statutory or otherwise, including, but not limited to, any warranty of title or warranty against encumbrances. 2.5 Disclaimer. EXCEPT AS EXPRESSLY SET FORTH TO THE CONTRARY HEREIN OR IN THE PURCHASE AGREEMENT, TO THE EXTENT THE EQUIPMENT CONSTITUTES PERSONAL PROPERTY OR FIXTURES, ASSIGNOR EXPRESSLY DISCLAIMS AND NEGATES ANY IMPLIED OR EXPRESSED REPRESENTATION OR WARRANTY AS TO THE CONDITION OF SUCH PERSONAL PROPERTY OR FIXTURES, INCLUDiNG ANY WARRANTY OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OR OF CONFORMITY TO MODELS OR SAMPLES OF MATERIALS. Article 3 Other Provisions 3.1 Successors and Assigns. This Assignment shall extend to, be binding upon, and inure to the benefit of, the parties hereto and their respective permitted successors and assigns. 3.2 Headings. The headings of the sections of this Assignment have been inserted for the convenience of the parties, but shall not be considered in construing or enforcing this Assignment. 3.3 Additional Information. Either party 'requiring additional information regarding the Properties, the Permitted Encumbrance, or any other matter in this Assignment may contact the other party at the address set forth above. Execution Copy - 5 - 338 3.4 Separate Assignments. Separate assignments of the Properties from Assignor to Assignee may be executed on forms approved by Assignor and Assignee, in sufficient counterparts, to satisfy applicable statutory and regulatory requirements. Those assignments shall be deemed to contain all of the exceptions, reservations, warranties, rights, titles, powers and privileges set forth herein as fully as though they were set forth in each such assignment. The interests conveyed by such separate assignments are the same, and not in addition to, the Properties conveyed herein. 3.5 Further Assurances. The parties agree to execute and deliver such other instruments or documents and to take such other actions as may be necessary or desirable to effect the intent of this Assignment or further evidence the transfer of the Properties to Assignee. 3.6 Counterparts. This Assignment may be executed by the parties in any number of counterparts, each of which shall be deemed an original instrument, but all of which together shall constitute but one and the same instrument.
