Box 547, Kemmerer, WY 83101 as Grantee, the Grantor does hereby grant to the Grantee a right of first refusal to purchase real property located in Lincoln County, Wyoming~ described as follows: That part of Tracts 38 and 39 of Township 23 North, Range 117 West, 6th Principal Meridian, Lincoln County, Wyoming, within Resurvey of Section 23, 24, 25 and 26, described as follows: Commencing at Comer No. 2 of said Tract 39 identical to Comer No. 1 of said Tract 38 found as described in the Certified Land Comer Recordation Certificate filed in the Office of the Clerk of Lincoln County; thence N 00°19'43'', 561.00 feet along the east line of said Tract 39 to a point; thence S 89043, W, 60.00 feet to the PLACE OF BEGINNING; thence N 00o19'43'' W, 17.08 feet; thence S 89043, W, 2031.10 feet to an intersection with the east fight-of-way line of State Highway 233; thence S 01046'02'' E, 17.08 feet along said right-of-way lirte to a point; thence continuing S 01 °46'02" E, 432.00 feet along said right-of-way line to a 6" x 6" concrete post with brass marker inscribed "STATE HIGHWAY DEPT. R.O.W. MARKER Sta. El."; thence Southeasterly, 1167.8 feet along the arc of a curve with a radiUs of 1784.90 feet through a central angle of 35002, to a similar monument; thence S 36°48'42" E, 753.21 feet along said fight-of-way line to a point; thence N 58o03'52'' E, 545.40 feet to a point; thence N 09057'24" E, 131.69 feet to a point; thence N 28046'45'' E, 309.28 feet to a point; thence N 41009'43'' E~ 521.42 feet to a point; thence N 13° 13 '36" W, 220.76 feet to a point; thence N 59°55 '05" E, 332.08 feet; thence N 00019'43'' W, 595.35 feet to the PLACE OF BEGINNING; EXCEPTING THEREFROM that part of the foregoing description lying and being situate within the bounds of Lot 1 of said Section 26; each point marked by a steel reinforcing rod 18" long with aluminum cap; the basis of bearing for this survey is the south line of said tract 38 as West; ENCOMPASSING an area of 67.000 acres, more or less. Said fight of first refusal to purchase all or any portion of the above described real property shall be in the event that Grantor shall receive a bona fide offer to purchase all or any portion of the demised premises during the term of said lease, and the offer to purchase shall be satisfactory to Grantor, Grantor shall give Grantee the privilege of purchasing said property at the price and on the terms of the offer so made. Notice of said fight of first refusal shall be given by sending notice to Grantee with the necessary details at the address described aboke or as Provided in said lease that provides for said first right of refusal by registered and certified mail. Said notice shall require Grantee to accept the offer in writing and sign a suitable contract to purchase said property within the period of thirty (30) days after the mailing of the notice. This right of first refusal shall not limit Grantor's ability to transfer the above described real Land\Collins'dMemo of Agreement 066 property or any portion thereof, by gift, sale or otherwise, to any of his daughters or his daughters' issue or their issue's issue. This right of first refusal shall terminate upon the death of Otto D. Peternal or the termination of the Lease of Ranch Property referred to above, whichever occurs first. There are many other covenants, in the original Lease of Ranch ~rty. 7ach party has a copy of said lease.
