ASSIGNMENT AND BILL OF SALE
THIS ASSIGNMENT AND BILL OF SALE (this "Assignment") is made and entered into in
furtherance and implementation of that certain Assignment of Oil, Gas and Mineral Properties as of 7:00
a.m. (Central Daylight-Saving Time) on February 1, 2001 (the "Effective Time"), by and between Nea!.
Bruce_Anderson a Texas resident, acting by and through his agent and Attorney-in-Fact, Neal Bruce
Ah-derson, Jr., and Anderson Oil Ltd., a Texas limited partnership, whose address is 5005 Woodway,
Suite 300, Houston, Texas 77056.
Neal Bruce Anderson a/k/a Bruce Anderson is now deceased and his surviving spouse,.
Jacqueline Anders6n, haS been app'ointed Independent Executrix of the Estate of Neal Bruce Anderson
a/k/a Bruce Anderson. Therefore, this Assignment is made and entered into by and between Jacqueline
Anderson, a Texas resident, individually and as Independent Executrix of the Estate of Neal Bruce
Anderson a/k/a Bruce Anderson ("Grantor") and Anderson Oil Ltd., a Texas limited partnership, whose
address is 5005 Woodway, Suite 300, Houston, Te'~-a~ 77056 ("Grantee").
For and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Grantor and Grantee do
hereby agree as follows:
Grantor hereby ASSIGNS, TRANSFERS and DELIVERS Unto Grantee all of Grantor's right, title
and interest in and to all of the real a~d personal property of Grantor in Lincoln coUnty Wyoming
including; but~not limited toI the'properiies.described below: . .' ' '
GREEN RIVER BEND UNIT '
Oil & Gas Lease dated February 1, 1954, bearing Serial # Wyoming 024793, issued by the
United States of America, as Lessor to Orville A. Horst as Lessee, located in Lincoln County,
Wyoming, covering the following described land:
Township 26 North, Ran.qe 113 West
Section 14: SE'ANW¼, SW¼
Section 22: E½NE¼, SWIANE¼, SE1ANW¼
Section 23: Lots 1, 2, 3, 4, N½NW¼
Section 26: Lots 1,2, 3, 4
Containing 598.70 acres, more or less.
TO HAVE AND HOLD the Property unto Grantee, its successors and assigns forever, subject to
the further terms, conditions and provisions hereof.
THIS ASSIGNMENT IS MADE WITHOUT REPRESENTATION, EXPRESS'OR IMPLIED. THE
PROPERTY IS BEING SOLD AS IS, WHERE IS, WITH ALL FAULTS; PROVIDED GRANTOR SHALL
SPECIALLY WARRANT.AND AGREE'TO DEFEND THE TITLE TO THE PROPERTY AGAINST THE
LAWFUL CLAIMS AND DEMANDS OF ALL PERSONS AND ENTITIES CLAIMING THE SAME OR ANY
PART THEREOF BY, THROUGH OR' UNDER GRANTOR, BUT NOT OTHERWISE.
The Property is being conveyed subject to all matters of record in Lincoln County, Wyoming
currently in effect and affecting-the Property.
This Assignment shall be binding upon, and shall inure to the benefit of, Grantor and Grantee and
their respective successors and assigns.
After the Effective Time and in furtherance of the unrecorded Assignment of even date herewith
between Grantor and Grantee in which Grantor conveys to Grantee all of Grantor's real and personal
property in the State of WyOming. Grantor and Grantee and their respective'successors and assigns
shall execute, acknoWledge and deliver to the other such further instruments and take such other actions
as may be reasonably necessary to transfer record title to all of the Grantor's assets in Lincoln County, to
Grantee. The parties shall execute and record all deeds and assignments necessary to document this
Assignment, all effective as of the Effective Time.
As of the Effective Time, all benefits and burdens related to the assets of Grantor shall pass to
and be owned by Grantee.

IN WITNESS WHEREOF, this Assignment has been executed by Grantor a'nd Grantee on the
respective dates set forth below, to be effective for all purposes as of the Effective Time.
