KNOW ALL MEN BY THESE PRESENTS:
THAT, THE 'GUARDIANS OF THE LO~S ANGELES JEWISH HOME FOR THE
AGING, A CALIFORNIA NON-PROFIT CORPORATION (hereinafter called "Assignor"),
whose address is 1640 Sepulveda Boulevard, Suite 210, Los Angeles, California 90025,
for and in consideration of the sum of $10.00 and other good and valuable consideration in
hand paid by ~Y CLEARINGHOUSE. PARTNERSHIP (hereinafter referred to as
"Assignee"), whose address is 6300 Bridge Point Parkway, Building One, Suite 320, Austin,
Texas 78730, the receipt of which is hereby acknowledged, has GRANTED, SOLD,
CONVEYED, ASSIGNED and DELIVERED, and by these presents does hereby GRANT,
SELL, CONVEY, ASSIGN and DELIVER unto Assignee all of Assignor's right, title and
interest in and to all oil and gas leases, oil, gas and mineral leases and oil, gas or other
mineral interests in and under and that may be produced from any and all lands
(hereinafter sometimes referred to as "Said Lands") situated within Lincoln County,
Wyoming, including all mineral and royalty interests, overriding royalty interests, non-
participating royalty interests, prOduction payments and contractual rights relating to such
interests owned by Assignor as reflected by the records of said county; provided, however,
there is hereby excluded from, and not covered by, this universal assignment any oil and
gas leasehold estate interest (i.e. working interest) owned by Assignor in Said Lands.
This assignment.and conveyance shall be effective as of March 1,2003, which date
shall hereinafter be referred to as the "Effective Date".
Assignor also grants, sells, conveys, assigns and transfers to Assignee, its
successors and assigns, all of Assignor's interest in any production of oil, gas or other
minerals from the lands covered hereby prior to, on or after the Effective Date, together
with any such production in storage, tanks, and pipelines, and any and all sums of money,
suspended runs, proceeds or accounts of any type or character, due or owing to Assignor
by any parties by reason of any such production prior to, on or after the Effective Date.
For the same consideration, and notwithstanding anything stated herein to the
contrary, Assignor does hereby grant, sell and convey to Assignee any and all claims,
demands, suits, actions, causes of action, obligations and damages, of whatsoever kind or
character, known or unknown, suspected or unsuspected, foreseen or unforeseen, real or
imaginary, actual or potential, present or contingent, and whether arising at law or in equity,
under the common law, state law, federal law or any other law, or otherwise, that are
owned or claimed by Assignor or to which Assignor is otherwise entitled, and any
proceeds, settlements and distributions relating thereto or which are attributable or relate
to, in any form or manner, (1) the interests conveyed hereby, or (2) Assignor's prior
ownership of the interests conveyed hereby, or (3) oil, gas or other minerals produced from
the interests conveyed hereby, or (4) oil, gas or other minerals which could have been
produced from the interests conveyed hereby and whether arising or accruing prior to, on
or after the Effective Date hereof.
Assignor agrees to execute whatever other written instruments which may be
deemed by Assignee as being necessary, advisable and/or appropriate in order to
effectuate the purposes and intentions expressed in this assignment and conveyance,
including, without limitation, any other written instruments which may be necessary,
advisable or appropriate to vest title in and to Assignee in and to the interests covered by
this assignment and conveyance.
Assignor does hereby irrevocably appoint and constitute R. Shain McCaig, Jr. as
Assignor's agent and attorney-in-fact for the limited purpose only of executing division
orders, transfer orders, conveyance documents and all other documents as may be
necessary for the conveyance of the interest covered hereby so that R. Shain McCaig, Jr.
may act in Assignor' place instead for this limited purpose, only.

Assignor, their successors and assigns, agree to warrant and forever defend title to
the interests herein assigned against the claims and demands of every person
whomsoever, by, through and under Assignor, but not otherwise.
Assignor represents and warrants unto Assignee, its successors and assigns, that
all ad valorem taxes attributable to the interests herein conveyed for each tax year prior to
the year of the Effective Date of this document have been paid.
Assignor and Assignee understand, acknowledge and agree that all ad valorem
taxes attributable to the interests herein conveyed for the current tax year shall be
prorated.
By executing and delivering this instrument, you are selling all of
your mineral and/or royalty interests in Lincoln County, Wyoming.
IN WITNESS WHEREOF, this Universal Assigq~ent and Conveyance of Oil, Gas
and Mineral Interests is executed this r~_.) day of t/rl/'J~ , 2003, but shall be
effective as of the Effective Date. /).
