KNOW ALL PERSONS BY THESE PRESENTS, that LEISURE VALLEY, INC., a
Nevada Corporation registered and doing business in the State of Wyoming, Grantor, of P.O.
Box 299, Thayne, Wyoming 83127, for and in consideration of TEN DOLLARS ($10.00) and
other valuable consideration, in hand paid, receipt of which is hereby acknowledged, hereby
grants unto the PORTO [RRIGATION DISTRICT, a political subdivision of the State of
Wyoming, Grantee, of Thayne, Wyoming, and its successors and assigns, a perpetual irrigation
water easement for the installation, construction, inspection, removal, replacement, and
continued maintenance and operation of an irrigation water pipeline and related facilities,
including without limitation, water diversion structures, settling ponds,' erosion Control measures,
pipelines, valves, valve boxes, manholes, bloWotTs, and related structures, appurtenances, and
facilities over, upon, under, through, across, and along a parcel of land for the purpose of
providing irrigation water to lands located within the Porto Irrigation District, along with the
right to enter upon said lands for said purposes, with all rights of ingress and egress necessary Or
convenient for. all rights and privileges incident to use of the easement for such purposes, said
easement being more particularly described as follows:

BEGINNING at a position on the thread of Cedar Creek, S59°-57'-13"W, 454.78 feet
from the northeast corner of GLO Lot 2;
thence coursing said thread as follows:
S52°-34'-41"W, 71.26 feet, to a position;
S76°-10'-21"W, 25.24 feet, to a position, and leave said thread;
thence S42°-59'r46"W, 281.94 feet, to a point on an existing fence line;
thence N33°-52'-32''E, 41.94 feet, along said fence line, to a point;
