ASSIGNMENT OF BENEFICIAL INTE~ST UNDER DEED
This Assignment of Beneficial Interest Under Deed of Trust ("Assignment") is made as
of September 30, 2003, by AMERICAN INVESTMENT' FINANCIAL, an industrial loan
company organized under the laws of the State of Utah, whose principal office is located at 7575
South 900 East, Midvale, Utah 84047 ("Assignor"), to MATRIX CAPITAL BANK, a federal
savings bank duly chartered under the laws of the United States of America, whose address is
700 17th Street, Suite 200, Denver, CO 80202 ("Assignee").
WITNESSETH:
FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of
which are hereby acknowledged, Assignor hereby assigns and transfers to Assignee, without
recourse or warranty of any kind, all of Assignor's right, title and interest as beneficiary in, to and
under that certain Deed of Trust, dated August 27, 1999, executed by Sublette Electric
Incorporated, as trustor, in favor of American Investment Financial, as beneficiary, and
recorded on September 10, 1999, as Page No. 631 in Book 435 at.Entry or Instrument No.
861323 in the official records of Lincoln County, State of Wyoming~ (the "Deed of Trust"),
which Deed of Trust creates a lien upon and pertains to one or more parcels of real property
located in Lincoln County, State of Wyoming, as more particularly described as:
