Jofi. t~el,,Gale',:t~]~.:~h[~,,S.h rlev R Haderlie Family Trust dated December 28, 1999 of PO Box 1218 :'tAfton; ,WY 783110, grantors, for and in consideration of TEN AND NO/100 DOLLARS ($10.00), and other valuable considerations, in hand paid, receipt whereof is hereby acknowledged, CONVEY and WARRANT to Leisure Living LLC, a Wyoming limited liability company, grantee, of PO Box 1036, Afton, Wy 83110, the following described' real estate, situate in Lincoln County, and State of Wyoming, hereby releasing and waiving all rights under and by virtue of the homestead exemption laws of the State, to-wit: Lot 7 of the Haderlie Third Addition to the Town of Afton, Lincoln County, Wyoming, as described on the official plat thereof. TOGETHER WITH a 10-foot wide perpetual, non-exclusive easement for the benefit of grantee and its heirs, successors and assigns, for the sole purpose of installing and maintaining an irrigation water pipeline not greater than 1 1/2 inches in diameter, over, across and along the following described tract of land: a portion of the South 10 feet of the NWI/4SWI/4 of Section 31, T32N, R118W of the 6th P.M., Lincoln County, Wyoming, beginning at the SE corner of said Lot 7 and running thence East along the South boundary of said NW1/4SWI/4 547 feet, more or less, to a buried irrigation main pipeline. The use' of irrigation water pursuant to this easement is subject to those provisions contained on page 1 of that certain Counter Offer between the parties dated January 15, 2003, a copy of which is attached as Exhibit A and incorporated herein by this reference. Star Valley Realty BOx 248 Alton, Wyoming 83110 Phone: (307) 885-3892, Fax: (307) 885-3994 EXHIBIT "A" 890 COUNTER OFFER This is a Counter Offer to that Contract to Buy and Sell Real Estate, dated January 15 ,20 03, submitted by Noel Nelson (refen'ed to as Buyer) to Gale L Haderlie Shirley R Haderlie (referred to as Seller), pertaining to the Property ("Property") described as: Tract 3 of the Gale L Haderlie Subdivision to include and additional 35 feet along the North border. To include all mineral and water rights. 1. SELLER'S COUNTER OFFER A. Seller accepts all of the terms and conditions set forth in the above-designated Contract to BuY and Sell Real Estate (a copy of which is attached hereto and incorporated by this reference into the body of this document as if fully set forth herein) bu't with the following changes and additions:~ The down payment shall be $ and the annual payments shall be $18,000 to earn interest at 6% simple interest over five years. Payments will be $18,000 plus interest. Buyer understands the following: The natural gas line is in the highway right-of-way a'long the entire frontage of the property. The city water and sewer man holes will be at the center of the property bordering the highway. The telephone will be' at the Northwest corner of the property. The electric power is now at the SE and SW Corners of the subject property. ,The Sellers will grant 10 ft. easement to the irrigation supply line east of the subject tract, however the Buyer understands the following: 1. The water allowed per acre on the subject tract is .8 of a rainbird per acre using a 3/16th nozzle. 2. This water system is. pressurized by a pump owned by five people. 3. Water is in the line approximately 4 months (June thru September). 4. Line is not pressurized all the time that there is water in same. 5. The line will plug up because it is at the end of the line. 6. ~Afton City Attorney indicates that when commercial property within the Town of Alton is sold the water rights reverts to the city. 7. Buyers would need to install a pressure valve. 8. Buyers will hold the Seller's harmless if the main line is abandoned. 9. Buyers would be jointly responsible for power, maintence, upkeep of the line, and annual water assessment. If Buyer has not started construction by 7-1-03, Sellers would like. to cut the first crop hay on subject tract. ' The width of the subject tract will be determined by Surveyor Scherbel adding 35 feet to the North border. Buyer understands that this sale is subject to a 1031 exchange or bank sale. B. Seller reserves the right to continue to offer the Property described in the attached Contract to Buy and Sell Real Estate for sale. Seller may accept any other offer until the original, a copy or facsimile of this Counter Offer, duly accepted and signed by Buyer, has been delivered in writing to the Seller.
