TRUSTEE'S DEED
BY THIS TRUSTEE'S DEED, made this // day of March, 2004, David L.
GladWell, 476 West Heritage Park Blvd., Suite 200, Layton, UT 84041, Chapter 7 Trustee in
Bankruptcy Case No. 02-20682, grants and conveys to THOMAS M. MORGAN (hereinafter
"Grantee") all of the right, title interest and claim ofTravis D. Merritt and Jewelle L. Merritt, or
its successors in interest subsequent to the execution of the Bankruptcy in and to the real property
and all other real property situated at or on the property described in Exhibit "A" attached hereto,
in County of Lincoln, State of Wyoming, together with all appurtenances thereto, including
without limitation, water rights or. water shares, if any.
Grantor makes this transfer and conveyance pursuant to the poWers conferred by that
certain Bankruptcy No. 02-20682 in which Travis D. 'Merritt and Jewelle L. Men:itt were the
Debtors and David L. Gladwell was the Chapter 7 Trustee. This grant and conveyance is made
after the fulfillment of the conditions specified in that said Ban 'la'uptcy and authorizing the same
as follows:
1. Order Authorizing Sale of Real Property Free and Clear of Liens with Valid Liens
to Attach to Sales Proceeds, pursuant to proper notice was scheduled and held on November 3,
2003 at the hour of 2:00 p,m. Before the Honorable William T. Thurman, Judge of the United
States Bankruptcy Court for the District of Utah, Northern Division, at the Frank E. Moss U.S.
Courthouse, 350 South Main, Room 376, Salt Lake City, Utah. At the aforesaid hearing, the
Trustee appeared on behalf of the bankruptcy estate. Other appearances were made on the
record. The court, having considered the Motion, representations and proffers of the Trustee,
having been apprised of the pertinent facts and controlling provisions of law, having made its
findings of fact and conclusions of law on the record and having found good cause therefore, It
was thereby ordered: (1) The Trustee's Motion is approved. (2) The Trustee is authorized to sell
the 3.98 parcel of agricultural property in Afton Wyoming to Thomas M. Morgan for $13,000.00.
(3) The Trustee is authorized to pay the following fees, costs and expenses of sale from the
proceeds of sale: (a) Normal closing costs and a real estate commission to Max Thompson of
Coldwell Banker Residential Brokerage, equal to 6% of the purchase price; and (b) All valid
liens and encumbrances; (4) The Trustee is authorized and empowered to take all steps necessary
to complete the sale of Property, including, but not limited to, the execution by the Trustee of this
Trustee's Deed and other documents.
THIS SALE AND CONVEYANCE IS MADE WITHOUT ANY COVENANT OR
WARRANTY, EXPRESS OR IMPLIED, AS TO TITLE, POSSESSION, OR OTHERWISE
WITH RESPECT TO T,.I:II~ TRUST PROPERTY.
