Schultz, an individual, having an address of 934 South Filhnore Way, Denver, Colorado 80209, hereinafter referred to as Assignor, for and in consideration of one hundred dollars ($100.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does by these presents grant, bargain, sell, assign, transfer and convey unto the following party hereinafter referred to as Assignee, the following overriding royalty interest in and to the oil and gas leases described on Exhibit "A" attached hereto and by this reference made a part hereof (the "Leases") and all hydrocarbons produced therefrom or allocated thereto insofar as said Leases cover the lands specifically described on said Exhibit "A': Assignee Overriding Royalty Interest Conveyed Emerald Resources, Inc. 934 South Fillmore Way Denver, Colorado 80209 See Attached Exhibit "A" The overriding royalty interest conveyed herein is subject to the terms and conditions of the Leases and to any and all amendments, modifications, and agreements, pooling, communitization or unitization agreements affecting said Leases and Assignor's interest therein as well as the rules and regulations of any governmental agencies having jurisdiction over the Leases and the lands covered thereby. TO HAVE AN TO HOLD the same unto Assignee and its successors and assigns forever subject to the following terms and conditions: Assignor conveys the interests described herein with no warranty of title either expressed, implied or statutory except by, through and under Assignor but not otherwise. 2. The Effective Date of this Assignment is August 15, 2003 at 8:00 AM MST. 3. This Assignment shall be binding upon and inure to the benefit of Assignor and Assignee and their respective successors and assigns. The overriding royalty interest conveyed he rein shall be identical to the Overriding Royalty Interest that was assigned from Emerald Resources, Inc. to Maureen S. Shultz in that certain Assignment of Overriding Royalty Interest dated October 9, 2003, effective at 7:00 AM on August 15, 2003, and recorded in the records of Lincoln County, Wyoming, at Book 534, Page 416. It is then intention of both the assignor and assignee that the Overriding Royalty interests assigned herein, be merged back in to the Working Interest effective as of the effective date and time of this assignment.
