KNOW ALL PERSONS BY THESE PRESENTS:
That, for and in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the
receipt of sufficiency of which are hereby acknowledged, the undersigned Questar Exploration and Production
Company, a Texas Corporation, whose office is 1331 17'~' Street, Suite 800, Denver, Colorado 80202, ("Assignor!!)
does herebygrant, sell, assign, transfer and convey unto, North American Resources Company whose address is 490
N. 31'' Street, Suite 201, Billings, Montana, 59101-7007 ("Assignee"), 39.39394% (being a net of 5.909091%) of
Assignor's righL title and interest in and to its contractual rights created under that certain Operating Agreement
dated February 22, 1977 (the "Operating Agreement"), between Champlin Petroleum Company (predecessor in
interest to Assignor) and Amoco Production Company, insofar and only insofar as said Operating Agreement covers
the following described lands located in Lincoln County, Wyoming, to-wit:
Township 1.9 North, Range 113 West
Section 25:NW/4
Limited to those depths and formations from tile surface of tile earth to the stratigraphic equivalent of 11,580 feet as
found in the Champlin 186 E-3 well, located in the Southwest Quarter of Section 25, Township 19 North, Range
113 West.
The interests assigned hereby are also accepted by the Assignee subject to all the terms and provisions of that
certain Farmout and Farmout Option Contract, dated October I, 1999, between Assignor and Union Pacific
Resources Company, as Farmor, and Assignee, Questar Exploration and Production Company, as Operator.
The interests, assigned hereby are also accepted by the Assignee and subject to Letter Agreement between North
American Resources Company and Questar Exploration and Production Company dated February 11, 2000.
In WITNESS WHEREOF, QUESTAR EXPLORATION AND PRODUCTION COMPANY has. executed this

duly sworn, did say that he is the President and CEO of Questar Exploration and Production Company, a Texas
corporation, aud that said instrument was signed on behalf of said corporation by authority of a resolution of its
Board of Dkectors and said G. L. Nordloh acknowledge to me that said corporation executed the same.
