BEAR OIL & GAS LLC a Colorado limited liability company 5 Inverness Drive East Englewood, Colorado 80112 1.0% DAC INTERESTS LLC a Colorado limited liability company P. O. Box 1931 Elizabeth, Colorado 80107 .5% (collectively "Assignees"). For and in consideration of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged; Assignor has GRANTED, BARGAINED, SOLD, ASSIGNED, TRANSFERI~D and CONVEYED, and does hereby GRANT, BARGAIN, SELL, ASSIGN, TRANSFER and CONVEY to Assignees, in the Proportions set forth above, Five Percent (5%) of the rights and interests conveyed to Assignor from Bill Barrett Properties, Inc. by Assignment and Bill of Sale dated effective January 1, 2003 and recorded in Book 523 at Page 151 of the real property records of Lincoln .County, Wyoming (the :'Assets"). A copy of the exhibit attached to said assignment from Bill Barrett Properties, Inc. to Assignor is attached hereto as Exhibit "A'. TO HAVE AND TO HOLD the Assets unto Assignees and their successors and asSigns, forever, subject to' the terms and conditions hereof. A. THE .CONVEYANCE OF. THE PROPERTIES BY ASSIGNOR TO ASSIGNEES SHALL BE WITHOUT WARRANTY OF TITLE, EXPRESS OR IMPLIED AND WITHOUT RECOURSE OF ANY KIND, NOT EVEN FOR THE RETURN OF THE CONSIDERATION: PAID HEREIN, AND WITHOUT WARILkNTY, EXPRESS, STATUTORY OR IMPLIED, AS TO DESCRIPTION, TITLE, CONDITION, LOCATION, QUALITY, FITNESS FOR ANY PARTICULAR USE OR PURPOSE, OR OTHERWISE, EXCEPT THAT ASSIGNOR SHALL WARRANT AND DEFEND TITLE TO THE PROPERTIES AGAINST EVERY PERSON WHOMSOEVER LAWFULLY CLAIMING OR TO CLAIM THE SAME OR ANY PART THEREOF BY, THROUGH OR UNDER ASSIGNOR, BUT NOT OTHERWISE. B. This Assignment is subject to the terms and conditions of (i) the oil, gas and mineral leases described in the attached Exhibit "A" and (ii) the Purchase and Sale Agreement dated effective January 1, 2003, between Bill Barrett Properties, Inc., as Seller, and RIM LLP, et al, as Buyer, executed by Assignor in connection with its purchase of the Assets. Assignees, by acceptance of this Assignment, hereby agree to assume their proportionate share of all obligations, liabilities and duties set forth therein.
