THIS AGREEMENT, made this day of January, 2002, by and between
GENE EP'PLER, 'TRUSTEE and P~-~GY PHYLLIS EPPLER, TRUSTEE OF THE 1995 EPPLER
FAMILY TRUST, First Party (Mortgagee)
and VIRGINIA CAROL HOLDEMAN, TRUSTEE OF THE CAROL HOLDEMAN FAMILY TRUST
U/D/T MAY 17, 2000, Second Party (Mortgagor)
WITNESSETH:
WHEREAS/ the Second Party is the owner of that certain real property
described, in the Mortgage dated ~ecember 15, 2000, executed by
VIRGINIA CAROL HOLDEMAN, TRUSTEE OF THE HOLDEMAN FAMILY TRUST
· U/D/T MAY 17, 2000, as Mortgagor-to GENE EPPLER AND PEGGY.
PHYLLIS EPPLER, TRUSTEES OF THE 1995 EPPLER FAMILY TRUST, as
Mortgagee; which
Mortgage was recorded on December 19, 2000 in Book 457, Page
160, Instrument No. 870341, Official Records of Lincoln County,
Wyoming;
which Mortgage was given as security for a Note dated December
15, 2000 in the sum of $86,000.00, executed by VIRGINIA CAROL
HOLDEMAN, TRUSTEE OF THE CAROL HOLDEMAN FAMILY TRUST U/D/T MAY
17, 2000, in favor of GENE EPPLER AND PEGGY PHYLLIS EPp. LER,
TRUSTEES OF THE 1995 EPPLER FAMILY TRUST.
AND WHEREAS, the Mortgagor is desirous of modifying the terms' of
Said Note and the Mortgagee,is willing to modify the terms of
the said Note;
AND WHEREAS, Parties shall execute a Notice of Advance dated
January 8, 2002 under Mortgage dated December 15, 2000, to
record concurrently herewith, in the amount of $25,000.00~
NOW THEREFORE, in consideration of the promises and agreements
hereafter contained to be performed by the Second Party, the
Parties do hereby agree as follows: The monthly payment under
the Note and Additional A~vAnce Note shall be in the amount of
$907.~4 at an interest rate of 7.75~, commencing with the
January 15, 2002 payment.
Said modification of the terms of payment shall in no manner or
respect alter any of the other terms, covenants and conditions

of said Promissory Note or the Deed of Trust securing it.
The Second party hereby represents and warrants that there are no
other liens or encumbrances of any nature whatsoever on or
against the real property mentioned in said Mortgage, except'as
follows: NONE
