DESCRIPTION FOR COTTONWOOD RANCH, INC.
OF COTTONWOOD RANCH NORTH TRACT
To-wit:--
That part of Tracts ,16 and 49 within Sections 33 and 34, of T25N, R119W, Lincoln County,
Wyoming, being par;; of that tract of record in the Office of the Clerk of Lincoln County in Book
325 of Photostatic Records on page 34, lying and being situated northerly of the following
described line:
BEGINNING at a point on the east line of said Tract 46, S00°47'24"W, the base bearing for this
survey and descripnon, 2543.98 feet, of Corner No. I of said Tract 46, said point being at the
intersection of a feni. e bearing northwest/southeast with a fence bearing south fi'om said Corner
No. 1; said south-bearing fence being the best current evidence of said east line of Tract 46;
Thence coursing said northwest/southeast fence as lbllows:

The unders~ned hi-~reby certifies that she is.the Secretary of Cottonwood Ranch, Inc., a
Utah corporation, that the:following is a true, accurate and compared transcript of resolutions
duly adopted by the boardof directors duly held on April 24, 2004, and that said resolution has
not been amended, rescinded, modified 'or revoked, and is in full force and effect:
t~ESOLVED, that Lynn T. DaytOn, President, and Margaret O. Dayton, secretary, are
hereby authorized and empowered on behalf of the corporation: (i) to finalize, execute and
deriver att documents~ necessary to complete the sale of approximately 205 acres of real
property Owned by the Corporation to Otis Cook Ranch, or its assigns, for the
approximate sum of $143,500.00 together with schedules, exhibits, certificates and other
instruments contenlplated thereby, with such additionaL, modified or revised terms as
deemed to be acceptable to him, to be conclusively evidenced by his execution thereo¢,
and (ii) to take all such other act!0.ns as they may consider necessary or appropriate in
order to carry Out lihe intent and pfl'rposes of the foregoing resolutions, including without
limitation the execution and delivery of a' good and sufficient warranty deed for the real
property being sol6 pursuant to the real estate contract.
I further certify that the duly.elected officers oftkis corporation named in the foregoing
resolution continue to hol4 their respective offices.
