partnership, an 80:43478% owner and BROADBENT LAND COMPANY, a Wyoming limited
partnership, a 19.56522% ow!~er, as tenants in common (GRANTOR), do hereby grant to KERN
RIVER GAS TRANSMISSION~ COMPANY, a Texas general partnership, 2755 E. Cottonwood
Parkway, Suite 300, Salt Lake City, Utah, 84121 (GRANTEE), its successors and assigns, for the
sum often dollars ($10.00), and other good and valuable consideration, receipt of which is hereby
acknowledged, an easement of twenty five (25) feet and an easement of fifty (50) feet in width, as
described in Exhibits A, B and C which are attached hereto and made a'part hereof, to lay, constrnct,
maintain, operate, protect, repair, remove and replace one (1) thirty-six inch (36") diameter natural
gas pipeline, with necessary fit tings, tie-overs and appurtenances, including but not limited to valves,
~netering equipment, electrical ,md communications cable, cathodic equipment? underground conduit,
splicing boxes and roads in accordance with the tenns hereof, tlu'ough and under the lands situate in
the County of Lincoln, State o..;Wyoming. Grantee may use an additional 25-feet or a total of up to
75-feet including the easement ~herein described in Exhibits A, B and C.
TOgether with the right of ingress and egress on, to, over or through said easement which
ingress and egress shall be limited to said easement and the right to use the existing access roads, to
the extent Grantor has the righ~ of access over said lands. The right of ingress and egress shall be a
private fight only in the favor of Kern River, its agents, servants, employees, contractors,
subcontractors, assigns and successors. Grantor will be notified in the event that additional portions
of Grantor's property along and adjacent to said easement are required by Grantee.
Grantee may use such portions of the property along and adjacent to said easement as maybe
reasonably necessary in co~mecfion with construction, maintenance, repair, removal or replacement
of the facilities as described herein, provided such portions of property so used are restored as close
as practicable to its original c'oadition.
RESERVING, however, to Grantor, its successors and assigns, the right to construct at any
time and all times and to maintain roads, highways, pipelines and telephone, telegraph and other
electric power poles and wire lines, over, under and across (but in such a way as will not
unreasonably interfere with) s~id pipeline of Grantee on the premises described in Exhibits A, B and
C; it being understood that the right so reserved by Grantor, its successors and assigns, is retained
along with the general right of'Grantor, its successors and assigns, to the use o£said premises for any
purposes herein defined.
Regardless of the preceding paragraph, Grantor shall not build, nor permit to be built, any
permanent building or other permanent structure requiring a foundation, closer than twenty-five (25)
feet on either side of the centerline of the pipeline.
This easement is made subject to all outstanding leases and other outstanding rights,
including, but not limited to, thc:se for highways and other roadways and right-of-ways for irrigation
ditches, pipelines, pole and wire lines and the right of renewals and extensions of the same, and
subject also to all conditions, l?mitations, restrictions, encumbrances, reservations or interests of any
person which may affect the said land, xvhether recorded or unrecorded.
Grantor warrants that it does not own the mineral rights to the property described in Exhibits
A, B, and C. Therefore this g:ant of easement herein made is subject to all rights of the owners of
the mineral estate and on the erPress condition that Grantor, its successors and assigns, shall not be

liable to Grantee, its successors or assigns, for any damage occm'ring to the installations made or to
be made by Grantee upon the lands herein granted in easement occasioned by subsidence of the
surface of said lands or for any other damage whatsoever occasioned by subsidence of the surface of
said lands as a result of mining underneath the same or resulting in any other way from the removal
of coal or any other minerals in or underlying the lands described in Exhibits A, B and C.
Grantee, for itself, its successors or assigns, by the acceptance of this easement, agrees to
indemni fy and hold harmless Grantor, its officers, agents, employees, successors or assigns, against
and from any and all liability, loss, damage, claims, demands, actions, cause of action, costs and
expenses of whatsoever nature, including Court cos[s and attorney's fees, which may result from
property damage and personal injury to or death or persons whomsoever, including the line of
Grantee, when such personal injury, death, loss, destruction, or damage, howsoever caused, grows
out of or arises in a way whatsoever fi'om, or arises because of, the existence of said line or the
construction, operation, maintenance, repair, renewal, reconstruction, removal or use of said line or
any part thereof or to the contents therein and therefrom, provided, however that said loss, damage,
or injury does not arise out of or result fi-om the acts or omissions of the Grantor, its officers, agents,
employees, successors or assigns.
It is expressly made a condition of this easement that if Grantee, its successors or assigns,
shall abandon the facilities in a :cordance with the Federal Energy Regulatory Commission (FERC)
in the locations described in E~:hibits A, B and C, or in any portion of said premises for the stated
purposes of this easement, then and in that event, all the rights herein granted shall cease and
terminate with respect to the premises so abandoned, and the title to said premises shall be freed
from the burden of said easement; and it is further agreed that non-use, except non-use which is

caused by circmnstances beyond'the Grantee s control, of the premises described in Exhibits A, B
and C or any portion thereof fi~r the puq~oses of said easement for the period of two (2) years and in
accordance with FERC, shall be deelned an abandonment of the premises or portion thereof not used.
If the surface facilities or any portion thereof are abandoned, and Grantee at its sole discretion
and in accordance with the FERC, fails to cormnence good faith efforts to remove the surface
facilities, excepting the pipeline, so abandoned, and restore the portion of the land described in
Exhibits A, B and C to which the abandoned facilities are appurtenant to its original condition within
one year after receipt of written notice from Grantor to Grantee, Grantor may remove the facilities
for the account of Grantee, and Grantee shall reimburse the Grantor for all expense incurred in the
removal of the facilities within thirty (30) days fi'om receipt of the proper amount thereof.
The Grante'e shall use such methods of weed control on the easement as are reasonably
necessary to control the growt[~ of State of Wyoming listed noxious weeds, until such time as the re-
seeding program produces a s~:and of native grasses on the easement.
Grantee agrees that all of' the surface area of the easement disturbed in the exercise of the
rights granted hereunder shall be reseeded at the rate of 15 lbs/acre when drilled and 30 lbs/acre
when broadcast with the following mixture:

Grantee agrees to seed the easement as many times as required to obtain a successfid stand of
native grasses throughout the entire easement in a condition equal to or better than that which existed
prior to construction. Only seed certified to be ninety-five percent (95%) pnre and with a
germination percentage of eighty-five percent (85%) will be used. Grantor agrees to employ proper
grazing practices such as resting and rotation, as vegetation is being established.
Grantee shall comply Wth all applicable federal, state, and local laws, niles and regulations
concerning the design, constmciion, operation maintenance, safety and environmental considerations
as they deal with or affect the line of the type and nature intended to be placed in the easement herein
granted.

Being a twenty five (25) foot wide permanent easement lying twenty five (25) feet
Westerly of ~.e following described centerline of a 36" Kern River pipeline to a point of
convergence whereas the herein described easement changes to a fit3' (50) foot wide
permanent easi'ement,. ~ lying (25) feet Northwesterly and (25) feet Southeasterly of the

whereas the h:rein described easement changes to a twenty five (25) foot permanent

Kern Rive pipeline, also following an existing 36" Kern River pipeline.
Said twenty five (25) foot and (50) foot wide permanent easements extending over,
'through and across a tract of land conveyed to Western Wyoming Range Limited
Partnership, et al: and being Section 33, Township 19 North, Range 116 West, Sixth
Principal Meridiv:n, Lincoln County, Wyoming. Said n-act being more particularly
described in Deed Book 267PR, Pages 215,219, 223,227, 231,235, 239, 243, 247, 251,
of the Deed Records of Lincoln Count-y, Wyoming, said centerline of a 36" Kern River
pipeline being more particularly described as follows:
Beginning at a Point on the North line of said Section 33, fi.om which an Iron Pin with a
1 1/2" Brass Cap marked "U.S. Land Office 1945" found marking the Northwest corner
of said Section .33, bears North 89°31 '23" West, a distance of 1169.60 feet;
