partnership, an 80.43478% owner and BROADBENT LA~ COMPAq, a Wyoming limited
pmtnership, a 19.56522% owner, as tenants in con. on (G~TOR), do hereby ~'ant to ~
~ER GAS T~SMISSION COMPAq, a Texas general partnership, 2755 E. Cottonwood
Par~ay, Suite 300, Salt Lake City, Utah, 84121 (G~NTEE), its successors and assi~s, for the
sum of ten dollars ($10.00), and other good and valuable consideration, receipt of which is hereby
ac~mwledged, an easement of N'genty five (25) feet and an easement of fifty (50) feet in width, as
deschbed in Exhibits A. B and C which are attached hereto and made a pan hereof, to lay, construct.
maintain, operate, protect, repair, remove and replace one (1) thirty-six inch (36") diameter natural
gas pipeline, with necessa~ fittings, tie-overs m~d appurtenances, including but not limited to valves,
metehng equipment, electrical ,md comnmnications cable, cathodic equipment, underground conduit,
splicing boxes and roads in ac?rdance with the temls hereo[ through and under the lands situate in
the County of Lincoln, State of Wyoming. Grantee may use an additional 25-feet or a total of up to
75-feet including the easemem herein deschbed in Exhibits A, B and C.
Together with the hght of in.ess and e~ess on, to, over or through said easemeut which
in.ess and e~ess shall be lim:.ted to said easement and the right to use the existing access roads, to
the extent Grantor has the righ~ of access over said lands. The right of in.ess and e~ess shall be a
private hght only in the Gvor of Kern River, its agents, secants, employees, contractors,
subcontractors, assigns and successors. Grantor will be notified in the event that additional portions
of Grantor's property along and adjacent to said easement are required by Grantee.
Grantee may use such l~}ortions of the property along and adjacent to said easement as may be
reasonably necessary in connection with construction, maintenance, repair, removal or replacement
of the facilities as described he;ein, provided such portions of property so used are restored as close
as practicable to its original condition.
RESERVING, however, to Grantor, its successors and assigns, the right to construct at any
time and all times and to mairitain roads, highways, pipelines and telephone, telegraph and other
electric power poles and xvir.~ lines, over, under and across (but in such a way as will not
unreasonably interfere with) sa~d pipeline of Grantee on the prenfises described in Exhibits A, B and
C; it being understood that the,rign! so reserved by Grantor, its successors and assigns, is retained
along with the general right of Grantor, its successors and assigns, to the use of said premises for any
purposes herein defined.
Regardless of the prece, ding paragraph, Grantor shall not build, nor permit to be built, any
permanent building or other pe~'manent structure requiring a foundation, closer than twenty-five (25)
feet on either side of the centerline of the pipeline.
This easement is made subject to all outstanding leases and other outstanding rights,
including, but not limited to, those for highways and other roadways and right-of-ways for irrigation
ditches, pipelines, pole and wi:e lines and the right of renewals and extensions of the same, and
subject also to all conditions, linfitations, restfictions, encumbrauces, reser~ati ons or interests of any
person which may affect the sa~d land, whether recorded or unrecorded.
Grantor warrants that it does not otvn the mineral rights to the property described in Exhibits
A, B, and C. Therefore this gr~nt of easement herein made is subject to all fights of the owners of
the mineral estate and on the ex'3ress condition that Grantor, its successors and assigns, shall not be
liable to Grantee, its successor~ or assigns, .for any damage occun-ing to the installations made or to
be made by Grantee upon the lands herein granted in easement occasioned by subsidence of the
surface of said lands or for any other damage whatsoever occasioned by subsidence of the surface of
said lands as a result of mining underneath the same or resulting in any other way fi-om the removal
of coal or any other ~ninerals i~) or underlying the lands described in Exhibits A, B and C
Grantee, for itself, its successors or assigns, by the acceptance of this easement, agrees to
indemnify and hold harmless Grantor, its officers, agents, employees, successors or assigns, against
and fi.om any and all liability, loss, damage, claims, demands, actions, cause of action, costs and
expenses of whatsoever nature, including Court costs and attorney's fees, which may result from
property damage and personai injury to or death or persons whomsoever, including the line of
Grantee, when such personal injur/, death, loss, destruction, or damage, howsoever caused, grows
out of or arises in a way whatsoever from, or arises because or; the existence of said line or the
construction, operation, maintenance, repair, renewal, reconstruction, removal or use of said line or
any part thereof or to the contents therein and therefrom, provided, hoWever that said loss, damage,
or injm-y does not arise out of or result from the acts or omissions of the Grantor, its officers, agents,
employees, successors or assigqs.
It is expressly made a condition of this easement that if Grantee, its successors or assigns,
shall abandon the facilities in accordance with the Federal Energy Regulatory Commission (FERC)
in the locations described in E>:hibits A, B and C, or in any portion of said premises for the stated
purposes of this easement, then and in that event, all the rights herein granted shall cease and
terminate with respect to the p:'emises so abandoned, and the title to said premises shall be freed
from the burden of said easemgnt; and it is further agreed that non-use, except non-use which is

caused by circumstances beyond the Grantee s control, of the premises described in Exhibits A, B
and C or any portion thereof forthe purposes of said easement for the period of two (2) years and in
accordance with FERC, shall be deemed an abandonmen[ of the premises or portion thereof not used.
If the surface facilities or any portion thereof are abandoned, and Grantee at its sole d i scretion
and in accordance with the FERC, l~ails to commence good faith efforts to remove the surface
facilities, excepting the pipelin,5, so abandoned, and restore the portion of the land described in
Exhibits A, B and C to which thc abandoned facilities are appurtenant to its original condition within
one year after receipt of written notice from Grantor to Grantee, Grantor may remove the facilities
for the acconnt of Grantee, and Grantee shall reimburse the Grantor for all expense incurred in the
removal of the facilities within thirty (30) days from receipt of the proper amount thereof.
The Grantee shall use snct~ methods of weed control on the easement as are reasonably
necessary to control the growth of State of Wyoming listed noxious weeds, until such time as the re-
seeding program produces a stafld of native grasses on the easement.
Grantee agrees that all ol'the surface area of the easement disturbed in the exercise of the
rights granted herennder shall be reseeded at the rate of 15 lbs/acre when drilled and 30 lbs/acre
when broadcast with the following mixture:

Grantee agrees to seed the easement as many times as required to obtain a successfifl stand of
native grasses throughOut the entire easement in a condition equal to or better than that which existed
prior to construction. Only seed certified to be ninety-five percent (95%) pure and with a
germination percentage of eighty-five percent (85%) will be used. Grantor agrees to employ proper
grazing practices such as resting and rotation, as vegetation is being established.
Grantee shall comply with all applicable federal, state, and local laws, roles and regulations
concerning the design, construction' operation maintenance, safety and envirmm~ental considerations
as they deal with or affect the line o£the type and nature intended to be placed in the easement herein
granted.
